Zo�� - c���� � ESCROW AGREEMENT AGREEMENT made this 2� day of l�,li(-(�, 2010,by and between the CITY OF ORONO, a Minnesota municipal corporation(`q�rty") and Steiner& Koppleman, LLC, a Minnesota Limited Liability Company("Contractor"). Recitals A. Contractor will be performing certain utility work on property located at 915 Partenwood Road, City of Orono, Hennepin County, Minnesota ("subject property"), and will include disturbing the City's right-of-way with Partenwood Lane and Partenwood Road. B. The City is requiring this Agreement to guarantee the required site restoration is successful. C. Contractor has agreed to complete or repair the items cited above in a timely fashion. Contractor has agreed to provide financial security for the completion of the items cited above by,entering into this Escrow Agreement. D. The City has determined that this Escrow Agreement constitutes adequate assurances from the Contractor, sufficient to protect the City from potential damages and noncompliance with the City Code. NOW,THEREFORE,THE PARTIES AGREE AS FOLLOWS: 1. DEPOSIT OF ESCROW FUNDS. Contemporaneously with the execution of this Escrow Agreement, the Contractor shall deposit $3000.00 with the City. All accrued interest, if any, shall be paid to the City to reimburse the City for its cost in administering the escrow account. 2. PURPOSE OF ESCROW. The purpose of the escrow is to guarantee that the restoratioi�requirements associated v��ith the �isturba.nce Qf+hP City's right-of-way are completed properly in accordance with City Standards. The funds shall be spent by the City if the Owner, for any reason,is unable or unwilling to honor the requirements of the City Code. Construction costs may also include engineering assistance as well as labor and materials for any repairs necessary. 3. DISBURSEMENT FROM ESCROW ACCOUNT. If the City suspects or knows of any matter cited above that is not completed correctly and in a timely fashion,it shall first make demand of the Contractor to make any necessary repairs or to take other prudent remedial measures within a 5-day time period. If the Contractor is unwilling or unable to honor her agreement as determined by the City,the City may draw from the Escrow Account, as necessary. The remedies afforded to the City under this Agreement shall be in addition to any other remedies which the City may be entitled by law or equity or other agreement. 151410v01 ] 4. CLOSING ESCROW. The escrow, less any eligible expenses, shall be returned to the Owner after one freeze/thaw cycle or as determined by the City Public Works Superintendent. If plantings are a part of the restoration and if substantial portions of the plantings are not successful after one planting season the City may hold the escrow for an additional planting season. If substantial portions of the plantings are not successful after two planting seasons the City may hold the escrow for two additional planting seasons. 5 ACCESS TO SUBJECT PROPERTY. The Contractor hereby grants to the City, its agents and its employees, the right to enter on the subject property for the specific purpose of inspecting or completing the restoration of the subject property should the Contractor not complete the work by the specified dates. Per the 12/8/2009 memo this site required buckthorn removal within the buffer. Due to the densiry of the buckthorn within the buffer native seeding was also required. The large buckthorn has been cut and removed. A number of re sprouts have developed and they should be sprayed with herbicide. In addition the area needs to be seeded with a native seed mix. The landowner can contact Prairie Restoration (www.prairieresto.com) or Prairie Moon Nursery (www.prairiemoon.com) for options for seed mixes. Prairie restoration also provides buckthorn removal and seeding services if desired by the landowner. Recitals A. The owner is has submitted plans to construct a new residence on the vacant lot at 915 Partenwood Road, Orono, legally described as Lot 2, Block 3, Partenwood. B. The construction activity will trigger the City's wetland buffer requirements for the Manage 3 wetland on the property. C. Frozen soil conditions required a wetland boundary estimate rather than a formal delineation. A formal delineation will be required by the City prior to issuance of the certificate of occupancy. D. Per Section 78-1611 of the wetland ordinance the owner shall record Restriction and Covenants over the wetland and buffer with the property chain of title prior to the issuance of the certificate of occupancy. A legal description for the upslope edge of the buffer will need to be submitted with the Restrictions and Covenants. E. Owner has agreed to provide financial security guaranteeing compliance with the wetland ordinance by entering into this Escrow Agreement. F. The City has determined that this Escrow Agreement constitutes adequate assurances from owner, sufficient to protect the City from potential damages and noncompliance with the City Code. NOW,THEREFORE,THE PARTIES AGREE AS FOLLOWS: 1. DEPOSIT OF ESCROW FUNDS. Contemporaneously with the issuance of permit 2010-00044, the owner shall deposit $4,000.00 with the City. All accrued interest, if any, shall be paid to the City to reimburse the City for its cost in administering the escrow account. 2. PURPOSE OF ESCROW. The purpose of the escrow is to guarantee that the improvement of the buffer required as part of permit number 2010-00044 is completed properly and that any vegetation that does not establish successfully is replaced. A planting is deemed successful if there is at least one native plant from the seed mix per square foot in the seeded area. Areas where the planting is not successful shall be reseeded by the end of the growing season. The funds shall be spent by the City if the owner for any reason is unable or unwilling to honor the requirements of the City Code. Construction costs may also include engineering estimates and plans as well as labor and materials for any repairs or matters completed. 3. REQUIRED IMPROVEMENTS. The required improvements and submittals are those outlined within the memorandum from John Smyth dated December 8, 2009. 4. DISBURSEMENT FROM ESCROW ACCOUNT. In the event that the Owner does not comply with requirements of permit 2010-00044 and/or make payment to the City within the timeframe outlined in #3 above, the City may draw from the escrow account without further approval of the Owner to reimburse the City for Eligible expenses the City has incurred. The City shall notify the Owner the Owner of such draw and the nature of the expense for which the reimbursement is being made. If the Escrow amount falls below 75% of the original escrow amount the Owner shall deposit additional sums as directed by the City, or the City shall discontinue review and post a Stop Work Order. The boundary is marked at a distinct topographic and vegetative break. There is one wetland located on the lot and it has a Manage 3 classification. This classification requires a 16.5 foot buffer and 20 foot setback from the buffer. Buffer Condi6on and Requirements The buffer is predominately oak woodland and has a significant amount of buckthorn in the understory. According to Division 3 sec 18-1605 buckthom is considered to be an undesirable plant species and should be removed from the buffer area. Due to the density of the buckthorn within the buffer the area will need to be seeded or planted with native species once the buckthorn is removed. The applicant will need to provide a ManagemendLandscaping plan that includes the following: I. Method proposed to be used to control buckthorn (MN DNR website source for options). All buckthom removal should be done using hand tools as large equipment can further disrupt the wetland buffer. At a minimum buckthorn should be cut and the remaining stems should be treated with an approved herbicide following label instructions.
