ESCROW AGREEMENT
AGREEMENT made this 2� day of l�,li(-(�, 2010,by and between the
CITY OF ORONO, a Minnesota municipal corporation(`q�rty") and Steiner& Koppleman,
LLC, a Minnesota Limited Liability Company("Contractor").
Recitals
A. Contractor will be performing certain utility work on property located at 915
Partenwood Road, City of Orono, Hennepin County, Minnesota ("subject
property"), and will include disturbing the City's right-of-way with Partenwood
Lane and Partenwood Road.
B. The City is requiring this Agreement to guarantee the required site restoration is
successful.
C. Contractor has agreed to complete or repair the items cited above in a timely fashion.
Contractor has agreed to provide financial security for the completion of the items
cited above by,entering into this Escrow Agreement.
D. The City has determined that this Escrow Agreement constitutes adequate
assurances from the Contractor, sufficient to protect the City from potential damages
and noncompliance with the City Code.
NOW,THEREFORE,THE PARTIES AGREE AS FOLLOWS:
1. DEPOSIT OF ESCROW FUNDS. Contemporaneously with the execution of this
Escrow Agreement, the Contractor shall deposit $3000.00 with the City. All accrued
interest, if any, shall be paid to the City to reimburse the City for its cost in administering
the escrow account.
2. PURPOSE OF ESCROW. The purpose of the escrow is to guarantee that the
restoratioi�requirements associated v��ith the �isturba.nce Qf+hP City's right-of-way are
completed properly in accordance with City Standards. The funds shall be spent by the
City if the Owner, for any reason,is unable or unwilling to honor the requirements of the
City Code. Construction costs may also include engineering assistance as well as labor and
materials for any repairs necessary.
3. DISBURSEMENT FROM ESCROW ACCOUNT. If the City suspects or knows of any
matter cited above that is not completed correctly and in a timely fashion,it shall first make
demand of the Contractor to make any necessary repairs or to take other prudent remedial
measures within a 5-day time period. If the Contractor is unwilling or unable to honor her
agreement as determined by the City,the City may draw from the Escrow Account, as
necessary. The remedies afforded to the City under this Agreement shall be in addition to
any other remedies which the City may be entitled by law or equity or other agreement.

4. CLOSING ESCROW. The escrow, less any eligible expenses, shall be returned to the
Owner after one freeze/thaw cycle or as determined by the City Public Works
Superintendent. If plantings are a part of the restoration and if substantial portions of the
plantings are not successful after one planting season the City may hold the escrow for an
additional planting season. If substantial portions of the plantings are not successful after
two planting seasons the City may hold the escrow for two additional planting seasons.
5 ACCESS TO SUBJECT PROPERTY. The Contractor hereby grants to the City, its
agents and its employees, the right to enter on the subject property for the specific
purpose of inspecting or completing the restoration of the subject property should the
Contractor not complete the work by the specified dates.

a demolition permit at 925 Partenwood Road. According to the information in your 915 Partenwood
Road property file it appears that portions of existing escrows currently being held can be refunded. I
would like to discuss this matter with you prior to moving forward. I attempted to contact you via the
telephone number in your file (952.471.9248) however it does not appear to be a currently working
phone number.
Additionally I know you are waiting on your demolition permit. The enclosed Zoning Disclosure form
must be signed by you as the property owner prior to the issuance of a demolition permit. This form has
been provided to your demolition contractor but has not yet been submitted with signature. Once the
Zoning Disclosure form is signed by you and submitted we can issue the demolition permit.
Please contact me at your earliest convenience so we may resolve the matter of your escrows,the
demolition permit for 925 Partenwood Road and the Certificate of Occupancy for 915 Partenwood Road.

925 Partenwood Road ("Subject Property") legally described as Lot 1, Block 3, Partenwood, Hennepin County,
Minnesota.
2. In conjunction with the demolition erosion control measures are required as shown on attached

2. PURPOSE OF ESCROW. The purpose of the escrow is to guarantee reimbursement to the City for
all out-of-pocket costs (including planning, engineering, or legal consuttant review)the City has incurred to assure that
the erosion control measures are installed and maintained so the property complies with the provisions of Orono City
Code Chapter 79. The financial security may also be used by the City to eliminate any hazardous conditions
associated with the work and to repair any damage to public property or infrastructure that is caused by the work. If
compliance with the approved Land Disturbance Permit is not accomplished within the allowable time period, the City
may bring the project into compliance by use of the security.
3. RIGHT OF ENTRY. The Owners hereby grant the City, its agents, employees, officers and
contractors the right to enter the property to perForm all work and inspections deemed appropriate by the City in
conjunction with the required erosion control measures, including but not limited to constructing or completing any and
all of the agreed upon improvements should the Owners' contractor not complete those improvements by the date
specified herein.
3. MONTHLY BILLING. As the City receives consultant bills for incurred costs, the City will in tum
send a bill to the Owners. Owners shall be responsible for payment to the City within 30 days of the Owners' receipt
of bill.
4. DISBURSEMENT FROM ESCROW ACCOUNT. In the event that the Owners do not make payment
to the City within the timeframe outlined in#3 above, shall issue a Stop Work Order until the Owners pay all expenses
invoiced pursuant to #3. The City may draw from the escrow account without further approval of the Owners to
reimburse the City for eligible expenses the City has incurred.
5. CLOSING ESCROW. Any remaining amount of the financial security deposited with the City for
faithful performance of the plans and specifications and any related remedial work will be released after the
completion and inspection of all such measures and the establishment of final stabilization for the Subject Property.
6. CERTIFY UNPAID CHARGES. If the project is abandoned by Owners, or if the eligible expenses
incurred by the City exceed the amount in escrow, the City shall have the right to certify the unpaid balance to the
subject property pursuant to Minn. Stat. §§415.01 and 366.012.

At the request of the homeowner a compliance check was completed at the above reference
address to determine if the $3,000 escrow could be returned. Per the 12/8/2009 memo this site
required buckthorn removal within the buffer. Due to the densiry of the buckthorn within the
buffer native seeding was also required. The large buckthorn has been cut and removed. A
number of re sprouts have developed and they should be sprayed with herbicide. In addition the
area needs to be seeded with a native seed mix.
The landowner can contact Prairie Restoration (www.prairieresto.com) or Prairie Moon Nursery
(www.prairiemoon.com) for options for seed mixes. Prairie restoration also provides buckthorn
removal and seeding services if desired by the landowner.
Once the buckthorn is sprayed and the sites is seeded the applicant can have us review the site
again to determine if the escrow can be returned.

The buckthorn removal has occurred in an area that is 70 feet long by 16.6 feet (buffer width). Buckthorn needs to be
removed in the entire buffer area which extends 16.5 feet above the wetland that is marked by pink flags tied in trees.
Buckthorn outside the buffer zone can remain for screening if desired by property owner. The current and remaining
areas where buckthorn is removed need to be seeded with native vegetation. Prairie Moon or Shooting Star can provide
a seed mix appropriate for partial shade. If additional screening is desired native trees and shrubs can be planted inside
the buffer and native or ornamental trees and shrubs can be planted outside the buffer. Have the owner or contractor
call me if they have questions or want more information.

BUFFERIMPROVEMENT
ESCROW AGREEMENT
AGREEMENT made this day of , 2010, by and befinreen the CITY OF ORONO, a
Minnesota municipal corporation ("City") and , ("Owner").
Recitals
A. The owner is has submitted plans to construct a new residence on the vacant lot at 915
Partenwood Road, Orono, legally described as Lot 2, Block 3, Partenwood.
B. The construction activity will trigger the City's wetland buffer requirements for the Manage 3
wetland on the property.
C. Frozen soil conditions required a wetland boundary estimate rather than a formal delineation. A
formal delineation will be required by the City prior to issuance of the certificate of occupancy.
D. Per Section 78-1611 of the wetland ordinance the owner shall record Restriction and Covenants
over the wetland and buffer with the property chain of title prior to the issuance of the certificate of
occupancy. A legal description for the upslope edge of the buffer will need to be submitted with
the Restrictions and Covenants.
E. Owner has agreed to provide financial security guaranteeing compliance with the wetland
ordinance by entering into this Escrow Agreement.
F. The City has determined that this Escrow Agreement constitutes adequate assurances from
owner, sufficient to protect the City from potential damages and noncompliance with the City
Code.
NOW,THEREFORE,THE PARTIES AGREE AS FOLLOWS:
1. DEPOSIT OF ESCROW FUNDS. Contemporaneously with the issuance of permit 2010-00044,
the owner shall deposit $4,000.00 with the City. All accrued interest, if any, shall be paid to the City to
reimburse the City for its cost in administering the escrow account.
2. PURPOSE OF ESCROW. The purpose of the escrow is to guarantee that the improvement of
the buffer required as part of permit number 2010-00044 is completed properly and that any vegetation
that does not establish successfully is replaced. A planting is deemed successful if there is at least one
native plant from the seed mix per square foot in the seeded area. Areas where the planting is not
successful shall be reseeded by the end of the growing season. The funds shall be spent by the City if the
owner for any reason is unable or unwilling to honor the requirements of the City Code. Construction costs
may also include engineering estimates and plans as well as labor and materials for any repairs or matters
completed.
3. REQUIRED IMPROVEMENTS. The required improvements and submittals are those outlined within
the memorandum from John Smyth dated December 8, 2009.
4. DISBURSEMENT FROM ESCROW ACCOUNT. In the event that the Owner does not comply
with requirements of permit 2010-00044 and/or make payment to the City within the timeframe outlined in
#3 above, the City may draw from the escrow account without further approval of the Owner to reimburse
the City for Eligible expenses the City has incurred. The City shall notify the Owner the Owner of such
draw and the nature of the expense for which the reimbursement is being made. If the Escrow amount
falls below 75% of the original escrow amount the Owner shall deposit additional sums as directed by the
City, or the City shall discontinue review and post a Stop Work Order.

5. CLOSING ESCROW. The escrow, less any eligible expenses, shall be returned to the owner two
growing seasons after planting if the planting is successful. If substantial portions of the plantings are not
successful after one planting season the City may hold the escrow for an additional planting season. If
substantial portions of the plantings are not successful after two planting seasons the City may hold the
escrow for finro additional planting seasons.
6. ACCESS TO PROPERTY. The owners of have granted to the City, its agents and its employees,
the right to enter on the Property for the specific purpose of inspecting or completing the re-vegetation of
the buffer should the owner not complete the work by the specified dates.
7. CERTIFY UNPAID CHARGES. If the project is abandoned by Owner, or if the eligible expenses
incurred by the City exceed the amount in escrow, the City shall have the right to certify the unpaid
balance to the subject property pursuant to Minn. Stat. §§415.01 and 366.012.

We have reviewed the plans for the proposed new home construction at 915 Partenwood Road.
The plans are dated 1-20-10. We have the following comments with regards to engineering
matters:
• The proposed tiered retaining walls on the west side of the proposed driveway are eight
feet high. Engineered design and details should be submitted for review and approval
for all retaining walls over four in height, and for all tiered walis with a separation of less
than two times the wall height.
• A wetland is has been conservatively located in the southwest corner of the property by
John Smyth at the City's request. The project grading will not impact the wetland buffer
areas.
• Please see the attached memo from dated 12-8-09 from John Smyth for additional
wetland buffer information and requirements.
• This project will disturb more than 100 CY of material. Sediment and erosion control
information meeting the requirements of Orono's City Code 79-7(c)(2) must be
submitted. The minimum $2000 sediment and erosion control financial security should
be required of the owner for this permit.

Remarks:
The proposed building triggers the requirements of the wetland ordinance. The site investigation took place on
12-8-09. Frozen soil conditions required a wetland boundary estimate rather then a formal delineation. A formal
delineation will likely be required by the �ity prior to issuance of the certificate of occupanry. The wetland
boundary was marked in the field with pink ribbon tied to shrubs and trees. The boundary is marked at a
distinct topographic and vegetative break. There is one wetland located on the lot and it has a Manage 3
classification. This classification requires a 16.5 foot buffer and 20 foot setback from the buffer.
Buffer Condi6on and Requirements
The buffer is predominately oak woodland and has a significant amount of buckthorn in the understory. According
to Division 3 sec 18-1605 buckthom is considered to be an undesirable plant species and should be removed from
the buffer area. Due to the density of the buckthorn within the buffer the area will need to be seeded or planted
with native species once the buckthorn is removed.
The applicant will need to provide a ManagemendLandscaping plan that includes the following:
I. Method proposed to be used to control buckthorn (MN DNR website source for options). All buckthom
removal should be done using hand tools as large equipment can further disrupt the wetland buffer. At
a minimum buckthorn should be cut and the remaining stems should be treated with an approved
herbicide following label instructions. Treating the cut stumps will help prevent regrowth of the
buckthorn.
1. Method o( establishing native vegetation in buffer for areas. (MN BWSR Web Site — Publication:
"Restoring & Managing Native Wetland and Upland Vegetation" source for options).
3. Species proposed to be seeded or planted. According to the ordinance Div. 3 Sec. 18-1605 (3) the seed
mix must contain at least 12 pounds (PLS) per acre of native prairie grass seed and 5 pounds (PLS) per
acre of native wildFlower seed. The grass mixture must contain a minimum of four species while the
wildflower mixture must contain a minimum of five species. (MN BWSR Web Site — Publication:
"Restoring & Managing Native Wetland and Upland Vegetation" source for options).
4. A schedule of activities that are part of the management and maintenance for the removal of buckthorn
and the establishment of vegetation in the buffer shall be provided.
Survey Requirements
A legal description for the upslope edge of the buffer will need to be submitted with the Restrictions and Covenants
(see below).

Per Section 18-161 I of the wetland ordinance the owner shall record Restriction and Covenants over the wetland
and buffer with the property chain of title. A form with the language for the Restriction and Covenants is

Formal buffer markers are not required for the proposed activity under the Ordinance, however it is recommended
that the buffer is marked by the applicant so they can be avoided during native vegetation development and for
review during the vegetation establishment period (approx. 2 years).

The buffer will provide adequate treatment for the proposed use of the property.
Rewmmendations
If the requirements of this memo are complied with the application can be approved. It is recommended that a
cash escrow of$4,000 is provided by the owner. It will be used for future compliance checks and restoration
work, if necessary, to bring the buffer into vegetative compliance.
