You presented us with an invoice dated March 30,2015 from Molin Concrete Products Company("Molin")for work associated with providing concrete core planks in the amount of $3 8,574. We are in receipt of an email fiom Jennifer McKnight of Molin dated March 10, 2015 with Molin's actual invoice attached(in Excel)for$32,191, a difference of$6,383.This$6,383 difference represents a reduction in the contract price with Molin due to a product change, as evidenced in Erik Molin's email to you dated February 10,2015 with a contract change document attached reflecting that price reduction. We understand that Molin never delivered an invoice in the amount of$38,574. The only explanation is that you unilaterally and fraudulently changed Molin's Excel invoice to increase the price by$6,383. We understand that Legacy only paid Molin the original invoice amount of$32,191.You fraudulently kept the balance for yourself. You essentially stole$6,383 from us. Recently,Matt Bakke advised us that you attempted to orchestrate another fraud and breach in connection with supplying shingles for our home. The following is Matt's story. For some reason, Legacy had both Country Lumber and Horizon Lumber include the actual physical shingles price in their respective bids and you knowingly included both amounts in our price under the Agreement. In connection with a shingle upgrade,Matt Bakke found shingles that we desired from Lyman Roofing& Siding. When Matt called you to state that he was going to purchase shingles at Lyman,you stated that you did not want Matt to do so.You further stated that you were planning to use the Country Lumber shingles included in their bid but also bill us for the Horizon shingles,which Horizon would not provide.You told Matt that you would"just doctor Horizon's invoice" to make it look like Legacy had to pay Horizon for the shingles and then pocket the difference which would be roughly$14,000.00. Matt refused to perpetuate your further fraud. Page 1 of 3 4833-2142-4291,v.2 In addition,we have been informed that we overpaid Country Lumber by approximately$6,000 for the windows for our home. Matt Bakke stated that he was told by Pam Robideau from Country Lumber that you asked her to create a dummy return account and refimd this$6,000 to this account to be used for your personal benefit Thankfully she has integrity and refused your fraudulent request In addition,we have been told by two subcontractors that you advised them not to provide the products they thought would work best for our home,but to use inferior products to keep the price down so that Legacy would get the contract to build our home.This is both fraudulent inducement as well as a breach of our Agreement. Finally,we have been informed by Matt Bakke that he resigned from Legacy yesterday morning due to your unethical and fraudulent business conduct as well as alleged criminal activities in your personal life.Not only have you not informed us of this fact,but it is a condition to our Agreement that Matt Bakke is the project manager for our home. Based on the foregoing frauds and breaches,we hereby terminate the Agreement effective as of end of business today. We note that your fraudulent actions are also criminal in nature and likely violate several Minnesota licensing provisions which could result in Legacy's license being permanently revoked. In connection with this termination,we demand the following: I. immediate repayment of$6,383 from the fraudulent overcharge from Molin. 2. Immediate repayment of all amounts we have paid you and Legacy, totaling$65,191.82 so that you are not unjustly enriched by your wrongful actions. 3. Retention of the construction trailer on our property. 4. You and Legacy will pay for replacement insurance on the project. 5. You and Legacy will reimburse us for all increased cost over the sworn construction statement and other damages. If our demands are not met in full,we will commence legal action against you personally and against Legacy. Please be advised that pursuant to Sections 21,31 and 32 of the Agreement,you are obligated to pay all of our costs and expenses in connection with any action,including, without limitation,attorneys' fees and expenses.We do intend on continuing with the subcontractors that have worked on our home and will pay them directly.We reserve all rights and remedies. Recitals 1. Construction of the new residence located at 2490 Old Beach Road the ("Subject Property"),legally described as Lot 4,Shore Hills,Hennepin County,Minnesota,is the subject of building permit application number 2015-00578 has been completed. 2. Winter conditions currently prohibit completion of exterior improvements,final grading,and vegetation establishment. An as-built survey cannot be accurately conducted at this time. 3. Owners request the City issue a temporary certificate of occupancy("TCO")to the Owners so that the Owners may occupy the new residence. 4. The City will issue a TCO only if the Owners establish an escrow to ensure completion of exterior improvements, continuation of erosion control and submittal of an as-built survey to the City. NOW THEREFORE,THE PARTIES AGREE AS FOLLOWS: 1. DEPOSIT OF ESCROW FUNDS. Contemporaneously with the execution of this Escrow Agreement,the Owners shall deposit$10,000 with the City. All accrued interest, if any,shall be paid to the City to reimburse the City for its cost in administering the escrow account. 2. PURPOSE OF ESCROW. The purpose of the escrow is to assure completion of any exterior improvements, final grading, establishment of vegetation as well as guarantee reimbursement to the City for all out-of-pocket costs the City has incurred(including planning,engineering,in excess of$500, or legal consultant review) or will incur in reviewing the plan. Eligible expenses shall be consistent with expenses the Owners would be responsible for under a building permit application. The escrow will also guarantee reimbursement to the City for all out-of-pocket costs the City has incurred to assure that the work is completed in accordance with the Stormwater Pollution Prevention Plan and the provisions of Orono City Code Chapter 79. The financial security may also be used by the City to eliminate any hazardous conditions associated with the work and to repair any damage to public property or infrastructure that is caused by the work(including planning, engineering, or legal consultant review)associated with building permit#2014- 01334 if compliance with the approved building permit is not accomplished. 3. MONTHLY BILLING. As the City receives consultant bills for incurred costs,the City will in turn send a bill to the Owners. Owners shall be responsible for payment to the City within 30 days of the Owners'receipt of bill. 4. DISBURSEMENT FROM ESCROW ACCOUNT. In the event that the Owners do not make payment to the City within the timeframe outlined in#3 above, shall issue a Stop Work Omer until the Owners pay all expenses invoiced pursuant to#3. The City may draw from the escrow account without further approval of the Owners to reimburse the City for eligible expenses the City has incurred. 5. CLOSING ESCROW. The Balance on deposit in the escrow, if any, shall be returned to the Owners when all requirements related to the project are complete. City Staff shall review the terms of this escrow agreement two times per year to determine whether the requirements of the project have been successfully completed and whether it is appropriate to return the funds. Owner may also request the release of the funds,and such funds shall be released upon City Staff receiving the appropriate verification that all requirements of the project have been successfully completed. 155441 6. CERTIFY UNPAID CHARGES. If the project is abandoned by Owners, or if the eligible expenses incurred by the City exceed the amount in escrow, the City shall have the right to certify the unpaid balance to the subject property pursuant to Minn.Stat.§§415.01 and 366.012. 7. ACCESS TO SUBJECT PROPERTY. The Owners hereby grant to the City, its agents, employees, officers and contractors,the right to enter upon the subject property for the specific purpose of inspecting and completing any exterior improvements, final grading, establishment of vegetation and the restoration of the subject property should the Owners not complete the work by the specified dates.
