RIGHT-OF-WAY PERMIT. Subject to the terms and conditions established by city inances d as set forth herein,the CITY OF ORONO ("City")hereby grants a permit to (�[.C� ("Permittee")to allow the use of publicly owned or managed rights-of- ay for the installation,repair, and maintenance of a sewer stub and road repair at 1565 Maple Place. Permittee agrees to the terms of this Right-of-Way Permit Agreement. 2. PROPERTY. The right-of-way permit is for the right-of-way located in the City of Orono, County of Hennepin, State of Minnesota, described and depicted on the attached Exhibit"A". 3. DEPOSIT OF ESCROW FUNDS. Contemporaneously with the execution of this Permit Agreement,the Pernuttee shall deposit Five Thousand and no/100ths ($5,000.00) Dollars with the City. All accrued interest, if any, shall be paid to the City to reimburse the City for its cost in administering the escrow account. 4. PURPOSE OF ESCROW. The purpose of the escrow is to guarantee reimbursement to the City for all out-of-pocket costs the City has incurred to repair any damage to public property,right-of-way, or infrastructure that is caused by the work(including planning, engineering, or legal consultant review) associated with the installation of a sanitary sewer stub. Eligible expenses shall be consistent with expenses the CiTy would incur to correct any issues related to construction in the City's right-of-way. 5. CONDITIONS. The permit is issued subject to the following conditions: A. Permittee will comply with Minnesota Statutes § 216D.01-.09 (the State's One Call Excavation Notice System)prior to conducting any work in the right-of-way. B. The Permittee's construction,reconstruction, operation,repair, maintenance, and location of 1565 Maple Place shall be subject to other reasonable regulations of the City. C. The Permittee shall not open or disturb the paved surface of any public right-of-way for any purpose without first having obtained permission from the City, for which the City may impose reasonable conditions. D. After undertaking any work in the right-of-way,the Permittee shall restore the same, including paving and its foundation,to as good condition as formerly existed, and shall maintain the same in good condition for two 166160 1 , (2) years thereafter. The work shall be completed as promptly as weather permits, and if the Permittee sha11 not promptly perform and complete the work, remove all dirt,rubbish, equipment and material, and put the public right-of-way in the same condition, the City shall have, after demand to the Permittee to cure and the passage of a reasonable period of time following the demand,but not to exceed five(5) days,the right to make the restoration at the expense of the Permittee. The City shall draw on the escrow to pay for all expenses associated with the work performed. 6. CLOSING ESCROW. The balance on deposit in the escrow, if any, shall be returned to the Permittee when the review has been completed and deemed acceptable by the City. 7. REVOCATION AND LAPSE.
