by and between the City of �rona, a municipal corporation organized and exi g uncte�r the
laws a;F the State of Minnesota {hereinafter called "City"), and Bohland Glendale Cove, LLC, a
Minnesota limited lzability com�any, its heirs, successors and asaigns {hereinafter called
"De�veloper").
WITNESSETH:
WHEREAS, the beveXoper has made agplxcation to the City Council for approval of a
Planned Unit beveXopmenx (PZTD) including rezaning, subdivision and residen.fiial development
plan a}�proval for the purpose of developing ei�ht nevv single family residez�fial iots plus two lots
to accommoda.te existing residentisl p�nni,tted or oonditional uses,to be legally descn�bed as Lots
1 t�mugh 10,�lock l, and Outlots A and S,GLENDALE COVE,Hennepin Cotanty,Min�esota;
a�nd
WHEREA�S, ozz June 26, 2006 the City Counei� gran.ted rezoning of portions of the
propez�t� from RR-1B Siz�gle R�mi.Iy Rural Residential to RPYJD �esidential Planned Unit
Development, and gxanted Fival �'lat�pproval and Greneral Development Plazx Approval for the
proposed development on ihe condition that the Developer ent�r into tlais Age�nerat to provide
far canformax�ce �th the City's Planr�ed Ur�it Deveiopmer�t (PUD) ordinances, to documerat
parameters �or the development aad use of the site, and ta provide for t'he installation and
m.aantex�ance of improver�eztts associated wzt�the develo�mea�

NOW, THEREFURE, in consideration a�tbe premises, and of th�e actual promises and,
conditzons b.ereipafter contained,it is hereby agreed as follows:
A. Ceneral Terms and Canditions
�. �z'opertv Description. This planr�ed CJnit I7evelopm�nt No. 5 A�reement applies to the
�roperty platted as Lots 1 through 10, Block l, GLENDALE COVE, Hennepin County,
�i.zixiesota as well as Qtrtlots A and B and the public road dedicated as C,xiendale Cove
Lane within said p1at. For purposes of this A�eement,Lat 1,BXoc?� I and Lats 3 through
10, Block l, as well as Outlots A & B and Glendale Cave Lane, axe hereina�r
collectively referred to aS"the RPUD Fraperty".
2. 1'ropert,y Location; A�,plicability. A portion of Lot 2, Block 1, GLENDALE COVE is
situated wi�in the City of Long Lak�. 'Tlvs Agreement is not intended to exext
zegu�atozy authority over the partions of Lot 2 withi�a the Git�af Long Lake.
3. �. Per City of prono O;rd.inance N�. �� , Third Series, adopted by the City
Council on June 26, 2006, the RPIJD Pro�erty is zoned as RPUD Residential Planned
Unit Development I7isiriet (Planned �3nit �evelopz�e�t �To. 5). Lot 2, Block l,
Cr�.ENfa,A�.,E CQVB,rem�.ins zoned as RR-1B,Sin�e Family Rural Residential District,
4. Allowed C1s�es, T�e uses of the RPUD Property shall be Iimited,to those per�,itted uses,
conditional uses and accessory uses established in Ordinance No. 3� , 'rhird Series.

GaVE are the permitted, conditioz�a� and accessary uses allowed within the R1Z-1B
zoni.nb distri.ct.
5. Road Access. Lots � throug� 10 shall be served by a new public road to be eonst�cted
b�the Der�eloper to City standards(28' paved cvzc�tb,faee of curb to face of cwrb,etincrete
curb and gutter). A1X 8 new Iots sha1l have driv�ways acGessing the new raad, located
genexal.ly per the ap�roved. CYrading, Draiztage & SWPP Plan, and aone skiall have dirEct
driveway access to Willow Drive. Lot 1's existing drzvevva� access to Willow]az�ve r�vill
be allowed to remain. The existing church access�ocatiQns for�,ot 2 onto Glendaie 13rive
s�all be allowed to rez�nain, There shall be no access to or fmm Glendale Corre Lan.e to
Lot 2,
6. Ivlunici�al Sewer& Water U'tili#ies. Mtxuicipal sauitary sewer and water mains shall be
iz�stal�ed by the Developer per plaxas subjeet to approval by the City Engineer. Upon
completion of the sewer and w°ater faeilities and acceptance by the City,the City wiU o�m
and rnaintain the sani.taxy se�vver and wat�er�ains within.�.he development. Tkxe City wiIl
inspect these sy.sterns dtxring their constr►iction to esxsure proper instatlation.Drainage and
Utxli,ty Easements suf�icient to accox�amodate the use and maintenance of sewer and water
facilit�es s�;all be granted to the City of Qrono over a11 sewer and watez�utility lin�s and
fac�ilities not located within the dedieated zaght-of-way.

7, Stormwater Facilities. Stormwater management shall be provided by stormwater catch
basi.ns and storm sewer lines as well as open swales discharrgiz�g to a NURP stormwater
pond to be located in Outlot A, Qer tb.e approved Gr'ading, Draiz�age and SWPP PXaz�, Tn
addition a stormwa.ter rain garden s�hall be developed wi,kY�,Zn Qutlot B. '�'kte stoz�z�ruatex
draina�e system shail be owned and maintained by a �o�eowners Assoc��tioz� to be
established by the De�'elaper, ��cept that the City will own and maintain the facilities
located�ni�t�e public right-of-way.
8. Wetiands. Orono's wetland buffer and buffer setback requirements(Zoning Code Section
78�1608}shall be met, exce�t as follov��s:
a) Derninimus f ll of 1254 s.f. of wet�and in Lot S and. 300 s.f. of we�land to
accommodate the new road sha11 b�allowed..
b) The 2d' wetl�nd buffer setback sha11 be reduced to 10' for the ditched wetland
�lang the westerly partion of Lat 10 (leaving a 35' setback from 'c�vet�azxd
boundary).
Buffers shall be maintained per � $u�fer IV.(aiutenancQ ,4greez�,e�n,t to be executed by the
Developer. A Flowa.ge and Conservation Easement sha1l be granted. over the exis�ing
wetlands on#he RPUD Property. ,
9. Tra.ils and Recreation.
a} A 10' �ail easement s3Ya11 be ded.;icated along the west boundary af tk�e property
within Lots 1 and 10 and within Ot�tiots A and B,to allow for future extension of
the City's pnblic trail system alon� Willow Drive. T�ie developer will not be
rec�uired to construGt tlus trail extension. A 'Willaw Drive trail arossing from
Glendale Cove Lan,e to E�n Lane shall be provided by the City, at the discxetion
of the City Council.
b) An S' wide bi�ous s�aced public pedesixi.a�a/bicycle trail, desig;r� subject to
approval of the City Engineer, shall be provided by the Developer within Lot 2
conn�cting from Glendale Cove Lane to Glezzdale Drive. A por�ion of this trail
wi.l1 be in the City of Long Lake and will requxre Long Lake's prior approval.The
City of Oxouo shali be responsible for mai.ntenance of this pu.blie trail upon zts
completion aud ace�ptance, Fublie easements including a switable shoulder�uvidth
shall be granted over said t�rail. No reduction or reimbwrsement of park fees rvill
be allowed for constructaon o�this tra,i.l connEction.
c� Oui#1ot B shall be owned by the Homeowners Associatiozz to be establ.ished by the
Z3eveloper, and shall sexve as a private naL�ua1. open s�a�ce area for use a�.d

10. Lari.dsca in � Conservation Desi . The approved landsc�ping plan attached to this
Agreement as Ezhibit A shall be striot�y adhered to,with the foliowing coraditions:
a) LandscapYng of the site sha11 be as shown the approved Landsca�e plaz�.
b) The Lettez� of Credit requi�ed herein shall inc}.ude a.n amoun.t for the rec�uired
landscaping, and such amount sha1I he reta.ined until com,pletion of one full
growing season after planting.
c) The Develope� s�ta11 adhere to the Conservation Design auideli:aes ant� �lan
established in the the "Bcological Restorati,ou & 1Vfanagert�ent Program �or
G�endale Cov�" b� AES, Inc. Developer shatl establish covenants requiring
permanez�t Homeownex.Association maintez�ance of th�eleznents of said p1an,
11. $i aae Street Li htin . A monw�xent si� may be provided by the developex aY the
entcance to the R.��TD developme�t site within{�utlot B. The signage sha1l be limited to
a de�velopm.ent na�e and/or Iogo on the monument si�n. �'ina� design/rnaterials of
monument si�.age s�all be subject to approval by the City Coun�il. Street lighting if
proposed sha11 be caordinated with the Public Works Departm�nt with regarrls to location
and styXe of Ii�hting.

13. Im rovements, In accordance�with the pa�acies �d ordinances of the Cit�' of Orono, the
following describ�d public or private improvements (hereinafter collectively called tFre
"Ixx�pravements") shail be constructed, itastalled and maxr►tained by the Developer
according to the terms and conditiozis contained in�is Agreement:
(a) Site grading, �rails, retaining vvalIs if r�ui;red, and aIl z�ecessary erosion contrai
measures per the Gradin Drair�a�& Erosion Control P�an atta.ched hereto as
E�hibit B (hezeznafter called"site grading i�oprovements");
(t�} Constzuction of t�e public xaad with curb �nd gutter (k�ereinafter eailed `4�aad
improver�a.ents") as we11 as con�tction of storm sewer Iines and �aeilities
(hereix�after cal.led "stormwater improvemez�ts") per �the Road and Stdrm Sewer
Plan&Pro#"xXe attached hereto as E�zhibit C.
(e) Constructian of sanitary sewer and water mains and connec�ions (h�reivafter
called "sewer and water improve�meuts") per the Water and Sanitary Sewer plan
&Profile and the attacheti hereto as Exbibit D.
(d) Underground natural gas, eleetric, cable aud telepho�e service to be a�rr�.nged by
the Developer with the utility companies involved {herei.nafter cal,�ed the "other
utility irr�provements");
(�) Landscaping and sxte revegetation i.mprpv�ements at�,d otl�er site landscape features
per �e appmved L.andsca in P1a� attached hereto as Exhibit A and per the
approved "Ecological Restoration & Management Pro�ra�a fdr Grlendale Co�ve"
(kxereinafter called"Iandscaping and ecological improvements'�.

Department
(� Any additionai. impx�ovements listed within the Site Improvements Cost Estirnate
attached hereto as Egh�bit E.
14. Cansmictian��ans. Detailed plans and specifieations foz'the eomp�ete installation a�the
Improwements shali be subrnitEed by the L7e�veIoper fax the approval of the City prior to
issuance of applicable Gity pesmits. The Plans and Speeifica�zons sha11 canform to all

Agreement.Final sanitary sewer and wateimain plans shall be provided and are subject to
approval by th�Public Worl:s Departrnent and City Engineex, as '�rr'elI as the City o�Long
Lake. The Public Wozks Department and any ather pertiz�ernt reviewing agencies shall
review and approve al.l utility improvements.
1S. Coz�,struction of Improvements,
(a} Commencement Date - The construction of�nprove�zxenfs shaIl begin no later
than August 30,2006.
(b) Com�letion Date - All Improvemex'tts sha11 be completed no later than Se�tember
�o,�ao�.
{c) Cantiactors - The beveXoper shall select, retai� and supervise the Contractor(s)
res�onsible fox Improvement construction. The City reserves the right to require
sai�sfactory proof of successful experience an,d adequate f nancial status of any
such contractor. Wtiere required by Cit� ordinance, the cot�tractor shall �rst
obtain.a l,Xcense from the City.
(d) Pre-Constxucti.on Conf�ren,ee - Prior to the start of any construction, the
Developer and the Developer's Contractor shall meet wi,th the respon,sible City
o�'xcial to review constru.etion plans and schedules.
(e) Permxts - Prior to the st�t't of any construction, fhe Deveioper's Contractor sk�all
apply for and �teceive a11 necessazy permits from t�e City and/or government
agEncies �aving jurisdiction. Required City pernuts relative to the Improve�qnents
�clude the t'ollawing; Site Gradi�g Permit; Utility Construction Fertnit; Sewer
and Water Connection Pemuts. Developer is advised that an Erosior� Control
Pe�nit must be obtained from the MinnehaTla Creek Watershed Dis�ict befoxe
commenciz�g�ny�ading a�ctivity an th�szte.
(fl Constz`ttction- The canstruction, iz�stallation and matexials shalI be in accardance
witl� the plans an.d specifications approved by the City. Erosion oontrol sk�.all
ad�.ez�e to "Best Management Practices for Protect�ng R'ater Quality in TJxban
Areas", All erosion controls as reqtured 6y the City an.d the MCWD shati be in
place p�ior to commencing excava�on on the site. All such erosion coz�ixol
measttxes shall be r,��int�i.ned in working order until the site is xer�e�etated. The
coaashvction limits shail be cie�xly marked with a.dequaxe fencing to prevent any
constraction damage ar disturbance of any txees and vegetation outside af th�

{g) Tnsurazice -The Developer will cause each�erson wbo constructs and installs any

Compensation,Liability a�d Properiy Daanage.
16. Perfornianee Z]eposi�For the purposes oF assuring to the City that the Improvements will
be completed according to the terzns of this A�reemen� and thati the Developex will pay
or will cause to have p�id all claims for work do�ue and materials and supplies futnished,
the DEveloper or his General Confiractor will deposit with the Cit� prior to z.ssuance of
szte gradin�an,d buildzz�g permYts an irrevocable letter of crccdit in a �orm
satisfactory to the City providir�g that the City is able to dx�r�upon such letter of cred,it in
ifis sole c�iscretion to complete the Impraverrzents if the Developex fails to satisfactoril�
compl�te the�vorl�prior to the completion date specified in Section 15 aha�'e. The
a�xtount of such deposit shall be 1S0% of the �stimated �xztpravement costs per the
schedule to be attached to ttus document a��ghibit E. The amount of such deposit shall
not be redueed before substantial complei�on of the Improvements. 'I'i�e Ietter of credit
shall expire no sooz�er than six months after the completion date specified in Section 15
above.
?,7. Fees and $xpenses. The ]�evelo�er agrees to pay aII City fees required per the current
City Fee Schedule az�d further agrees to campletely xeinnb�zrse the City for all the variable
addi�ianal expenses it zn,cttrs in regard to flie review and approval of the Improvements
including, but nofi limited to, dixect City payroll and overhead, casts, and fees paid to
� consu}.ta.nts a�d other prafessiana,ls,whickZ are not covered b� City a�plication fees.
1 S. Maintenance. Until such time as City approves and accepts the Improwements [w�xeh
shall occur witt�.n sixl,y (60} days of the Iater of(i) the date of the final lift of asphslt on
Glendale Cove Lane, and(xz)the date of any corrections to the Improvements required by
City1,the Developer shall be respo�.sible for:
a. maintenanr,e of all priva#ely owned Tmprorrements including roads,Parlurb° areas,
sidewalks, and storm sewez�s, regardless whether easements for such
iznprovements have been granted to tlae City;
b. rnaxntenance o� site ligh#mg, signage and landscaping consistent w%th the
approved Plans for said improvements; and
a main.tenar�.ce of all sewer and v�rater lines t�at are defined as "connectious" as
indicated on the approved U�ility Plaxt,
C. �tenresentations
19, Developex Re�resentatians anct Covenants. The I7eve�oper hereby mak�s the followxng
repxesenta,tions and covenants:
(a) T'he Deve�oper has the legal authority and power to entex into�is Agreeme�t.
(b) The Develo�per xeasonably expects to obtai.n. finazzcial resources su�cient ta
enable the completion of the Tmpxovements.

(c) Tl�e Developer will, subject to the requirezx�ents of Section B - Installation and
Maintez�anee of Im rove�ments hereof, co�stxttct, opex�te and maintai,n the
Improvements in accordance with -the terms of this Agreemezzt and a)1 local, state
and federai Zaws ar�d regulat�ons, and will construct or pay the costs of
construc�aon of arzy site improvements, utila,t�ies, landscaping, stormwater
management facilities, roads,paz�lQng facilitzes�which are necessary in connection
with�e constructi,on of the T:tnprovements.
(d) At such t7me or times as may be requiz�d by law, the 17eveloper �vill l�a,�e
complied with a1� locat, state snd feti.eral envixonmental reviews, licenses, �nd
wi11 be i.n compliance with the requirements of federal,, state, and locai aufLhority.
(e) The Developer wi�l ob�.in, in a tunely manner, a]I z�equired pez�mi.ts, licer3ses and
approvals, and wi1I meet, �n a timeX� manner, all requirements of aIl local, state,
and federa.� laws aucl regulations whicb. must be obtained or met before tt�e
Improvements r�nay be coz�struct�d,
(� It is intended azxd agreed that the cpvenants p�ovided in this Sectian shall be
covenants nlnnin�with the land nat the owraer or Develaper.
20. CitSr kepresentations and Coveraants: The City makes the foLlowi.n.g representations as
the besis for the undertald.ng on its part h�re in canta:ined;
(a) The City is au�iorized b� law to e�ter into this A�eement and to ca.rry out its
obiigations hereunder.
(b) Tlie City will, in a timely mannez, subj�ct ta all notifieation requiz�ements, review
and act upon all submittats and application of the Developer and w�il1 cooperate
wi.th the effort of the Developer to secure the �anting of any permit, liceuse, or
other approval required tp constnict azid operate fhe Improvem�n#s; provitiecl,
�owever, that noth�ng contained in this subpar'agrraph shaIl be co�xstrued t�limit in
any way the reasonable and Iegi�umate exercise of the Gity's discretion in
considering any subm�i.tta1 or applicatian.
(c) The Property is zoned for purposes which include the Developraent as proposed.
The City hss issued a11 necessaiy commercial site plan review approvals for the
proposed developmeut on the pxoperty.
D. Administration
21. Compli�tnce. At any time and from time to tirne the Dev�loper ma,y reqixest t��e City
provide the Developer a certificate ceutifyin.g that the te�ns and pro�visions of this
Agreement h,a�ve heen complied wi�th and th�t this Agreeme�t is in fuII force and effect
with respect to the developm�nt faz'the purpose of facilitatiz�g sa,1e, mpz�gage, izzsurance
ar other matters. To the extent that there be any bona�ide defaults in such eompiiance,

the Developer shall be afforded a z�easonable �im,e to bring the development into
confonoaance, and thereafter the City sha11 be obligateci to pro�ide such certificate.
22. $inding Effect: The terms and provisians hereof sha11 be binding upon and inure to the
benefxt af the heirs, representatives, successors and assigns of the parties hereto and shall
be hinduig deezx�ed covenanis rtinning v�ith the land References herein to Developer, if
there be more than one, shall mean each az�d all of them, This Agreemen.t at the option
of fhe City shall be plaeed of record so as to give notice hereof to �ny subsequent
p�uchasers and encumbr�ncers of all or any p�rt of the property.
23. �Totices: Whenev�r in this Ag�eem�nt Yt shall be required or permitted that notice or
