WHEREAS,the City has been requested to release and discharge Lot 4, Block 1, Fullerton Estates from the recorded Developer's Agreement with James G. Fullerton III and Robert A. Stein, Trustees of the Elizabeth L. Fullerton Revocable Trust U/A dated 1/4/85, as amended, with Elizabeth L. Fullerton, as donor, their successors and assigns, dated September ]997, and recorded with the Hennepin County Registrar of Titles on December 11, 1997 as Document No. 2868637 ("Developer's Agreement"); and WHEREAS, the City has accepted all of the improvements related to Lot 4, Block 1, Fullerton Estates under the Developer's Agreement and there is no longer a need to have the Developer's Agreement recorded against Lot 4, B[ock l, Fullerton Estates. Fullerton III and Robert A. Stein, Trustees of the Elizabeth L. Fullerton Revocable Trust U/A dated 1/4/85, as amended, with Elizabeth L. Fullerton, as donor, their successors and assigns (hereinafter collectively referred to as the "Developer"), have entered into a Development Agreement dated September 1997 (the "Agreement"), whereby the Developer is to construct Improvements, as defined in the Agreement, upon the following described land in the County of Hennepin, State of Minnesota: � `� Tract A, RLS No. 1321, and Tracts A, B and F, RLS No. 1358, Hennepin � Qq County,Minnesota, `9 � N being final platted as Lots 1 through S, Block 1, inclusive, and Outlot A, FULLERTON � ESTATES(the"Development Property"); and ,1 WHEREAS, the Agreement contained certain covenants and conditions and the aDeveloper has fully and duly performed all of said covenants and conditions insofar as the Developer is able; and WHEREAS, the issuance of this Certificate of Completion by the City is not intended nor shall it be construed to be a warranty or representation by the City as to the structural soundness of the Improvements, quality of materials, workmanship or the fitness of the improvements for their proposed use. NOW, THEREFORE, this is to certify that alI building construction and other physical improvements specified to be done and made by the Developer under the Agreement have been completed and all of the covenants and conditions in the Agreement relating thereto have been duly and fully performed by the Developer therein and that the provisions of the Agreement in favor of the City therein are hereby released absolutely and forever insofar as it applies to the construction of the Improvements on the Development Property, and the County Recorder andJor the Registrar of Titles, as applicable, in and for the County of Hennepin, State of Minnesota is hereby authorized to accept for recording and to record this instrument, to be a conclusive 154971 vOl 1 ORONO:Fuller[on Estates SRN:1 1/22/2010 determination of the satisfactory termination of the covenants and conditions regarding the construction of the Improvements on the Development Property as provided in the Agreement.
