of Parcel A legally described as follows:

Hennepin County, Mim�esota(Torrens)(herein"Parcel A-South"}; and
WHE1t�AS,tl�e South Parccl as above described is corapcised of Parcel A-South and
Parcel B;
WHER�AS, notwithstandir►g the above it is the intent of Owners and tl�e City that a �
Parcel A-South and Parcel B are and shall hencefortli be conlinued in commou ownership by the
same person or persons, and fiarlher that Parcel A-South and Parcel B are intended to be used
and/or developed in conu»on by Craigbank as they were in fact one parcel instead of two.
NOW,THEREFORE, for and ia�consideration of tl�e sum of One Dollar($1.00}and
other valuable consideration, Owners hereby covenant, grant, gift,quit claim and convey io the
City the right to restrict, a��d Owners hereby agree to restrict, limit and preclude the ownership,
use,improvement and development o£the South Parcel according to a��d under ihe conditions
and covenants herein contained, as follorvs:
1. The City and Owners agree that the South Parcel shall henceforth be contained in
con�nion use and ownership even if recorded as a separate lot or parcel, and that the South
Pazcel will not be conveyed, sold, leased or otherwise encumbered except together as if they
were a sing(e parcel.
2. The City and Owners agree tl�at tliere is no distinction in use between Parcel A-
South and Parcel B and therefore i'arcels A-South and B may be used or developed for any
principal use as may be permitted in the zoning district, subject to all performance standards and
approvals required therefore.
3. The City shall not issue any building pennits, zoning variances or conditional use
permits for any structure or use u�the South Parcel inconsistent with the covenants contained
herein.
4. Owners hereby grant to the City the right to enter upon the Soutk�Parccl for the
purposes of inspection and enforcement of the covena�ris contained herein, and to cause to be
lawfully removed from the Soutl�Parcel, without any liability, any structures, uses, substances
and natural or unr►atural materials inconsistent witta the covenants contained herein.
5. In addition to any other remedy tiie City may have, the covenants and restrictions
contained herein inay be enforced by injuuction. Any owner who is in possession of the Soutli
Parcel,including,witl�out limitation, Craigbanlc, its successvrs and assigns, shali pay to the City
all costs and expenses including reasonable attorneys' fees incuned by the City in enforcing the
terens of this indenture.
6. The City and Owners agree that tf�e Nonl�Aarcel sl�all hereinafler constitute a
si�igle tax parcel.

7. The terms and conditions of this i��denture inay be modified, amended or
extinguisl�ed and thereafter the South Parcel may be subdivided, sold separately or reduced in
part only upon application by Craigbanlc, its successors and assigns,to ilie City for approval of a
"Subdivision"in accordance with the subdivision ordinance of the City in effect at the time of
such application.
8. Owners agree that recording of this indenture siiall not vest any property rights in
the Properiies and that any zoning or development authorities gi•anted herein or hereinafter
because of Ehis indenture shall remain subject to future regulation, rnodi�cation and/or
limitation by the City or other regulatory bodies in accordance witli legally applicable and
enforceable�oning or other ordii�ances of tlie City. �
9. The City does not intend that the public should have a�ty inlerest in the Properties .
by virtue of this indenture or otherwise, except as hereinabove set forth.
10. All provisions hereof shall run with the land and shall extend to and bind the
heirs, successors, representatives, grantees or assigns of tlte respective parties hereto.
11. This indenture may be executed in mulliple counterparts, and each couuterpari;
when fully cxecuted and delivered, shaU conslitute an original instrument, a��d all sucl�muliiple
. counterparts shail constitute bat one and tkze same instrument.
