List of Permitted and Conditional Uses in the B-1 District Background The property at 2389 Blaine Avenue consists of part of Lot 5 of Langdon Park (0.68 acre) and Outlot A Navarro (0.42 acre). The Langdon Park part of the property is zoned Retail Sales Business B-1. The Navarro part of the property is zoned Lakeshore Residential LR-lC-1. The Landon Park portion of the property is occupied by the buildings and parking. The Navarro portion is mostly vacant. Navarro is the development of twin homes along Lyric Avenue and Livingston Avenue west of Blaine A venue. It was approved in 1982 as a Planned Residential Development. The development property had frontage on Blaine A venue north of the City water tower property and on Shoreline Drive. Two accesses were desired. To avoid an access to Shoreline Drive the City obtained Outlot A from the developer and exchanged it for part of the original 2389 property. This provided right of way for Lyric Avenue and additional right of way for Blaine A venue. As part of the exchange the City is to rezone the prope1iy to Retail Sales Business B-1. The impetus for this rezoning is the development of the City's Geographic Information System (GIS) program. GIS involves linking data bases (such as zoning district, zoning information, existing use, sewer or septic status, easements, etc) to parcels of land. It is much easier to do if each parcel has only one zoning classification. GIS will make it easier to generate maps and provide information via the City's website. Discussion FILE 09-3401 April 20, 2009 Page 2 of2 There was staff turnover when at the time the development was approved. This may be the reason the rezoning was not done at that time. While residents of the Navarro development may be surprised, the rezoning was part of the original plan for the development. It is a specific condition of the property exchange contract. If the property was redeveloped or the existing building expanded the code would require a 35 setback for the building and a 15 foot setback for parking lot adjacent to the residential lot to the west. Harding agrees to transfer to City and City agrees to accept the real estate located in the City of Orono, Hennepin County, Minnesota, legally describ€d on Exhibit A attached hereto, (hereinafter referred to as the •property A•). 2 • Obligation by City. Upon fulfillment of Harding's duties to City at closing as set forth in paragraph 7 hereof and this Agreement, City shall be obligated to complete the following which are hereinafter referred to collectively as •city's . The deed will require that outlet A will be combined on the regular City form for such purposes with Property B. City will rezone outlet A to B-1 Limited Neighborhood Business District. 3. Closing. Closing shall be on December 30, 1982, at the offices of Popham, Haik, Schnobrich, Kaufman & Doty, Lt~., 4344 IDS Center, Minneapolis, Minnesota. 4 • Possession Date. The City shall be entitled to possession of Property A, an~ to all rents and profits therefrom, as of the date of closing~ 5. Obligations of Harding and City as to Title Matters. It is understood and agreed that the title herein required to be furnished to Property A, by Harding shall be marketable of record, free and clear of all claims by others, and that marketability shall be determined as of the date of closing. City shall be allowed fifteen ' (15) days after receipt thereof for examination of said title and the making of any objections thereto, said objections to be made in writing or deemed to be waived, but this provision shall not negate the obligation of Harding to convey Property A by a Warranty Deed, nor negate any warranties given by such deed. If any objections are so made, Harding shall be allowed sixty (60) days to make such title marketable. Harding further agrees to use -2- all reasonable efforts and to expend such sums as may be reasonably necessary to make said title marketatle in the event a defect is disclosed. Pending correction of title, the City Obligations hereunder required and the date of closing shall be postponed, but upon correction of title and within ten (10) days after written notice, City shall perform this agreement according to its terms. If said title is not made marketable within said sixty (60) day period, the City, at its option, may: a) Declare this agreement null and void; or b) Accept said title, delay performing the City's Obligations, and with the money saved by the City from not performing the City's Obligations, apply such funds to the cost of correction of the title objections, including but not being limited to reasonable attorney's fees; or c) Enforce the specific performance of this contract by Harding; or · If the title to Property A be found marketable or if said title is made marketable within said sixty (60) day period and the City defaults in its obligations hereunder and continues in default for a period of ten (10) d~ys after it receives written notice from Harding stating the nature of the default, then Harding may: d) Terminate this agreement in the same manner as a contract for deed is terminated, except for the payment of a mortgage registration tax if no such payment is required by statute; if City makes good such default, City shall pay such costs as are assessed against City in M.S.A. §559.21; and if City does not make good such -3- default, then this agreement shall be terminated and upon such termination all payments made on this agreement shall be retained by Barding as liquidated damages; or · e) Enforce the specific performance by City of this agreement; or f.) Resort to any and all other remedies available to Harding either in law or in equity; provided, however, that such action by either Harding or City, to enforce specific performance of this agreement, or any action by Harding under this option (f) shall be commenced within three (3) months from and after said sixty (60) day perio~ as to City and said ten (10) day period as to Harding. 6 . Real Estate Taxes. Harding shall pay all real estate taxes due and payable in 1982 and 1983. 7 • Harding's Obligations at Closing. At the closing, Harding shall do the following: a) Execute, acknowledge and deliver to City a general Warranty Deed conveying Property A to City, which shall be in form for recording. City shall provide the form of deed. There is no need for Minnesota State Deed Tax stamps. 8 • City's Obligation at Closing •. Subject to the terms and conditions hereof, and after the performance by Harding of its obligations, City shall be opligated to perform the City's Obligations as set forth in paragraph 2 hereof. 9 . Use of Property by City Prior to Closing. Harding agrees that from the date hereof, officers and accredited agents of the City shall have the right, privilege and easement to enter _upon, across and under Property A for all lawful purposes in connection with the acquisition thereof including the right, privilege and easement to use and occupy the property for the -4- . . construction, maintenance and use of a roadway, with appropriate shoulders, culverts and other improvements incidental thereto, construction of sanitary sewer line, access limitation onto County Road 15, and other activities described in more detail on Exhibit C attached hereto. This temporary easement shall remain in effect until the date of closing. 10. Temporary Construction Easement. Harding hereby grants and relinquishes onto the City, over, across and under Property A and Property B, the right, privilege and easement to use and occupy temporarily the property for the accommodation of construction equipment, materials and excavated earth, to fill and grade soil thereon, to sealcoat the existing parking lot, to build an access limitation onto County Road 15, and other activities described in more detail in Exhibit C attached hereto, and to do anything necessary or useful or convenient for the enjoyment of the easemen£ herein ~ranted. The temporary construction easement shall expire on October 15, li83. Following construction, the City will cause to be removed all machinery, equipment, materials, and supplies from Property Band will leave Property Bin a neat; presentable manner. 11. Notice.
