this mattAr with th& City Co, . .tnejl this evening, I have attached a copy of a draft ~lowage and
Comiervatlon E.atement Agreement the City mad;:: available to our clitsnt, Steve White. Mr.
Whit~ has spoken with personnel at the C!ty regarding concerns that the Flowage and
Conservation Easement, as propo$ed, would prevent him or his as,ign$ from gbtalnlng a
permit tor construction of a dock or other uses which; but for the e-asement. could be obtained.
Accordingly, I r~commend th@ following, which I feel reflects our previous discussions about
the Ci1y's position and concerns:
1. Add th& folJowlno new paragraph:

MINUTES FOR SEPTEMBER 15, 1997
The Orono Planning Commission met on the above date with the following members present: Chair
Dale Lindquist, Charles Schroeder, Sandra Smith, Janice Berg, Elizabeth Hawn, William Stoddard,
and Lili McMillan. The following represented the City Staff: Senior Planning Coordinator Michael
Gaffron, Public Services Director Greg Gappa, City Planner Elizabeth Van Zomeren, Planning Intern
Brad Bressler, and Recorder Sherry Frost. Mayor Jabbour and Council Members Goetten and Flint
were present. Chair Lindquist called the meeting to order at 7:02 p.m.
SCHEDULED PUBLIC HEARINGS/PUBLIC INFORMATION REVIEWS
(#1) #2286 STEVE WHITE, 4355 BAYSIDE ROAD, CLASS I METES AND BOUNDS
SUBDIVISION -PUBLIC HEARING 7:02-7:13 P.M.
The Affidavit of Publication and Certificate of Mailing were noted.
The Applicant was present.
Gaffron reported that the application is for a Class I subdivision of 55 acres. The northern portion
is in the RR-1 A, 5 acre, Zoning District. The southern portion is in the RR 1 B, 2 acre, and LR-1 A,
2 acre lak:eshore, Zoning Districts. This existing single tax parcel has property located on both sides
of Bayside Road and is proposed to be subdivided into two lots, each including area on both side of
the road. Lot A would have 18.8 acres of dry buildable. Lot B, which is 29.1 acres, contains the
existing house, and will have 23.5 acres of dry buildable. Gaffron indicated that the attorneys for
the city and applicant have agreed that the subdivision is a Class I, metes and bounds division, and
therefore, the property is not required to be platted and is not subject to park dedication.
Gaffron recommended the property line be moved easterly for Lot A as the portion north of Bayside
Road as proposed is less than 5 acres. There is a small wetland located to the east, north of Bayside
Road, which will require a Conservation and Flowage easement, as well as wetlands on the south
side abutting Lake Minnetonka via the channel. A concern was voiced that depending on where the
929.4 lak:e elevation is located, the property could be considered a lak:eshore lot. If so, parcels A and
B would not meet a 500' width measured at the shoreline and at the 75' setback. Due to this, the
Staff and City Attorney have concluded that this split is not exempt from subdivision regulations but
must be at least considered a Class I Subdivision. The 2 acre minimum is met by the portion of
Parcels A and B south of Bayside, and Gaf:fron noted that the property could be further subdivided
in the future.

Gaffron requested the applicant show the 929 .4 contour on the survey. Parcel A includes a barn and
out buildings that will have to be removed. Gaffron recommended the removals occur within six
months of the subdivision approval. Septic system testing has taken place. The existing house
meets all setback requirements.
Gaffron reviewed the issues for discussion as noted in the packet.
The applicant had no further comments to add at this time.
Lindquist asked White if he was willing to move the lot line to accommodate parcel A having at least
5 acres of dry buildable. White said he would as it was his intent to have equal sized parcels. He
informed Smith that this was the primary reason for how the property was being split.
There were no public comments.
White informed Lindquist that he understood and accepted the Staff recommendations 1-8 as noted
in the packet.
Smith was told that it was White's intention to construct a home on the second parcel with no further
subdivision.
McMillan questioned the amount of roadway. Gaffron said Staff is recommending 66' instead of
80' as needed according to the Comprehensive Plan as no County trail is planned. He noted the
County's standards are different than those in Orono's Comprehensive Plan.
Schroeder moved, Smith seconded, to approve Application #2286 with Recommendations #1-8 as
listed on pages 3 and 4 of the Staff memo. Vote: Ayes 7, Nays 0.

After reviewing the pertinent code sections and discussing the matter with City Attorney Tom
Barrett, we have concluded that your subdivision falls under Section 11.10, Subd. 22 ( copy attached)
which requires that if the subdivision is not filed within 180 days of final approval but less than 360
days after approval, a new Preliminary Subdivision application is required. This will require a
hearing at the Planning Commission (September 21) with final action by the City Council on
September 28.
Enclosed also please find a copy of your prior application for reference and a new subdivision
application packet. The application form and $350 application fee must be submitted no later than
noon on Wednesday August 19, 1998 in order to meet the schedule noted above. We will re-use the
other subrnittals already on file for the review, and I will advise you if we need further copies of any
of the surveys, etc.
Two copies of the Flowage and Conservation Easement are also enclosed per your request.

As you know, we represent Steve White. This letter follows our phone conversation last
month regarding revislons to a Flowage and Conservation Easement Agreement proposed by
your client, the City of Orono.
I understand that Mr White has spoken with personnel at the City regarding concerns that the
Flowage and ConseNation Fasement, ~s proposed, would prevent him or his assigns from
obtaining a permit for construction of a dock or other uses wh1cri, but for the eas~ment1 couid
be obtalned. Accordingly, I recommend adding the following new sub-paragraphs to page 2
as follows:
G. Nothing in this Flowage and Conservation Easement Agreement shall.
be deemed to or construed to restrict the use of the Land beyond
current zoning and/or land use restrictions.
H. Nothing in this Flowage and Conservation Easement Agreement shall
be deemed to or construed to restrict or limit the right of the Grantee or
Gran1tee' s assigns to apply for a pennit for a dock.
The nature and extent of any encumbrances against the Land should not affect the efficacy of
the ~lowage and Conservation ~asernent. Accordingly, the last full paragraph relating to
encumbrnncss shoutd be stricken.

works for flood control such as darns, levees, dikes and floodwalls
shall be allowed only upon issuance of a conditional use i;:errnit.
In addition, any i;:roposed work in the beds of public waters which
will change the course, current, or cross-section of the waters
shall be subject to the provisions of Minnesota Statutes 1976,
Chapter 105, and other:applicable statutes.
Subd. 12. Conditional Use Permit Review. Applications
for conditional use permits shall be reviewed by the Planning
Commission and the Council in the same manner as other zoning
conditional use permit applications •. No conditional use permit
shall be issued unless the applicant, in support of his
application, shall submit certified engineering data, surveys, site
i;:lans, flowage calculations, and other information as the City may
require in order to determine the effects of such development on
the affected land and water areas.
A. No~ice to State. Upon filing of an application
for a conditional use permit, the Zoning Administrator shall submit
to the Commissioner of Natural Resources .a copy of the application
for proposed conditional uses sufficiently in advance so that the
Commissioner will receive at least ten days notice of the hearing.
A copy of all decisions granting conditional use permits shall be
forwarded to the Commissioner of Natural Resources within ten days
of such action. ·
B. -Conditions· of Approval. In granting a
conditional use permit the City may prescribe appropriate
conditions and safeguards, • which are : in conformity with the
puri:;oses of this Section. Violations of such conditions and
safeguards, when made a part of the terms under which the
conditional use permit is granted, shall be deemed a violation of
this Section punishable as provided herein~

§ 10.55
c. Engineering Review. The City Engineer or other
designated expert shall review applications for conditional use
permits and applications for uses within the General Flood Plain
District and, consistent with Minnesota Regulation NR86-87, shall
determine whether the proposed use is in the floodway or flood
fringe and sha 11 determine the regulatory flood protection
elevation. The designated engineer or expert shall:
1. Estimate the peak discharge of the regional
flood.
2. Calculate the water surface profile of the
regional flood based-upon a hydraulic analysis of the stream
channel and overbank areas. ·
3. Compute the floodway necessary to convey
the regional flood without increasing flood stages more than 0.5
feet. An equal degree of encroachment on both sides of the stream
within the reach will be assumed.
D. Factors Upon Which the Decision of the City
Shall be Based. In passing upon conditional use applications, the
City shall consider all relevant factors specified in other
provisions of this Section, and:
1. The danger to life and property due to
increased flood heights or velocities caused by encroachments. ·
, , 2. The danger that materials may be swept onto
other lands or downstream to the injury of others.
3. The proposed water supply and sanitation
systems and the ability of these systems to prevent disease,
contamination, and unsanitary conditions.
4. The susceptibility of the proposed facility
and its contents to flood damage and t~e effect of such damage on
the individual owner.
5. The importance of the services provided by
the proposed facility to the community.
6. The requirements .of" the facility for a
waterfront location.
7. The availability of alternative locations
not subject to flooding for the proposed use.
8. The compatibility of the proposed use with
existing development and development anticipated in the foreseeable
future.
9. The relationship of the proposed use to the
comprehensive plan and flood plain management program for the area.
10. The safety of access to the property in
times of flood for ordinary and emergency vehicles.
11. The expected heights, velocity, duration,
rate of rise, and sediment transport of the flood waters expected
at the site. ·
12. Such other factors which are relevant to
the purposes of this Section.

Subd. 13. City Determination. Based. upon the technical
evaluation of the designated engineer or expert, and based upon the
factors listed above, the City shall determine whether the proposed •
use is in the floodway or flood fringe and the regulatory flood
protection elevation at the site.
Subd. 14. Conditions Attached to Conditional Use
Permits. Upon consideration of the factors listed above and the
purposes of this Section, the City may attach. such conditions to
the granting of _a conditional use permit as it deems necessary to
fulfill the purposes of this Section. Such conditions may include,
but are not limited to, the following:
A. Modification of waste disposal and water supply
facilities.
B. Limitations on period of use, occupancy and
operation.
C. Imposition of operational controls, sureties,
and deed restrictions.
D. Requirements for construction of channel
modifications, dikes, levees, and other protective measures.
E. Flood proofing measures, in accordance with the
State Building Code. The applicant shall suQmit a plan or document
certified by a registered professional engineer or architect that
the flood proofing measures are consistent with the regulatory
flood protection elevation and associated flood factors for the
particular area. ·
Subd. 15. Land Development and Platting. No part of any
lot within the Flood Plain and Wetlands Conservation Area shall be
platted for residential occupancy or for other uses which will
increase the danger to·· health, life, property or the public
welfare. All lots containing land within the flood plain districts
shall contain a building site above the regulatory flood protection
elevation. All subdivisions shall have water and sewage disposal
facilities that comply with the provisions of this Section and have
.road access no lower than two feet below the ~eiulatory flood
protection elevation. Whenever a portion of the Flood Plain and
Wetlands Conservation Area is located within or adjoins a land area
that is being subdivided, the subdivider shall dedicate to the City
an adequate perpetual easement over the land within the protected
area and along each side of such area for the purpose of improving
or protecting the area for drainage or other purposes expressed in
this Section and other recreational uses, as determined by the
Council. Public or private streets, driveways, drainage openings
and culverts shall not be constructed unless the design thereof has
been approved by the City,· and such structures shall., be designed so
as not to restrict the flow of water. Subdivision applicants shall
provide all-certified engineering data, surveys, site plans,
flowage calculations and other information as the City may require
in order to determine the effects. of such _development on the
affected land and water areas. ·

A METES AND BOUNDS CLASS I SUBDIVISION
OF PROPERTY LOCATED AT 4355 BAYSIDE ROAD
FILE NO. 2286
WHEREAS, the City of Orono is a municipal corporation organized and existing
under the laws of the State of Minnesota; and
WHEREAS, the City Council of the City of Orono (hereinafter "City Council") has
adopted subdivision regulations for the orderly, economic and safe development of land within the
City; and
WHEREAS, the City Council has considered the application for a 2-lot Class I metes
and bounds subdivision by Steve White and VCI Capital, Inc. (hereinafter "the subdividers") of
property located at 4355 Bayside Road and legally described in the survey attached hereto as Exhibit
A (hereinafter "the property"); and
WHEREAS, the subdividers have completed all requirements of the City for a 2-lot
metes and bounds Class I subdivision of the property.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of
Orono hereby approves the 2-lot metes and bounds Class I subdivision for the subdividers as shown
on the Certificate of Survey by Mark S. Gronberg, a licensed surveyor of Coffin and Gronberg, Inc.,
dated August 19, 1997, revised October 6, 1997 and attached to this resolution as Exhibit A, subject
to the following conditions:
1. The subdividers shall grant Conservation and Flowage Easements to the City over
the wetlands shown on the attached survey. The subdividers shall provide legal
descriptions for said easements.
2. The subdividers shall grant to Hennepin County a 66' road, drainage and utility
easement over the portions of County Road 84 (Bayside Road) shown on the attached
survey. The subdividers shall provide a legal description for said easements.
3. The existing barn and other outbuildings on Parcel A shall be removed within 6
months of subdivision approval.

4. As a Class I subdivision, this subdivision is not subject to Park Dedication.
5. The subdivider is advised that the portions of Parcels A and B north of Bayside Road
are not separately buildable, and any future proposal to construct accessory structures
on those portions will be subject to further City review and approval.
6. Applicant shall provide confirmation of legal ownership of the property via title
opinion or other form satisfactory to the City Attorney before the subdivision will be
released for filing.
7. The aforesaid division shown on the attached Certificate of Survey and the aforesaid
easements shall be filed by the City of Orono with either the Hennepin County
Recorder's Office or Registrar of Titles Office on or before April 13, 1998 together
with a certified original copy of this resolution. The approval granted by this
resolution shall expire if the division has not been filed by the date specified above.
In that event, it will be necessary to file a new application with the City of Orono for
subdivision review.

The Orono Planning Commission met on the above date with the following members

Gaffron reported that the application is for a Class I subdivision of 55 acres. The northern
portion is in the RR-lA, 5 acre, Zoning District. The southern portion is in the RRlB, 2
acre, and LR-lA, 2 acre lak:eshore, Zoning Districts. One tax parcel has property located
on both sides of Bayside Road and is proposed to be subdivided with properties on both
side of the road. Lot A would have 18.8 acres of dry buildable. Lot B, which is 29.1
acres, contains the existing house, and will have 23.5 acres of dry buildable. Gaffron

indicated that the attorneys for the city and applicant have agreed that the subdivision is a
Class I, metes and bounds division, as the property is not platted and will not require park
dedication.
Gaffron recommended the property line be moved for Lot A as the northern portion of
Bayside Road would be less than 5 acres. There is a small wetland located to the east,
north of Bayside Road, which will have a Conservation and Flowage easement as well as
that portion on the south side abutting Lake Minnetonka via the channel. A concern was
voiced that depending on where the 929.4 lake elevation is located, the property could be
considered a lakeshore lot. If so, parcels A and B would not meet the 500' width
requirement measured at the shoreline and at the 75' setback. Due to this, the Staff and
City Attorney have concluded that this split is not exempt but must be at least considered
a Class I Subdivision. The 2 acre minimum is met by the parcels and Gaffron noted that
the property could be further subdivided in the future.
Gaffron requested_ the applicant show the 929.4 contour on the survey. Parcel A includes
a barn and out buildings that will have to be removed. Gaffron recommended the
removals occur within six months of the subdivision approval. Septic system testing has
taken place. The house meets all setback requirements.
Gaffron reviewed the issues for discussion as noted in the packet.
The applicant had no further comments to add at this time.
Lindquist asked \Vhite if he was willing to move the lot line to accommodate parcel A
having at least 5 acres of dry buildable. White said he would as it was his intent to have

as noted in the packet.
Smith was told that it was White's intention to construct a home on the second parcel with
no further subdivision.
McMillan questioned the amount of roadway. Gaffron said Staff is recommending 66'
instead of 80' as needed according to the Comprehensive Plan as no trail is planned. He
noted the County's standards are different from those of the City.
Schroeder moved, Smith seconded, to approve Application #2286 with Recommendations
#1-8 as listed on pages 3 and 4 of the Staff memo. Vote: Ayes 7, Nays 0.

63. "Subdivider" -Any person who (1) has an
interest in land, who causes it, directly or indirectly to be
divided into a subdivision or who (2) directly or indirectly sells,
leases, or develops, or advertises for sale, lease, or development,
any interest, lot, parcel, site, unit or plot in a subdivision, or
who (3) engages directly or through an agent in the business of
selling, leasing, developing, or offering for sale, lease or
development a subdivision or any interest, lot, parcel, site, unit
or plot in a subdivision, or who (4) is directly or indirectly
controlled by or under direct, or indirect common control with any
of the foregoing.
64. "Subdivider's Agent" -Any person, firm,
corporation, or realtor who represents, or acts for or on behalf
of, a subdivider in selling, leasing or developing, or offering to
sell, lease, or develop any interest, lot, parcel, unit, site or
plot in a subdivision.
65. "Subdivision" -The separation of an area,
parcel, or tract of land under single ownership into two or more
parcels, tracts, lots, or long-term leasehold interests where the
creation of the leasehold interest necessitates the creation of
streets, roads, or alleys, for residential, commercial, industrial,
or other use or any combination thereof, except those separations:
a. Where all the resulting parcels, tracts,
lots, or interests will be 20 acres or larger in size and 500 feet
in width for residential uses and five acres or larger in size for
commercial and industrial uses;
b. Creating cemetery lots;
c. Resulting from court orders, or the adjust-
ment of a lot line by the re location of a common boundary as long
as each of the two resulting lots meets the requirements of the
Zoning Chapter of the City Code.
66. "Subdivision, Classification".
a. "Class I Subdivision" -A Class I
Subdivision shall be exempt from platting by the City and shall be
permitted subdivision by metes and bounds description described by
a Registered Land Surveyor if it meets one or more of the fol lowing
criteria:
1. The subdivision results in no more
than two buildable lots where each resulting lot meets or exceeds
five acres (217,800 square feet) of land, and each lot has at-least
300 feet of frontage on a public roadway which has been accepted
and opened by the City or on a private roadway open to tra ve 1 or
vehicular use pursuant to an easement between persons or between
persons and the City, and where no flexible zoning application or
extension of municipal utililties is involved;

SUBDIVISIONS.
§ 11.62
PARKS AND PLAYGROUNDS, CLASS II AND III
--•, . Subd. 1. Lands For Public Use. Pursuant to Minnesota
•Statutes, {1989), Section 462.358, subd. 2b, the City requires all
persons, corporations or other legal entities that subdivide land
with the City of Orono as a prerequisite to approval of a lot
division, final plat, or development of any land previously divided
by plat, metes and bounds, or any other means, must convey to the
City or dedicate to the public, for use as parks, playgrounds,
trails, or open space, a given percentage of the land being platted
or developed as hereinafter specified, said portions to be approved
by the City. In lieu thereof, the subdivider shall, at the option
of the City pay to the City, for use in the acquisition,
development or maintenance of public parks, playgrounds, trails,
wetlands or open spaces and debt retirement in connection with the
land previously acquired for such public purposes, an equivalent
amount in cash based upon the fair market value of the land to be
developed. The form of contribution (cash or land, or any
combination thereof) shall be decided by the City Council based
upon the need and conformance with the Comprehensive Plan.
Subd. 2. Dedicated Land Requirements. Any land to be
dedicated as a requirement of this Section shall be reasonably
adaptable for the above public purposes. Factors used in
evaluating the adequacy of proposed dedicated areas shall include
size, shape, topography, drainage, geology, tree cover, access and
location.
) Subd. 3. Land Dedication Minimum Area. Subdividers
shall be required to dedicate to the City for parks, playgrounds,
trails, open spaces and other public purposes as a minimum that
i;;ercentage of gross land.area, or other such amount as may be
determined by the City Council, as set forth below:
A. Residential/agricu 1 tura 1/mu 1 tip le residential
zoned land. Dedication requirement of 8% of the land being
platted, subdivided or existing lot of record.
B. Commercial/industrial zoned land. Dedicated
requirement of 8% of the land being platted subdivided or existing
lot of record.
Subd. 4. Cash Contribution in Lieu of Lands. In those
instances where a cash contribution is to be made by the
subdivider, in lieu of a conveyance or dedication of land, the cash
contribution to be contributed shall be equivalent to the fair
market value of the equivalent undeveloped land that would other-
wise have been conveyed or dedicated. The City shall account for
such funds in a special fund named Park Dedication Funds.

§ 11.62
Subd. 5. Fair Market Value of Lands. "Fair Market
Value" for purposes of this Code shall be the land pre-development
value to be determined by the City Council as of the time of
preliminary plat application in accordance with the following:
A. The City Assessor shall recommend to the City
Council as to the fair market value of the land after consultation
with the subdivider.
B. If agreement is not reached between the City
Assessor and subdivider, then the fair market value shall be
determined in accordance with the following:
1. Fair market value as determined by the City
Council based upon a current appraisal submitted to the City by the
subdivider, at his expense. The apprai sa 1 sha 11 be made by
appraisers who are approved members of SREA or MAI, or equivalent
real estate societies.
2. If the City disputes such appraisal
amounts, it may obtain an appraisal of the property by a qualified
real estate appraiser which the City Council selects and which
appraisal may be accepted by the City as being an accurate
appraisal at fair market value. The cost of the appraisal shall be
paid by the subdivider.
3. The subdivider may appeal any final
determination of fair market value as provided by Minnesota Statute
Section 4 62.361.
C. The determination of fair market value of the
undeveloped land by the City Assessor, City Council, or designated
appraisers, shall be determined as of the time of preliminary
subdivision approval is granted as long as there is final plat
approval within the time limits as set forth in this chapter. The
time of preliminary plat approval is utilized because the nature of
the subdivision, its probable population, lot size and value, and
other relevant factors are known. If an extension of the time
limits in this chapter is approved by the City Council, the fair
market value shall be determined as of the time of the approval of
that extension. In determining the fair market value as of time of
preliminary plat application, or the extension thereof, the factors
to be included in the analysis shall include any and all factors
which are generally accepted and used by approved members of SREA
or MAI or equivalent real estate appraisal societies.
D. Notwithstanding the above, in no event shall the
cash contribution per lot be less than $500.00 per lot or $300.00
per dwelling unit.

§ 11.62
Subd. 6. Development of Land Previously Platted.
{Repealed per Ordinance #89, Second Series, adopted October 8,
1990. ).
Subd. 7. Future Subdivision. Any land which is further
subdivided, divided or replatted or applied for such subsequent to
May 1, 1990, shall be subject to the requirements of the ordinance
then in effect concerning dedication of land for public purposes,
and credit shall be given for any charges previously imposed upon
that land if the subdivider can prove that fees where previously
paid. In no event shal 1 the City be liable for any payment which
may be due because of a subsequent reduction in the application
percentage of land or equivalent market value in cash to be
dedicated.
Subd. 8. Administrative Procedures. The City Council
shall establish such administrative procedures as they may deem
necessary or appropriate to implement the provisions of this
section of the Code.

I have received your title opinion and a certified copy of the City's resolution regarding the
pending subdivision of land by VCI Capital, Inc. Upon review of the opinion and resolution, I find that
prior to recording the resolution, we must receive a Flowage and Conservation Easement and Waiver
of Damages in favor of the City of Orono; and a Roadway Easement in favor of Hennepin County.
Both of these easements must be recorded simultaneously with the resolution approving the
subdivision. For your information, I have enclosed legal descriptions for both easements and a form of
Flowage and Conservation Easement and Waiver of Damages which is acceptable to the City.
Upon our receipt of the above-referenced easements, we will proceed to file the subdivision
resolution. Please note that I will be recording documents at the County tomorrow morning and on the
morning of December 30. I will be on vacation from Wednesday, December 24 through Sunday,
December 28. If these easements are completed and ready for recording tomorrow~ please deliver
them to my attention. at the Hinshaw & Culbertson office this afternoon. In the event these documents

placed, dumped or stored upon the Land and no waste, trash or garbage shall be
placed, dumped or stored upon the Land.
E. No use shall be made of the Land except uses, if any, which will not
change or alter the natural condition of the Land. and no use which would tend
to change the drainage, flood control, water conservation, erosion control. soil
conservation, fish and wildlife habitat characteristics shall be made of the Land
or the water situated thereon.

F. Grantee may enter upon the Land for the purposes of inspection and
enforcement of the covenants contained herein and to cause to be removed from

As we discussed, the applicant should provide, via easement or dedication,
an BO-foot corridor along this segment of County State Aid Highway (CSAH)
84 (40 feet from and parallel with the existing centerline). This action
will accommodate any future upgrading and provide for utility installations
that are expanding regularly.
Access will be limited to one per site. However, none will be permitted
along the westerly 300 feet on the south side of CSAH 84 due to the limited
sight distance through the "S" curve.

Dear Ms. Van Zomeren:
Following up on our meeting with you and Mike Gaffron last
week, I am writing to -request the City's approval of a "lot split"
or a "combination/division" under §11.03.65.a. or c. of the City
Code. In this regard, I am enclosing the following:
1. A reduced copy of a Survey by Coffin & Gronberg which I
have marked to show the location of Greg White's existing
home, the approximate location where Steve White plans to
build a new home, the current PIO numbers and the
proposed new boundary line. PIO No. 06-117-23-11-0003
contains 18.25 total acres. PIO No. 06-117-23-13-0003
contains 13.27 "dry" acres north of Bayside Road and 30
"dry" acres south of the Road.
2. Minnesota Statutes §462.358,

3. Your Memorandum to me dated February 4, 1997, and City
Code §§11.03.65 and 11.03.66 enclosed therewith.
4. A Memorandum by the Hennepin County Survey Section dated
April 7, 1997, setting forth the legal description for
Bayside Road as it bisects my client's property.
5. A list of three lot line rearrangements in Orono which
establish precedent for approval of our request. I found
these by searching the annual files from 1985 to the
present maintained by the Hennepin County Office of
Property Divisions.

The two new parcels depicted on the enclosed Survey satisfy
the 20-acre and the 500-foot-width requirements of Minn. Stat.
§462.358, subd. 4b(6), and the corresponding provision in the Orono
City Code. The State law is simple and unambiguous. If its
criteria are satisfied, a city's subdivision regulations do not
apply.
Similarly, the clear and unambiguous language of cc
§11.03.65.a excepts parcels meeting the 20-acre and 500-foot-width
requirements from the definition of a subdivision and the need for
subdivision approval. See Littlefield v. City of Afton, 785 F.2d
596, 602-03 (8th Cir. 1986) (discussing a "minor subdivision"
process not requiring platting).
Alternatively, the two new parcels result from "the adjustment
of a lot line by the relocation of a common boundary ... " under cc
§11.03.65.c. To the best of my knowledge, the two new lots easily
meet the requirements of the Zoning Chapter of the City Code.
In your February 4 Memorandum you cite five reasons for the
City staff's determination that subdividing Parcel A on the
enclosed Survey would constitute a Class III Subdivision. The
first reason is that Bayside Road must be dedicated to the public.
I was advised by a City staff member two days after your Memorandum
that "the City's subdivision regulations say if there is a public
road within the boundaries of a property that has not been
dedicated to the public, it has to be dedicated". This is
obviously the case for new roads, but I can find no such
requirement in the city Code for existing public roads.
Nonetheless, my client will be happy to dedicate the affected
portion of Bayside Road by deed, using the description prepared by
the County, which will have the same legal effectiveness as a
dedication in a plat. There is simply no authority in the City
Code for requiring a plat for this purpose.
The same holds true for the second and third reasons cited in
your Memorandum --there is no authority in the City Code requiring
a plat to make the riparian dedication or drainage easement, but my
client will be happy to grant these public rights by deed. Each of
the three property divisions described on the enclosed list
required public easement rights, but the City permitted those
rights to be created by private grant rather than by dedication on
a plat.
The fourth reason stated in your Memorandum for requiring a
plat is based on the faulty premise that we desire or are required
to create a separate lot for the land north of Bayside Road. I was
recently advised by a staff member that when a public road bisects

a tract of land, it creates separate parcels on each side of the
road. There is no authority whatsoever in the City Code for that
proposition. Each of the two tax parcels here is a single, unitary
lot of record for purposes of taxation, conveyancing, partitioning,
bequest or devise, etc. The fifth reason cited in your Memorandum
is not relevant.
Steve White is eager to begin construction of his new home.
We believe the applicable law is quite clear and wish that you did
not feel it necessary to refer this matter to your City Attorney.
If we have missed a controlling statute or ordinance, we will
promptly review it and respond. If not, we will have our surveyor
prepare a legal description for the new boundary line and submit a
deed to you for certification in accordance with the last sentence
of the first paragraph of Minn. Stat. §462.358, subd. 3b, and CC
§11.10, subd. 3.B.
If you or the City Attorney have any questions, please do not

Subd. 3b . Review procedures. The regulations shall include provisions regarding the
content of applications for proposed subdivisions, the preliminary and final review and ap-
proval or disapproval of applications. and the coordination of such reviews with affected
political s ubdivisions and stale agencies. The regulations may provide for the consolidation
of the preliminary and final review and approval or disapproval of subdivisions. Preliminary
or final approval may be granted or denied for parts of subdivision applications. The regula-
tion s may delegate the authority lo review proposals lo the planning commission, but final
approval or disapproval shall be the decision of the governing body of the municipality un-
less otherwise provided by law or charter. The regulation s shall require that a public hearing
shall be held on all subdivision applications prior lo preliminary approval. unless otherwise
provided by law or charter. The hearing shall be held following publication of notice of the
time and place thereof in the official newspaper at least ten days before the day of the hearing .
At the hearing. all persons interested shall be given an opportunity to make presentations . A
subdivision application shall be preliminarily approved or disapproved within l 20 davs fol-
lowing delivery of an application completed in compliance with the municipal ordina~ce by
the applicant to the municipality. unle ss an extension of the review period has been agreed to
by the applicant. When a division or subdivision to which the regulations of the municipalit y
do not apply is pre sented to the city. the cl e rk o r the municipalit y shall within ten day s certify
th at the subdivision regulations of th e muni cipa lity do no t apply to the particular division.

Subd. 4b. Restrictions on filing and recording conveyances. In a municipality in
which subdivision regulations are in force and have been filed or recorded as provided in this
section, no conveyance of land to which the regulations are applicable shall be filed or re-
corded, if the land is described in the conveyance by metes and bounds or by reference to an
unapproved registered land survey made after April 2 l, 1961 or to an unapproved plat made
after such regulations become effective. fr he foregoing provision docs not apply to a convey-
ance if the land de sc ribed:
( l) was a separate parcel of record April l. 1945 or the date of adoption of subdivision
regulations under Laws 1945 , Chapter 287, whichever is the later, or of the adoption of subdi-
vision· regulations pursuant to a home rule chat1er, or
(2) was the subject of a wiitten agreement to convey entered into prior to such time,
(3) was a separate parcel of not less than 2-l/2 acres in area and l 50 feet in width on
January I, 1966, or
(4) was a separate parcel of not less than five acres in area and 300 feet in width on July
I, 1980, or
(5) is a single parcel of commercial or industrial land of not l~ss than five acres and hav-
ing a width of not less than 300 feet and its conveyance does not result in the division of the
parcel into two or more lots or parcels. any one of which is less than five acres in area or 300
feet in width, or ·
(6) is a single parcel of re si dential or agricultural land of not le ss than 20 acres and hav-
. ng a width of not les s than 500 feet and its conveyance doe s not re sult in the division of the
parcel into two or more lots or parcel s. any one of which is less than 20 acre s in area or 500
feet in width.
In any case in which compliance with the foregoing rest1ictions will create an unnece s-
sary hardship and failure to comply does not interfere with the purpose of the subdivision
regulations, the platting authority may waive such compliance by adoption of a resolution to
that effect and the conveyance may then be filed or recorded. Any owner or agent of the own-
er of land who conveys a lot or parcel in violation of the provisions of this subdivision shall
forfeit and pay to the municipality a penalty of not less than $ I 00 for each lot or parcel so
conveyed. A municipality may enjoin such conveyance or may recover such penalty by a
civil action in any cou11 of competent jurisdiction.

Faxed with this memo, please find a copy of Orono's ordinances that explain the three classes
of subdivisions. It is the opinion of City staff that Steve White's proposal for the 54 acre
parcel on Bayside Road (County Rd. 84) is a Class 111 Subdivision (See Chapter 11.03
Definition 66, ''Subdivision, Classification". c., 1-4., p. 425),
Staff's opinion is based on the following criteria:
1. Bayside Road (County Road 84) is a public road that must be dedicated to the public.
2. The channel in the southwest portion of the existing parcel will need to be dedicated as
public waters.
3. There will need to be a drainage easement over the 15 acre wetland.
4. Mr. White will be creating 3 lots:
a. Greg White's lot
b. Steve White's lot
c. outlot or future buildable 12 acre lot north of Bayside Road
5. The lots being created are larger than 5 acres in size.

parcels, tracts, lots, or long-term leasehold interests where the
creation of the leasehold interest necessitates the creation of
streets, roads, or alleys, for residential, commercial, industrial,
or other use or any combination thereof, except those separations:
a. Where all the resulting parcels, tracts,
lots, or interests will be 20 acres or larger in size and 500 feet
in width for residential uses and five acres or larger in size for
commercial _and industrial uses;
b. Creating cemetery lots;
c. Resulting from court orders, or the adjust-
ment of a lot line by the relocation of a common boundary as long

described as follows:
