GRANT OF PERMANENT EASEMENTS
THIS EASEMENT is given on cU4v 11 , 2025 by ORONO GARAGE CONDOS
LLC, a Minnesota limited liability company ("Grantor") to CITY OF ORONO, a Minnesota
municipal corporation("City"), as Grantee, in accordance with the following:
1. Ownership. Grantor is the fee owner of certain real property located in the City of
Orono, County of Hennepin, State of Minnesota, legally described on the attached Exhibit A (the
"Property"). The Property is located at 430, Old Crystal Bay Road Orono, Minnesota.
2. Grant of Easements. For valuable consideration, receipt and sufficiency of which is
hereby acknowledged, Grantor hereby grants and conveys to City the following easements:
a. A permanent, non-exclusive easement for public drainage and utility purposes
(the"Drainage and Utility Easement")under, over, on, across, and through that
portion of the Property that is legally described on the attached Exhibit B and
depicted on the attached Exhibit C(the"Drainage and Utility Easement Area").
b. A permanent, non-exclusive easement for public drainage, utility and ponding
purposes (the "Drainage, Utility and Ponding Easement")under, over on, across,
and through that portion of the Property that is legally described on the attached

Exhibit B and depicted on the attached Exhibit D (the "Drainage, Utility and
Ponding Easement Area").
The Drainage and Utility Easement and Drainage, Utility and Ponding Easement are collectively
referred to as"the Easements"and their respective easement areas are collectively referred to as"the
Easement Areas."
3. Scope of Easement Rights.
a. The Drainage and Utility Easement includes the right of the City,its contractors,
agents, servants,and assigns,to enter upon Drainage and Utility Easement Area
at all reasonable times to: (1) locate, construct, reconstruct, operate, maintain,
inspect, alter and repair within the Drainage and Utility Easement Area storm
sewer, sanitary sewer and water facilities, ground surface drainage ways, or
other public facilities or improvements of any type that are not inconsistent with
public drainage and utility use; and (2) grade, level, fill, drain, pave, and
excavate the Drainage and Utility Easement Area; and (3) cut, trim or remove
trees,bushes,undergrowth, and other obstructions interfering with the location,
construction, and maintenance of the Drainage and Utility Easement or
Drainage and Utility Easement Area.
b. The Drainage, Utility and Ponding Easement includes the right of the City, its
contractors, agents, servants, and assigns, to enter upon Drainage, Utility and
Ponding Easement Area at all reasonable times to: (1) locate, construct,
reconstruct, operate, maintain, inspect, alter and repair within the Drainage,
Utility and Ponding Easement Area storm sewer, sanitary sewer and water
facilities, ground surface drainage ways, ponding facilities including inlet or

outlet facilities, or other public facilities or improvements of any type that are
not inconsistent with public drainage, utility and ponding use; and (2) grade,
level, fill, drain, pave, excavate and dredge the Drainage, Utility and Ponding
Easement Area; and (3) cut, trim or remove trees, bushes, undergrowth, and
other obstructions interfering with the location, construction, and maintenance
of the Drainage, Utility and Ponding Easement or Drainage, Utility and Ponding
Easement Area. The Drainage, Utility and Ponding Easement also includes a
reasonable right of access over and across the Property, including any areas not
improved with buildings, as necessary to gain access to the Drainage, Utility
and Ponding Easement for purposes of exercising the City's rights under the
Drainage, Utility and Ponding Easement.
4. Duration of Easement. The Easements are permanent and remain in effect until
vacated by the City.
5. Warranty of Grantor. The Grantor, for itself, its successors, and assigns, warrants
that it is the owner of a fee simple interest in the Property, that it has the right to grant the
Easements, that there are no unrecorded interests in Easement Areas; and it will indemnify and
hold the City harmless for any breach of the foregoing warranty.
6. The attached Exhibit A,Exhibit B,Exhibit C and Exhibit D are incorporated into
and made a part of this instrument.

County, Minnesota, described as being 7.5 feet on each side of a line drawn 358.00 feet east of,
measured at a right angle to, and parallel with the most westerly line of said Lot 1.
Drainage, Utility and Ponding Easement
A perpetual easement for public drainage,utility and ponding purposes under,over, on,across, and
through the east 44.00 feet of Lot 1, Block 1, CRYSTAL BAY BUSINESS CENTER, Hennepin
County, Minnesota, and the west 48.00 feet of the east 92.00 feet of the south 34.00 feet of said
Lot 1.
