� A RESOLUTION AUTHORIZING THE CITY OF ORONO
� TO EXTEND AN AGREEMENT FOR THE USE OF �
� HENNEPIN COUNTY' S ELECTRO1vIC PROPIETARY DATA BASE
�
� WHEREAS, the County has developed an electronic proprietary geographical
( infonnation data base which was designed using an automated mapping faciliry software product,
� which proprieta.ry geographical digitized data base is hereinafter referred to as "Electronic
fProprietary Data Base" (EPDB) and which is described in the Hennepin County Conditional Use
± License Agreement attached hereto and hereby made a part hereof; and

� VVHEREAS,the City of Orono desires to use the County's EPDB,and the City has
1 retained the consulting engineering firm of Bonestroo Rosene Anderlik (BR.A)to provide seivices
l to the City, a.nd the City and BR.A desire to use the Cotanty's EPDB in the course of conducting the
• � City's business; and
# WHEREAS,the County intends that any additions and inodifications to the EPDB
� relating to tlie Coltnty reinain wholly compatible with the Coiulty's EPDB for the period of the
� copyright and information added to the data base by either the County or the City shall be made
� available to either party; and

; WHEREAS,in acknowledgment of the Eiitity's above stated puipose,the Cotuzty is
� agreeable to provide to the City and BR.A access to the EPDB described in Exhibit A; and

jWHEREAS parties agree that the execution of this Agreement is necessary in order
1 to adequately protect said EPDB; and

WHEREAS on Jttly 12, 1999 the City Council approved Resolution No.4321
iauthorizing executioii of the Hennepin County EPDB Conditional Use License Agreement; and

; NOW,THEREFORE,be it resolved that the City Council authorizes extension of
� the Hennepin County EPDB Conditional Use License Agreement through December 31, 2005.

"Entity". For purposes of this A�reement,the address of the County is A703 Govemrnent

' electronic proprietary geo�aphical diJitized data base hereinafter referred to as "EPDB"; and

� WHEREAS, in acknotivled�nent of the Entity's above-stated purpose,the County is '

� VJHEREAS,the County e:cclusively own.s the EDPB which is the subject of this
A�reement and has the authority and legal ri�ht to grant Entity a license to have and use the
EPDB as provided in this Agreement; and ._
F `VHEREAS,the EPDB is trade secret or confidzntial information under the Minnesota
, � Government Data Practices Act and is govemed by I�iinnesota Statutes sections 37�.86 and �

2.1 Zhe County hereby grants the Entity a non-exclusive,non�ansferable and nonassi�►able
I limited use license to use the EPDB which includes self developed computer softti�are
under Minn. Stat. § 37�.86. Szid license shall commence on the.date of approval of�this
; A�reement by the County and shall extend throu�hout t'ne term of the Ajreement unless
� . termi.nated sooner,in accordance zvith the provisions hereof. .

• I AC�.�V'OWLED GI�IENT' OF PROPRIETARY I�Ii FOR1l�L�,.TIO�T
RESERVATTO�I OF TITLE
' ; 3.1 The Entity ac�.nowled�es and a�ees that the EPDB is tne e:cclusive property of the
� - Coun`y, includin�, but not limited to;any and aIl indexes, and includes commercially
� � valuable information�vhich reflect the efforts of s!cilled develogment experts and required
' the investment of considerable amounts of time and money, and that the County h�
' treated the EPDB as trade secret and confidential information,which County entrusts to
; the Entity in confidence to ue in the conduct of the Entity's business. The Entity further
! acknotivledjes and a�.rees the EPDB is a creative selection, coordination, arran�zment and
; method of 2rran�ement of data tivhich is identified as bein� subject to copyri�ht �
protection; is self-developed computer softwaze under Minn. Stat. § 375.86 and is an
entire or substantial and discrete portion of a pattern, cornpilation,method,technique,
� process, data base or system developed with si?nificant expenditure of funds by County
' under iviinn. Stat. § 13.03. The Entity a�ees that the County o�tins and reserves aIl
; � � . ri?hts,protection znd benefits afforded under federal copyri�ht law i.n all EPDB furnished
! � to the Entity as unpublished tivorks, ��vell as all ri;hts, protection and benefits zorded
� � under any o`�ner law relating to confidential andlor trade secret information respecti..n�
� 1 said EPDB, a.nd that the Entity�tiill abide by aIl relevant laws,rules,regulations a.nd
� decisions tivhich�fford protection to the County for its confidential and trade secret '
� information and said copyri�ht. This A�ree�ent does not effect any transfer of title in��
• � to �.ny EPDB of the County. The Endty acknowled�es taat it is granted only a limited
� right of use of such EPDB, tivhich ri�ht is not coupled with an interest, and the Entity
, shall not assert nor cause or cooperate tvith others to ass�rt any ri�ht,title, or interest in �

� �.1 Obligations of Confidentiality,Limitations of Use. The Entity sha11 neither disclose, , .
` furnish;sell, resell, transfer,duplicate, reproduce nor disseminate, in tivhole or in part,the
� � � EPDB of the County and its unique de'si?n, arran�ement or method of arran�ement in its .
' ' electronic form furnished to the Entity to (I) any other person,firm,entity, or?anization,
; or subsidiary, except as expressly authorizzd h�reunder; or(2) a.ay employee of the Entity
who does not nzed to obtain access thereto in connection w-ith the Entity's exercise of its �
� rijhts under this A�eement. The Entity may have and use the EPDB on a corporate-wide
basis and shall have the riQhts to use the EPDB on a limited number of sites,provided the
; equipment on which the EPDB is maintained supports only equipment operated by tfie
' Entity a::�d the EPDB is used only for the conduct of the Entity's.own intemal business by
� Entity e�ployees. All employees havin�access to the EPDB shall be informed of the
; .. requirecients conta.ined in Section 4 herein. The Entity shall not otherwise copy or
reproduce any EPDB of the County. Under no circumstances may the entity disclose or .
, dissemi.nate any EPDB to any other public or private entity. The obli Jations of the Entity
to protect confidentiality which are esj�.ablished by this A�eement apply to the EPDB �
� itself and not to any graphic representation or products produced by the Entity Zvhile
. ; usin?the EPDB. Any authorized consultants,contractors or a�ents of Entity must �
� propzrly execute and file a separate EPDB Conditional Use License A?reement tivith
' ; � Heru�.epin County. � .

� The Entity�expressly a�rees to use the County's EPDB in the ordinary course of its
• business and all such use shall bear a notice of copyri?ht by Hennepin County.
� 4:? Secure Handlina. The Entity shall rzquire that all EPDB be kept ina secure location at
; 27�0 Keliey Parkway, Crystal Bay,1�V�5323 and maintained in a mannec so zs to
; reasonably preclude unauthorized persons from havin�access thereto. The Entity shall
devote its reasonable efforts to ensure that all persons afforded access to EPDB protect
; same a?a'inst unauthorized use, dissemination or disclosure. Entity a?rees it will not
' knowin�Iy or ne�li�ently allow its employees,a�ents or independent contractors to copy,
s�ll, disclose or othenvise ma.�Ce the EPDB available to others. Entity ajrees to
immediately notify the County by telephone a.nd in�vritin� if Entity becomes awaze of
. ; - a�zy unauthorized duplication,sale or other disclosure. Entity further a�rees to preverit
� � unauthorized disclosure by ta'.tiin� appropriate security measures includin�,buf not �
' limited to,providin�physical security for copies of the EPDB and ta.kin� z.11 steps Entity
� ta.kes to protect information, data or other tan�ibl� and intan�ible property of its oSVn*il�:
� Entity re?ards as proprieta..ry,confidential or nonpublic. Except fo;off-site backup,the
• j� Entity shzll not remove or cause or a11ow to be removed from the Entity's place of
business or the place of busir!ess of any EPDB or any copy thereof�vithout the prior
� titiTit`�en con�ent of the County, �vhich consent shall not be unreasonably withheld. �

� 43 Assistance of the Entity. At the request of the Cou.�ty and eYpense of the Entity,the

� :� justifyin�the conclusion of the Couaty that such contrary u�e may have occurred.
; " 4.4 Survival of Confidentiality Obligations. The Entity's obli�ations�respectin� � '
; confidentiality of the EPDB sh�ll sunZVe termination of this A�eement for any re�son
and shall remain in effect for zs lon� as the Entity continues to possess or control any
; EPDB fumished by�che Count�•. In addition,the County shall remain entided to enforce
its copyriaht and propriety interests in aIl EPDB. !

; Section 5 •

� 5.1 The Entity and the COL7NTY a.�ee that this Aa eement is i.n effect durin?the period .
; commencin�January 1, 1999 znd termi.nating December 31, 1999. Th.is Ajreement shall
commence from the date hereof.unless sooner terminated by either party�vith cause upon
• i three (3) calendar days' written notice to the other. The expiration or termination of this
��.�
Aa eement shall automaticall�•z.�d«Zthout f�rther action by the County terminate and
; extin�uish the license. In the e�•ent of any such expuation or ferm.ination,the County
� • shall have.the riPub to ta.ke imyedizte possession of sai.d EPDB, and aIl copies thereof
�vherever located, and tivithout dema.nd or notice. �Vittuii five(�) days after expiration or
; termination of this Ao eemeat; �he Entity shall rehun the EPDB and all copies thereof to
! the County, or upon request bs�the Counry,the Entity shz11 destroy all of the same and all
; copies thereof and certify in ti�ritin�to the County that the same has been destroyed.
� 5.1.1 It is a�reed that any ri�ht or re�edy provided for herein shall not be considered as the
� exclusive ri�ht or remedy but sh?ll be considered to be in addition to zny other rijht or
; remedy hereunder or alloived bv la�v, equity or statute.
i � 5.1.2 The County's failure to insist Lpon strict performance of a.ny covenant, a�reement or
• � • stipulation of the A�reement,o;to exercise a,zy rijht herein contai.ned shall not be a
. �r `va.iver or relinquishment of such covena.nt, a�reement, stipulation or ri�ht, unless the
; Counry stipulates thereto in��,�itin�. Any such wTiC�en co�sent sha1l not constitute a
' waiver or relinquishment of si!ch covenant, agreemeat, stipulation or ri�ht.

LYJUiti'CTIVE RELIEF . ` -
' . � 6.1 The Entity acknowled�es and a�ees that unauthorized disclosure or use of the EPDB or
� ; any pa.t thereof could cause irreparable har�n and si�nificant injury to the County,which
• • . ` may be diff'icult to measure tvith certairity or to compensate throui�h dama�es. � �
� � Accordin�ly,the Entity a�rees that the County may'seek and obtaia a�ainst the Entity
andlor any other person or entity injunctive relief a�ai.nst the breach or threatened breach
of the foregoing underta�ci.n�s,in addition to zzy other equitable or legal remedies which
may be avaitable.
Section 7
•` OTHER TERtiTS Ai.YD CONDITIONS '
7.1 No Ageney. The parties hereto are independent con�actors, and nothin�herein shall be
construed to create an a�ency,joint venture,partnership or other form of business
association between the parties hereto.
� � 7� 3vo tiVaiver. No delay or omission by either party hereto to exercise any right or power
; occumn�upon any�oncompliance or default by the other party with respect to any of the
. 'terms of this Ajreement shall impair any such ri�ht vr po�ver or be construed to be a � �
waiver thereof unless the sa.me is consented to in writin�.' A wa.iver by either of the
parties hereto of any of the cor•enants, conditions, or ajreements to be observed by the
' other shall not be construed to be a�vaiver of any succeedin� breach thereof or of any "
� covenant, condition, or a�reement herein contained. All remedies provided for in this
� Aoreement shall be cumulative and in addition to, and not in lieu of, any other remedies
; available to either party at Ia�v,in equity, or othen�ZSe. .
; 7� Governing La�v. This A�reement shall be govemed by and construed in accordance
with the lativs of the State of Ivlinnesota.
' � � 7.4 Entire Aareement. This License Ajreement constitutes the entire A�reemeat bet��reen
� the parties, and there are no understandin;s or a�reements relative hereto other than those
; � that aze e:cpressed herein. No chan�e,�vaiver, or discharge hereof shall be v�lid unless in
w�iting and executed by the party a�ainst whom such chan�e,waiver, or dischz*�e is
sou�ht to be enforeed.

and shall not be responsible for the zcts or omissions of the other party under the

� 7.10 Survival of Pro�•isions. It is expressly understood a..�d a�reed that the obli�ations and

and warran.ties of the Entity and the County which by their sense and context aze intended
