A Resolution Amending the
City of Orono Health Reimbursement Arrangement
The undersigned, Linda S. Vee, serving as City Clerk of the City of Orono (the
"Employer"), duly organized and existing under the laws of the State of Minnesota, does hereby
certify that at a meeting of the City Council, held on the 13`� day of December, 2010, at which a
quorum was present, the City Council unanimously adopted the following resolution:
WHEREAS, the City of Orono previously adopted the Health Reimbursement
Arrangement (the"Plan") on January l, 2006; and
WHEREAS, the City previously amended the Plan effective January 1, 2009; and
WHEREAS, the City of Orono desires to further amend and restate such Plan to include
the following:
• The Plan desires to amend and restate the Plan to incorporate all previous
Summary of Material Modifications and to comply with the most recent and
relevant regulatory changes since the last amendment and restatement of the
Plan.
NOW, THEREFORE, BE IT RESOLVED, that the City of Orono Health
Reimbursement Arrangement be amended and restated effective as of January 1, 2011; and
BE IT FURTHER RESOLVED, that any proper members of the City are hereby
authorized to make such contributions from the funds of the City as are necessary to carry out the
provisions of said plan at any time; and
BE IT FiJRTHER RESOLVED,that in the event any conflict arises between the
provisions of said Plan or any other applicable law or regulation (as such law or regulation may
be interpreted or amended), the City shall resolve such conflict in a manner which complies with
such law or regulation.
