O'KEEFE and MARY A. O'KEEFE, married to each other, hereinafter referred to as "Grantors", are the fee owners of certain real property located in the City of Orono, County of Hennepin,State of Minnesota,that is legally described Exhibit A,and depicted on Exhibit C (the"Property"). Grantors, in consideration of One Dollar ($1.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, do hereby grant and convey unto the CITY OF ORONO, a Minnesota municipal corporation ("City") as Grantee, its successors and assigns, forever,the following: Permanent Easement: A. Utilities Easement. A perpetual and permanent easement for public utilities purposes ("Easement") over, on, across, under, and through that portion of the Property that is legally described on Exhibit B and depicted on Exhibit C ("Easement Area"). Easement includes the right of the City, its contractors, agents, servants, and assigns, to enter upon Easement Area at all reasonable times to construct, reconstruct, inspect, repair, and maintain Easement and Easement Area, together with the right to grade, level, fill, 231296v1 drain, pave, and excavate Easement Area, and the further right to remove trees, bushes, undergrowth, and other obstructions interfering with the location, construction, and maintenance of Easement and Easement Area. The above named Grantors, for themselves, their heirs, successors, and assigns, do covenant with the City,its successors and assigns,that they are well seized in fee title of Easement Area; that they have the sole right to grant and convey the Permanent Easement to the City; that there are no unrecorded interests in Easement Area; and they will indemnify and hold the City harmless for any breach of the foregoing covenants.
