The following is a list of extra costs associated with the relocation of storm and
sanitary sewer lines for the Orono Woods Senior Housing project.
Engineering. $1,280.00
Utility Changes. $3,735.00
Total $5,015.00
These costs were incurred only as a result of trying to save the trees near the
MNDOT pond that was scheduled to be removed on the original plan. I will
forward an invoice for the payment now that the work has been completed.

1. July 31, 2001 estimate from Mike Benedict of Frana and Sons for $34,265;
2. December 3, 2001 Escrow Agreement for Sewer Relocation on Lot 2, Block 1, Orono
Ambar($31,557 escrowed for worked estimated to cost $21,038);
3. April 26,2002 letter from Greg Gappa of the City of Orono requesting directional boring
of the new sewer rather than trench construction;
4. April 29, 2002 estimate from Galaxy Mechanical for$25,450;
5. April 29, 2002 letter from Mike Benedict of Frana and Sons announcing that he plans to
start utility work on May 1; and
The situation is muddled and it needs to be cleared up.
a. Galaxy's bid is much less than Frana's bid;
b. Sid wants you to hire Galaxy as the subcontractor rather than Frana, so Sid's cost will
be lower;
c. Sid wants to leave$25,450 in the escrow and release to him the balance of the
escrow;
d. The city wants directional boring to save trees;
e. Directional boring will cost xnore.than trench construction;
f Someone needs to pay the extra cost—either you or the city;
g. Frana wants to start utility work elsewhere on the site on May 1 and start sewer
relocation the same week; and

Greg Gappa suggested that everyone involved meet at Orono City Hall at 2:00 pm May 2 or 9:00
am May 3. Sid and I think that is a very good idea—much better than exchanging letters, faxes
and e-mails. Greg will call you to set up a meeting.

ESCROW AGREEMENT
FOR SEWER RELOCATION ON LOT 2,BLOCK 1, ORONO AMBAR
This Agreement is made December 3, 2001 by and among Sidney B. Rebers and Barbara
L. Rebers,Husband and wife ("Seller"), Orono Ambar, LLC ("Buyer") and Universal Title
Company("Universal")relating to the sale of Lot 1,Block 1, ORONO AMBAR, Hennepin
County, Minnesota("Property"),for the benefit of the City of Orono.
On the date hereof, Seller sold and deeded the Property to Buyer,pursuant to a Purchase
Agreement dated October 8, 2001, as amended. Paragraph 22 of the Purchase Agreement reads
as follows:
22. Relocation of Sewer Line. There is a sanitary sewer line in that portion
of Outlot F, Sugar Woods that is owned by the State of Minnesota,namely Parcel 242A
in Minnesota Department of Transportation Right-of-Way Plat No. 27-56. Buyer hereby
consents to Seller granting to the City of Orono a utility and drainage easement in the
Property up to 30 feet wide along the boundary between the Property and Parcel 242A. If
the sewer line must be relocated from Parcel 242A into the new easement area for any
reason,then Seller shall pay all costs of relocating the sewer line. However,Buyer shall
remain responsible for all earthwork, erosion control, landscaping and other costs of(a)
expanding the pond in Parcel 242A, if necessary to accommodate development of the
Property by Buyer, and (b)berming the new easement area,if required by the City of
Orono or desired by Buyer. Seller reserves all claims Seller may have against third
parties for recovery of the costs of relocating the easement and relocating the sewer line.
Buyer has undertaken to relocate the sewer line at Seller's expense; the City Engineer
has estimated that it will cost$21,038 to relocate the sewer; and the City Council requires a bond
or other financial security in the amount of 150% for all subdivision improvement work. Upon
execution of this Agreement Seller has deposited $21,038 x 150% = $31,557 with Universal to
provide financial security to the City of Orono for relocation of the sewer line.
Buyer has obtained a fixed price bid of$34,265 for relocating the 'sewer. Seller will re-
bid the work and attempt to find a union contractor who will do the work for less than$34,235.
If Seller selects a contractor who will do the work for more than $31,557, then Seller shall
promptly augment the escrow fund with enough money to pay the contractor.
Universal agrees to hold all the money(the initial $31,557 plus any additional amount) in
escrow pursuant to: (1)paragraph 22 quoted above.; (2)the terms of Universal's standard form
of escrow agreement attached hereto as Exhibit A; and (3) such additional escrow terms as the
parties hereto and the City of Orono may agree upon. In case of any conflict, item 3 shall prevail
over item 2, and item 2 shall prevail over item 1.
When Universal receives from the City of Orono written notice that the sewer line has
been relocated into the Property pursuant to Buyer's utility plans approved by the City and
receives from Buyer evidence that all costs of relocating the sewer line have been paid in full,

then Universal shall reimburse Buyer for Seller's share of the costs of relocating the sewer line
and Universal shall refund the balance of the escrow fund to Seller.

COVENANT OF INDEMNITY
This Covenant of Indemnity is made by
SIDNEY REBERS AND BARBARA REBERS
(hereinafter referred to as"Indemnitor(s)")for the benefit and protection of First American Title
Insurance Company,a California corporation(hereinafter referred to as"The Company");
WHEREAS, The Company is being requested to issue its policy(ies)of title insurance insuring an
interest in or title to the real property in the County of Hennepin, State of Minnesota, described in
Commitment No. 85-04638 issued by The Company on the_day of ,2001, or
described herein as:
Lot 1,Block 1, Orono Ambar
and
WHEREAS,The Company is unwilling to issue said policy(ies)without an exception(s)as to the
following items,among others,which affect or may affect the title hereto (hereinafter called "Items");
Sewer Relocation of Lot 2,Block 1,Orono Ambar
and
WHEREAS,the Indemnitor recognizes that The Company, in the normal course of its business,
would not issue its policy(ies) free and clear of said Items unless the Indemnitor indemnifies The
Company as hereafter agreed.
NOW,THEREFORE,THE INDEMNITOR COVENANTS that in consideration of the issuance
of a policy(ies) of title insurance without showing therein said Items as they may affect the title to real
property or as exceptions from the insurance given thereby or which gives affirmative coverage against
the effectiveness,enforcement or consequences of said Items,the Indemnitor will hold harmless,protect
and indemnify The Company from and against any and all liabilities,losses, damage, expenses and
charges,including but not limited to attorney's fees and expenses of litigation,which may be sustained or
incurred by The Company under, or arising directly or indirectly out of the issuance of, any policy(ies)
covering said land issued in manner so desired by Indemnitor;or under, or arising directly or indirectly
out of the issuance of, any policy(ies)of title insurance or title report or reports covering said land or any
portion thereof,which The Company or its agents may at any time thereafter issue; and resulting directly
or indirectly from any of the Items indemnified against,or from any claim, action,proceeding,judgment,
order or process arising from or based upon or growing out of any of said Items or the omission to show
any of the same in any policy of title insurance or title report.
AND THE INDEMNITOR FURTHER COVENANTS that Indemnitor will diligently provide for
the defense of any action based upon any of the Items and will promptly do all things necessary or
appropriate to cause the title to said land to be cleared of the effect of all of the Items and any other items
based thereon or arising directly or indirectly therefrom, and of any cloud on title created by or growing
out of any of the foregoing;all of which shall be done at the sole expense of Indemnitor. If Indemnitor
shall fail so to do,then The Company may do the same,and may pay,compromise or settle any such
Items or any claim or demand based thereon if The Company deems such action necessary for the
protection of any of its insureds under any policy or of itself; and Indemnitor shall promptly reimburse
The Company for payment, expense or expenditure made or incurred in so doing. If The Company holds
any funds or security for the obligations of Indemnitor hereunder, it shall not be obligated to resort to

such funds or security before enforcing the obligations of Indernnitor,but may enforce such obligations
by any lawful means in the same manner and to the same extent as if no such funds or security were held.
AND THE INDEMNITOR FURTHER COVENANTS that for the purpose of carrying out the
provisions of the last mentioned paragraph, Indemnitor does hereby name,constitute and appoint The
Company its attorney-in-fact to do all things necessary and convenient.
AND THE INDEMNITOR FURTHER COVENANTS that in the event that any judgment shall
be or shall have been rendered or any process shall be or shall have been issued,based upon any of the
Items or any other items growing out of any of the same,under which a sale could be held affecting or
purporting to affect said land or any portion thereof,Indemnitor promises and agrees that it will satisfy
the same and cause the same to be satisfied and discharged of record prior to the occurrence of any such
sale.
AND THE INDEMNITOR FURTHER COVENANTS that nothing herein shall be construed as
an obligation on the part of The Company to issue any policy(ies) of title insurance nor an obligation on
the part of The Company to obtain the issuance thereof,but in the event The Company does issue any
policy(ies) in the manner contemplated,the undersigned Indemnitor gives the assurances and makes the
agreements herein set forth,for the benefit of The Company.
AND THE INDEMNITOR FURTHER COVENANTS that for the purposes of carrying out the
provisions of this Agreement,the Indemnitor hereby pays The Company the sum of THIRTY ONE
THOUSAND FIVE HUNDRED FIFTY SEVEN AND No/100ths dollars ($31,557.00) and The
Company, in its sole discretion,may use any portion or portions or all of said funds for such purposes. At
such time as all obligations of Indemnitor hereunder has been fully performed, and the title to said real
property is free of the effect of the Items and/or free of the effect of any items growing out of or based
upon those Items, and The Company has no present or contingent liability arising out of Items,The
Company will repay to Indemnitor all funds remaining unused by The Company, except for the
administration and handling charges of The Company.
AND THE INDEMNITOR FURTHER COVENANTS that, if suit shall be brought to enforce
this Agreement,Indernnitor will pay the attorney's fees of The Company.
AND THE INDEMNITOR FURTHER COVENANTS that all of the obligations of Indemnitor
hereunder shall be several as well as joint_ All of the provisions of this Agreement shall inure to the
benefit of and bind the parties hereto and their legal representatives and successors in interest.
IN WITNESS WHEREOF,the Indemnitor(s)have executed this Covenant of Indemnity this 3`d

Dear Mr. Benedict;
The City of Orono is interested in saving the existing stand of trees adjacent to the MNDOT
storm water pond as these trees provide screening for the'senior housing building. It would take
many years to replace this screening with the smaller replacement trees that would be planted.
Attached you will find a preliminary-plan for the directional bored sewer that will be required to
save the existing the existing trees.We are in the L ocess of con �tacting directional boring
companies,to obtain preliminary cost estimates for the directional bored pipe in order to evaluate
the potential additional construction costs required to save the ex! ntt g trees. The actual logistics
for the financing and construction of this proposed directional bored sewer will need to be
discussed in detail with all of the affected parties.
The City has not issued any permits for construction of the utilities for this project. Other
correspondence addressees the procedure necessary to obtain a permit to commence utility
construction, therefore no utility construction or trearing can begin until the proper
nits are issued by the City of Orono. I

In my letter to Mr. Michel Gaffron dated July 31w, 2001 1 quoted a price t clocate
the existing sanitary sewer out of the MNDOT pond right of way and ' o the
property of the Orono Woods project. In our price to the city we ha included all of
the engineering, surveying, testing, site coordination.and asphalt and grass restoration
work in order to adequately complete the project. Subsequently, if you axe bidding
the project nut to other utility contractors you will have to incorporate and include all
of these costs in your estimate to complete the work. --
We have scheduled the utili4y work on the project to be non• etluesday, May 'It
2002. It is important that the relocation work start.within o the
work may be completed in a timely fashion.

Re: Orono Ambar Senior Housing
Dear Mr. Benedict;
The City of Orono is interested in saving the existing stand of trees adjacent to the MNDOT
storm water pond as these trees provide screening for the senior housing building. It would take
many years to replace this screening with the smaller replacement trees that would be planted.
Attached you will find a preliminary plan for the directional bored sewer that will be required to
save the existing the existing trees. We are in the process of contacting directional boring
companies to obtain preliminary cost estimates for the directional bored pipe in order to evaluate
the potential additional construction costs required to save the existing trees. The actual logistics
for the financing and construction of this proposed directional bored sewer will need to be
discussed in detail with all of the affected parties.
The City has not issued any permits for construction of the utilities for this project. Other
correspondence addressees the procedure necessary to obtain a permit to commence utility
construction, therefore no utility construction or tree clearing can begin until the proper
permits are issued by the City of Orono.
