ORDER FOR AUTHENTICATION,REGIS'T'RATION AND DELIVERY
OF THE SERIES 2001 BONDS

Ladies and Gentlemen:
Pursuant to the Indenture of Trust,dated as of November 1,2001 (the"Indenture"),between
the City of Orono, Minnesota (the "Issuer") and U.S. Bank Trust National Association, there are
delivered to you herewith,duly executed on behalf of the Issuer,its Senior Housing Revenue Bonds
(Orono Woods Apartment Project), Series 2001A, Taxable Series 2001B and Subordinate Series
2001C (collectively,the "Bonds").
You are hereby requested and authorized to authenticate and deliver to the order of Miller
Johnson Steichen Kinnard, Inc. all Bonds upon payment to you of the purchase price therefor.
Upon receipt ofthe foregoing total amount,you are hereby authorized and directed to deposit
all amounts received in the funds or accounts as required by the Indenture.

ENDORSEMENT OF CITY OF ORONO, MINNESOTA
TO ARBITRAGE CERTIFICATE
The undersigned,being the duly appointed and acting Mayor and City Clerk,respectively,
of the City of Orono,Minnesota(the"City"),hereby certify that: (1)they have been authorized
to execute, on behalf of the City, its Senior Housing Revenue Bonds (Wedum Shorewood
Campus), Series 2001, in one or more series (the "Bonds"); and (2) based solely upon the
provisions, statements, representations and covenants made by Orono Senior Housing, LLC, a
Minnesota limited liability company(the"Borrower"),in the foregoing Arbitrage Certificate(the
"Certificate"),the undersigned reasonably expect that the proceeds of the Bonds will be used for
the purposes, in the amounts and in the manner set forth in the Certificate. While the
undersigned have made no independent investigation with respect thereto,nothing has come to
their attention which would cause them to question the representations set forth in the Certificate
as to said use of the proceeds of the Bonds; provided, however, that nothing herein is intended
or shall be construed as a representation or an endorsement respecting applicable law or legal
conclusions.
