FOR VALUABLE CONSIDERATION,the City of Orono,a Minnesota municipal corporation,as Assignor,hereby sells,assigns and transfers
to U.S.Bank Trust National Association,Saint Paul,Minnesota,as Assignee and Trustee under a certain Indenture of Trust of even date herewith
(the "Indenture")between Assignor and Assignee, all Assignor's interest in the Combination Mortgage, Security Agreement,Fixture Financing
Statement and Assignment of Leases and Rents, dated as of November 1, 2001, executed by the Borrower, as Mortgagor, to the Assignor, as
Mortgagee,and filed for record ,2001,as Document Number ,(and/or in Book of
Page )in the Office of the County Recorder of Hennepin County,Minnesota(and/or Registrar of Titles),together with all Assignor's
right and interest in the Loan Agreement of even date herewith described in the Indenture(but only to the extent rights in the Loan Agreement are
assigned to Assignee in the Indenture),and related obligations therein specified and the debt thereby secured. Assignor's assignment hereunder shall
be without recourse to Assignor and creates no liability on the part of the Assignor to pay any debt secured by said Mortgage.
