The Police Department has the in-house ID badge system operating. All employees, Council and
Commission membexs will be issued ID badges. A picture and signature is required for each badge.
The Police Chief will be taking pictuYes and obtaining Council signatures at the woYk session.
Pictures and signatures can also be taken during normal business houYs at the Police DepaYtment
Office.

I�ttached are two letters the City has received from residents eYperiencing beaver problems. In
response to these complaints, Steven Ruchti has asked that Council reconsider his Lixnited Trap Use
Permit application that was before Council at their November 10, 2008 meeting. The Police Chief
will be attending the work session to ans�ver questions. If Council determines that it would be
acceptable to issue a trapping permit, the permit could be scheduled for approval at the January 12,
2009 Council meeting.

Orono City Council,
After being notified of a beaver damage complaint on Monday and due the beavers late
fall activity, I found many areas with beaver damage. And as last year the late start to trapping
makes it very difficult and time consuming to trap them, all the while the percentage of harvest
drops dramatically. I also found a new colony east of north arm landing and are at least three
colonies in close proximity to all of the damage areas.

From Steve Ruchti and Kevin Lamp
We have found evidence of beaver damage throughout the city of Orono, everything from
tree damage to shoreline damage. The damage to the shoreline that has taken place has been
erosion from bank dens that the beavers create. The damage to the trees has been things like
fallen trees and gurdled trees (trees where the bark has been chewed off only around the bottom
and abandoned.) Those trees will eventually die and fall into the water creating more and more
problems for land owners and their property.
Winter trapping is the best time to remove the beavers in the areas marked on the maps
we have provided; most of the areas are away from houses. Under the ice trapping is hard work
to get done before the ice gets to thick but it is the safest for the public and their pets.
All trapping sites will be set up as drowning sets. A combination of traps would be used
given the degree of difficulty that comes along with under the ice trapping and the conditions of
winter.
We are willing to do this with no charge during the winter where as nuisance trapping
during the summer would require a D.N.R. permit and a cost to the customer of$ 75.00 per
beaver. It is my understanding in speaking with Chief Farniok , that last winter we had no
complaints and we are working to keep it that way!

A. MUSA
• Property must be in the MUSA to be served with sewer
• Adding this to MUSA as residential property triggers inclusion in density calculation;
City is too close to 3.0 units per acre to bring more low-density properties into MUSA
• Options for adding this property to MUSA include:
1) Change zoning & guide plan to allow residential density of at least 3 dwelling
units per acre, and continue the current CUP; OR
2) Change guide plan for property to Institutional; then couldn't redevelop as low-
density residential without future Met Council review and approval; OR
3) Change guide plan to office or other non-retail commercial use, if existing day-
care/school use is permitted in an office district (currently is not); OR
4) Density transfer- guide some other residential property at an off-setting higher
density.
• Timing: If`Comforts of Home' makes application for CMP amendment by 12/17
deadline, use of that site for density transfer could be added to CMP Update for
review and approval by Met Council in late summer/fall. Any other guide-plan
changes need to be incorporated into CMP update by end of January to be reviewed
as part of Update, or won't be able to do them until after CMP is approved next fall.
DECISION PROCESS: As of May 2008, City Council was not in favor of Options 1 or 3;
Michael K was not in favor of Option 2; Option 4 requires further discussion by
Council as to risks vs benefits.
B. SEWER
• The timing, routing, design and costs of sewer connection dependent on:
- construction of Myrtlewood sewer occurring (probably 2009)...
- whether(and when) 875 Wayzata Boulevard develops...
- whether 87� Wayzata Boulevard connects to the Long Lake sewer system or
to the Wayzata system...
- whether a connection serving 8�0 and 875 Wayzata Boulevard is a force main
(requiring a City lift station), a pressure line (requiring a permanent individual
pump station), or a gravity line (high initial cost, low maintenance).
• Each design has pros and cons; and construction costs, feasibility of each option, and
ease of construction also come into play...
• Timing relative to construction of service roads and the roundabout is a limiting
factor for a gravity sewer system; pressurized or force main system could be
constructed deep enough to not be affected by roundabout construction...

• Ultimate conclusions as to type of system, location and costs of service to 8�0 have �
not been decided upon - Myrtlewood Feasibility Study will detail many options...
DECISION PROCESS: Whether 87� connects to Wayzata or Long Lake system is
dependent on developer's costs and ability to connect to either City. Final answer
may play out in spring/summer 2009. If Orono wants to direct developer of 87� to
connect to one city or the other, Council should determine that relatively soon,
perhaps during the review of Myrtlewood Feasibility Study.
C. WATER
� Whether Myrtlewood neighborhood will get water system is not decided...
• It would be prudent to provide a hydrant north of Old Wayzata Boulevard...
• City water could be brought to 8�0 without it being in the MUSA ...
DECISION PROCESS: There are a variety of scenarios for whether and how costs might be
shared for a water project depending on which elements are built. It will help to have
a final decision by Myrtlewood residents on water system - hopefully we will know
this spring, then Council can better consider cost/construction scenarios.
D. ROAD ACCESS
• City is still pursuing the installation of a `roundabout' at Old Wayzata Blvd and Old
Highway 12...
• Roundabout and service road design has been evolving during MnDOT review
process; current design includes service road to 8�0, paralleling Old 12 and exitinb to
west leg of Myrtlewood Road, possibly resulting in complete elimination of current
850 access...
• Actual construction of the roundabout and service roads is probably at least 2 years
away...
E. RECENT CITY CONTACTS WITH MHD
• Scott Oberaigner responded to query by Ann Norgaard of Minnesota Health
Department in July as to timing on provision of water to 8�0. She was told it would

Re: Sewer-Water-Road Access
Dear Mr. Kuruvilla;
As we have discussed on a number of occasians,I have committed to keeping you
infor�ed as to the current status of sewer and water utilities and road access
developments that affect your property. This letter is intended to provide you with as
much information as possible to help you in making decisions about your business.
Briefly,the City has been taking steps to bring municipal sewer and water to the
Myrtlewood neighborhood directly east of you,and is considering a number of options
that include service to your property. Your connec#ion possibilities and costs may vary
depending on how or whether the Orono Villas project across the street from you moves
forward;the Council has recently (last week) been approached with a proposal for a 46-
unit senior assisted living facility at that site and has indicated support for such a proj ect.
However, regardless what happens across the road, your property still needs to be in the
Metropolitan Urban Service Area(MUSA) in order to be served with sewer, and as you
have indicated,this Fnay present some future limitations for future uses of the property.
At the same time,the new Highway 12 fieeway segment is expected to be opened in the
near future,which will reduce the traffic levels on Wayzata Boulevard;but, the proposed
"roundabout" and other access improvements are not anticipated to move forward for a
few years. More detail on each of these issues is provided below.
1. Incorporation into MCTSA.
The Metropolitan Council requires thaf all properties served with municipal sewer be
wi�.hin the MUSA,which is the defined area within each city that has been designated for
"urban"development. Your property has never been incorporated into the MUSA,so it
must be added before the City would ba allowed to e�tend sewer lines to serve you. The
property at 875 Wayzata Boulevard was added to the MUSA in the 1980s. The
Myrtlewaod neighborhood was added in 2007, based on the small lot sizes, age of the
homes pre-1985, and septic systems needing replacement with poor possibilities for
doing so.

The Metropolitan Council has recently enacted strict rules regarding additians to the
MUSA. Those rules require that any new residential properties added to the MIJSA must
be included in a calculation of the City's development density since 2000, and that
density must be no less than 3.0 dwelling units per acre. This condition was imposed on
Orono when the Myrtlewood MUSA addition was approved.
Orono's development density since 2000 is just slightly above 3.4 units per acre Adding
any properties to the?vIUSA that have a planned/guided density of less than 3 units per
acre will likely place Orono out of compiiance and result in denial of the MIJSA addition.
Therefore, I have discussed with Met Councii staff the options for bringing your property
into the MUSA. The options include:
1. Change the current residential zoning of the site to allow a density of at least 3
dwelling units per acre,and continue the current conditional use; OR
2. Change the land use guide plan to show the property as Institutional,which means
it couldn't redevelop as low density residential without future Met Council review
and approval {at which time Met CounciI would likely push for 3 units per acre);
OR
3. Change the land use guide plan to show this as office or other non-retail
commercial use, if such uses are permitted in an office district (cur�ently they
aren't}.
You have indicated you do not want your property to be re-guided to InstiTutional Use
because that will limit the pool of potential buyers upon your future sale of the property.
However, Met Council won't allow the property izato the MIJSA as currently guided for
2-acre minimurn lot size single-family residential use withaut a commitment by the City
(i.e. a rezoning)that it will be developed at a density of at least 3 units per acre if
redeveloped for residential use. To date,the City Council has indicated the}� are not
ready to make such a commitment. Likewise, the City Council is not at ti�is time willing
to rezone the property for commercial uses,wl�ich would open up the possibility for a
variety of uses the Council does not want at this location.
Density Transfer as a Fourth Option�. As the City Council was discussing these three
options with you last May,a potential fourth option was suggested: how would Met
Council react to a proposal for a density transfer? The idea would be to commit to a
higher density in some other part of the City where the City Council would find high
density acceptable, in exchange for allowing this property to be added to the MUSA
under the 1-unit per 2 acres existing guided&zoned density.
I pursued this with Met Council staff, indicating to them that it is not reasonable to
prevent yom•property from being sewerad when all the property around it is either in the
MUSA or is dedicated as permanent conservation land. Their very short response was
that"in theory"such an exchange would be acceptabla,providing that both properties
would be involved in a joint or concurrent Comp Plan Amendment process.

In order for such a density transfer to work, the two properties would have to average at
least 3.0 units per acre. Your property is about 4.6 acres exclusive of wetland,which
would translate tfl 14 units at 3 units per acre. To bring your property into the MUSA at
the current guided density of 1 dwelling unit per 2 acres(i.e, 0.5 units per acre}we would
have to re-guide some other property to a higher density. For exarnple, if a 6-acre parcel
was re-guided to S units per acre at some other location in the City,the math works out as
follows:
850 VJayzata Blvd: 4.6 acres x 0.5 units per acre=2 units
Some other site: 6.0 acres x 5.0 units per acre= 30 units
T�tals: 32 units on 10.6 acres =3.02 units per acre average
Because the site across from you at 875 Wayzata Boulevard is suddenly being proposed
for higher density,it might be a possibilit��to be part of a density transfer. That site is
about 6.S acres dry tand on which as many as 46 units rnay be proposed,i.e. a density of
7.1 units per acre. Doing the same math yields:
850 Wayzata Blvd: 4.6 acres x 0.5 units per acre— 2 units
875 Wayzata Blvd: 6.5 acres x 7.1 units per acre= 46 units
Totals: 48 units on 11.1 acres —4.32 units per acre average
In order for this density transfer to work out,the City would likely be expected to commit
to similar densities for 875 Wayzata Boulevard even if the assisted Iiving project were to
fall through for some reason. The City Council might not be as receptive to some other
project at that site. In other words,the City takes some risks in doing this type of density
transfer dea1. Use of 875 for a density iransfer for your pxoperty has not yet been
discussed by the Council. At any rate, final approval for such a plan would likely not be
approved by the Metropolitan Council until late in 2009.
I will keep you informed as this progresses. In the meantime,we are plamung to add
your property to the MUSA as part of our Comp Plan Update that will be going flut to
Met Council for review in late suinmer,with the expectation that unless one of the four
options occurs, it will likely be denied. We are also likely to be processing a Comp Plan
Amendment for 875 Wayzata Boulevard in January and would review the pros and cons
of a density transfer as part of that process. As a neighboring property owner, you wili
receive notification of the public hearing for that amendment.
2. Sewer Connection Desi�n Factors.
If we are ultimately successful in adding your property to the MUSA, that would allow
the extension of sewer service to your property. The tuning,routing, design and costs of
that sewer connection are dependent on a number of factors, a few of which include:
- whether(and when)the properry at 875 Wayzata Boulevard develops...

Because of all these variables,the ultimate conclusions as to how a sewer line to serve
you will be built, where it will be located, and what it will cost,have not been
determined.
The City is Iikely to be constructing sewer lines to serve the Myrtlewood neighborhood
this summer. The construction of a sewer line for Myrtlewood would provide a starting
point for a project to serve your property with sewer. The City Engineer has included
options for service to your property and to 875 Wayzata Boulevard as part�f the
feasibility study that is nearing completion for the Myrtlewood sewer project.
3. Water Connection.
While a rnajority of the Myrtlewood neighborhood was in favor of City sewer, only about
half were interested in City water. It has not yet been decided whether water Iaterals will
be constructed for Myrtlewood. The Fire Marshai has indicated that even if water laterals
are not extended to the neighborhood, it would be prudent to provide a hydrant on the
north side of OId Wayzata Boulevard. There has been no decision as to whether this will
happen or who would pay for it. In the worst case scenario, if Myi�tlewood says no to
water and you want water,you could end up paying the entire cost to extend water from
the south side of Old Wayzata Boulevard.
A watermain extension to serve just your property, or to serve your pi•operty as well as
875,would generally follow the same route as the sewer. Some of the same factors come
into play as for sewer construction, because if 875 ultimately gets municipal water from
Long Lake, the costs of your water connection would vary, depending on whether you
could tie in with 875's supply.
We do believe that City water could be brought to your property without it being in the
MUSA, so that is good news.
It is our expectation that hearings on the Myrtlewood project wiIl occur over the winter,
and decisions can then start to be made.

4. Road Access Imnrovements.
The City is still pursuing the installation of a `roundabout' traffic management system at
the intersection of OId Wayzata Blvd and Old Highway 12. We have invested a
considerable amount of time and money working through MnDOT and Hennepin County
review processes in an attempt to gain the necessary approvals. At the moment we
believe that both agencies will eventually grant approvai. Funding will not be provided
by MnDOT,so other avenues a.re being pursued,including use of Highway 12 Turnback
funding from the County, which could still be a number of years away.
If a roundabout is constructed,the current design includes a service road to your property,
paralleling Old 12 and most likely exiting to the west leg of Myrtlewood Road just north
of its intersection with Old Wayzata Boulevard. This would potentially result in complete
elimination of your current access, although retaining a right-in/right-out option for
westbound traffic has also been considered, The layout configuration has been evolving
a11 through the MnDOT review process, and no final design has been approvecl. It is
likely to be a few years before actual construction of the roundabout and service roads
would occur.
I am attaching copies of the email correspondence that Scott Oberaigner of our Public
Works Deparirnent had with Ann Norgaard of the Minnesota Health Department in July.
Basically, on July 21 Norgaard asked Scott whaf is the time line for yow•water
connection. On July 22 Scott asked me for an update. I told him it would be mid/late
20Q9 at best. That is what he told Norgaard.

There is no timeline on when(or ifl the Orono Villas project will proceed. It won't go forward this year.
There is also the possibility of Orono Villas getting water fr�om Long Lake which makes an extension to
Montessori more difficult(i.e.more expensive).
At this point the timeline for S/W for Myrtlewood is construction yeaT•2009 at best. Tom Kellogg has
some issues to discuss with us on that study—we can touch base with him Thursday morning. The study
will include sewer and waier extensions to Montessori as an option.
Bringing sewer to Montessori is still a Met CounciI issue that is at a stalemate,because we can't bring
Montessori into the MIJSA without rezaning/regtuding it for something non-residential,but Michael K,
doesn't want to do that because it limits his future selIability. Tom and I both think that bringing just water
to Montessori won't be bIocked by Met Council,but I would not bet a large sum on it...
Given the above,T guess we tell the Health Depattment that at best Montessori might have a connection in
mid/late 2009,but there are a Iot flf hurdles to cross before it can happen.

The Gillespie Center partners with SCS in providing many excellent programs,activities and
services to senior citizens in the Westonka Community which includes the cities of Mound,
Minnetrista, Spring Park and Orono. Many citizens of Orono take advantage of these benefits.
The Gilllespie Center building is owned and operated by the Gillespie Center. We are
responsible for a11 building operating costs and maintenance. SCS provi�es the salary for the
Senior Outreach staff, (Marion Danielson)who works out of the Gillespie Center. We provide
the office space and phone for her. The Center Director,Mindy Anderson is hired and paid by
SCS and The Gillespie Center currently reimburses SCS for a major portion of her salary. The
following are ongoing social and participation activities at The Gillespie Center.

We also have a comprehensive newsletter, The Gillespie Gazette,which is mailed to every
member. It provides a complete monthly schedule of events,programs,trips,activities,lunch
menus, lists of monthly birthdays, donors and new members, and concludes with messages from
the president and director. The Gillespie Center serves the needs of its members; and has also
become known as a beautiful facility available for Westonka area residents to rent for large or
small wedding receptions,memorial services, anniversary and birthday celebrations,class
reunions. sports banquets,holiday parties,business meetings and more.
I hope this gives you a good overview of the services that we provide to the ci#izens of Orono
and other cities in the Westonlca communiiy. If you have any questions or desire additional
information,please let me know. We hope that Orono will be able to provide some fmancial
assistance in response to our request so that we can devote much of our ongoing fund
development activities to build an endowment fund to ensure that The Center can continue to
provide needed services to citizens of the Westonka community indefinitely.

Dear Soren:
SCS (Senior Community Services) is proposing to continue to serve
Orono senior citizens and their families for 2009.
The services to be provided include the following:
Meals on Wheels
Meals are delivered to the door of seniors by SCS volunteers. The
votunteers are recruited, trained and then dispatched by SCS after
we do a criminal background check. �
The meals are nutritionally balanced and prepared by the dietary �
staff at Presbyterian Homes in Spring Park. We are able to
accommodate special diets due to our food supplier. The food is �
packed in warming packages before leaving the facility with the �
SCS volunteers.
SCS is a member of Metro Meals on Wheels, a non-profit
membership organization made up of the 40+ M.O.W. programs in
the Metro area. They assist us with training materials, publicity,
supplies and occasionally funds.
Senior Outreach and Caregiver Services
Our Senior Outreach licensed professional staff work one on one,
making home visits, to assist etders and their families. SCS helps
the elder and their families identify needs and then assist in
findin� the resources to meet those needs. Senior Outreach
clients are people needing assistance due to infirmities corretated
with age. Many have been dischar�ed from a medical treatment
facility and need some help set up for them at home. The type of
services greatly varies from person to person but includes services
such as: M.O.W., visiting nurse, home health aide, home maker,
friendly visitor volunteer, direct assistance with "paper work"
etc. In many cases SCS staff are the eyes and ears for adutt
children that reside in another state. Most of the Senior Outreach
care in Orono is provided b Marion Danielson L.S.W. who offices
at the Gillespie enter.
Studies show that 85-90% of care for frail elderly is done by a
youn�er caregiver many times a family member. SCS believes by
helping the caregiver we can keep elderly out of the much more
expensive �overnmental care system. SCS is a partner of Eldercare
Partners (Wilder Foundation in Ramsey County, H.S.I. Inc. in
Washington Co., D.A.R.T.S. in Dakota County and SCS in
Hennepin/Wri�ht Counties) that provides Care�iver Education
classes and individual Caregiver Coaching services. Most of the
Caregiver Services for Orono are provided by Susan Makela, L.S.W.
officed at the Plymouth Creek Center.
Transportation Services
SCS provides Orono seniors with three different styles of service:
1. Orono seniors participate in recreational and social outings
to various locations. Examples would be a trip to the Otd
Log Theater, a trip for lunch and pro�ram at the Giltespie
Center and a trip to dress rehearsal for the Wayzata High
School play.
2. Orono seniors utilize our Dial-a-Ride transportation service.
Currently we have three small buses based at Gillespie
Center that provide service two days a week. Seniors call
ahead and arrange for a ride.
3. SCS operates a volunteer driver program. Volunteers are
recruited (and screened) by SCS to drive their own cars.
SCS offers mileage to the votunteers and does the
dispatching. These volunteer drivers are used primarily to
transport seniors to medicat appointments outside of the
immediate area.
Medicare and Health Insurance Counseling
SCS recruits, trains and supervises volunteers that help seniors
with several health insurance issues. If a senior gets dropped by
their Medicare supplemental plan the 5CS volunteer will identify
several alternative plans that cover the senior's doctor/clinic and
are similar in price. These SCS volunteers also assist seniors that
bring in grocery sacks full of paper work...."this is a bill / this is
not a bitl" and help the senior make sense of it all. The SCS
volunteers also will file appeals with Medicare/Medicaid and the
supplemental company for denied coverage. Our volunteers have
been very successful with appeals. Most of our SCS Health
Insurance volunteers come from the health insurance fietd or work
in an H.R.department at a local corporation.
Gillespie Center
SCS provides the Center Director (Mindy Anderson) and other staff
as needed. The Center Director's responsibitity is to recruit and
support volunteers working at the center. The job also includes
finding and schedutin� pro�rams and activities. The Center
Director is also considered the good will ambassador for the
center, both with the outside public and with each senior as they
walk in the door.

AGREEMENT made this day of ,2008,by and between the
CITY OF ORONO,a Minnesota municipal corporation("City"), and the GILLESPIE CENTER,
a Minnesota.non-profit corporation("Gillespie").
NOW,THEREFORE,IN CONSIDERATION OF THEIR MUTUAL COVENANTS
THE PARTIES AGREE AS FOLLOWS:
1. Scone of Services. Gillespie agrees to provide services to the Orono residents as
described in E�chibit A, attached and made a part of this Agreement.
2. Time for Performance of Services. Gillespie agrees to perform the services provided in
E�ibit A, attached and made a part of this Agreement. The term of this Agreement shall
be from January 1, 2009 through December 31, 2009,the date of signature by the parties
notwithstanding. This Agreement may be extended upon the written mutual consent of
the parties for such additional period, as they deem appropriate, and upon the terms and
conditions as herein stated.
3. Comnensation for Services. The City hereby agrees to pay Gillespie Nineteen
Thousand and no/100ths ($19,000.00)Dollars for the services provided on E�ibit A.
4. Extra Services. The City will pay Gillespie for extra services by Gillespie or Special
Contractors only when authorized in writing by the City. j

5. Authorized A�ents. The City shall appoint an authorized agent for the purpose of '
administration of this agreement. Gillespie is notified that the authorized agent for the

6. Termination. This Agreement may be terminated by either party with or without cause
by seven(7)days' written notice delivered to the other party at the address written above.
Upon teimination under this provision if there is no fault of Gillespie, Gillespie shall be
paid for services rendered and reimbursable expenses until the effective date of
termination. If Gillespie has been paid the full amount of compensation contemplated in
paragraph 3, Gillespie shall return all payments made by the City on a prorated basis for
the term of the contract which shall be measured on an annual basis.
7. Indenendent Contractor. At all times and for all purposes herein, Gillespie is an
independent contractor and not an employee of the City. No statement herein shall be
construed so as to find Gillespie an employee of the City.
8. Non-Discrimination. During the performance of this contract, Gillespie sha11 not
discriminate against any employee or applicants for employment because of race, color,
creed, religion, national origin, sex,marital status, status with regard to public assistance, i
disability, or age. Gillespie shall post in places available to employees and applicants for '
employment, notices setting forth the provisions of this non-discrimination clause and
stating that all qualified applicants will receive consideration for employment. Gillespie
shall incorporate the foregoing requirements of this section in all of its subcontracts for
program work, and will require all of its subcontractors for such work to incorporate such
requirements in all subcontracts for progra.m work.
9. Assi�nment. Neither party shall assign this Agreement,nor any interest arising herein,
without the written consent of the other party.
10. Services Not Provided For. No claim for services furnished by Gillespie not
specifically provided for herein shall be honored by the City.
1 l. Severability. The provisions of this Agreement are severable. If any portion hereof is,
for any reason,held by a court of competent jurisdiction to be contrary to law, such
decision shall not affect the remaining provisions of the Agreement.
12. Entire A�reement. The entire agreement of the parties is contained herein. This
Agreement supersedes all oral agreements and negotiations between the parties relating
to the subject matter hereof as well as any previous agreements presently in effect
between the parties relating to the subject matter hereof. Any alterations, amendments,
deletions, or waivers of the provisions of this Agreement shall be valid only when
expressed in writing and duly signed by the pa.rties,unless otherwise provided herein.
13. Compliance with Laws and Re�ulations. In providing services hereunder, Gillespie
shall abide by all statutes, ordinances,rules, and regulations, including to the extent it is
applicable the Minnesota Government Data Practices Act,pertaining to the provisions of
services to be provided. Any violation shall constitute a material breach of this
Agreement and entitle the City to immediately terminate this Agreement.
14. Waiver. Any waiver by either party of a breach of any provisions of this Agreement
sha11 not affect, in any respect, the validity of the remainder of this Agreement.

15. Indemnification. Gillespie agrees to defend, indemnify and hold the City, its officers,
and employees hannless from any liability, claims, damages, costs,judgments, or
expenses, including reasonable attorney's fees,resulting directly or indirectly from an act
or omission(including without limitation professional errors or omissions) of Gillespie,
its agents, employees,or subcontractors in the performance of the services provided by
this Agreement and against all losses by reason of the failure of said Gillespie fully to
perform, in any respect,all obligations under this Agreement, except that City shall be
liable for any claims or damages relating to liquid escaping from CiTy containers being
hauled by Gillespie to the extent that such leakage is not caused by any action or
omission of Gillespie or any third party not under the control of the City.
16. Insurance.
A. General Liabilitv: During the term of this Agreement, Gillespie shall maintain a
general liability insurance policy with limits of at least$1,000,000 for each person,
and each occurrence, for both personal injury and property damage. The policy shall
also insure the indemnification obligation contained in section 15. A certificate of
insurance on the City's approved form which verifies the existence of this insurance
coverage must be provided to the City before work under this Agreement is begun.
B. Worker's Compensation: Gillespie shall secure and maintain such insurance as will
protect Gillespie from claims under the Worker's Compensation Acts and from
claims for bodily injury, death, or property damage which may arise from the
performance of Gillespie's services under this Agreement.
17. Records Access. Gillespie shall provide the City access to any books, documents,
papers, and record which are directly pertinent to the specific contract, for the purpose of
making audit, examination, excerpts, and iranscriptions, for six years after final payments
and all other pending matters related to this contract are closed.
18. Governin�Law. This Agreement shall be controlled by the laws of the State of
Minnesota.
19. Notices. Any notices given under this Agreement will be served personally or by mail at
the addresses stated herein.
This standard agreement has been reviewed by the City Attorney.

During rain events water runs down the ditch on adjacent City property. If the resident doesn't
maintain the ditch water backs up into line drain in front of garage and floods garage. Our
storm sewer modeling confirms the home owner's observations with ditch and inlet
maintenance. Pipe size and inlet capacity should be increased to minimize risk of flooding at
2776 Casco Point Rd. If this is included in the project, further studies will be performed to
determine full extent of any down stream impacts. This report assumes the worst case

This issue is a result of a few things. 1)area residents have been dumping debris into the city
property blocking drainage to the outlet. 2) The outlet pipe is broken and needs to be
replaced. 3) downstream pipe is collapsed and should be replaced. 4)downstream pipe size
is reduced and may restrict the flow. 5)the downstream outlet to the lake can not be located
from field inspections. It could be plugged or blocked. This may require replacing the storm
sewer system down to the lake from the city property in order for it to function properly. Given
that this issue is not adjacent to the reconstruct project, is not under an existing street to be
improved, and does not appear to be an immediate threat to property, it is categorized as a
nuisance. However, due to the fact that the existing pipes are failing, it is recommended that
this issue be added to the City's CIP and be addressed in the near future. Public Works could
make some minor pipe repairs to improve the storm sewer's function until the entire issue is
addressed under the CIP.

Storm sewer from street outlets into swale at road. Proposed improvements are to improve
existing swale or pipe runoff from street to lake. There is an existing drainage easement, but it
is heavily treed. Resident may be willing to grant different easement and work with the city to
save trees. Cost of ditch and pipe are approximately equal. It is likely that proposed street
improvements will increase the severity of the problem. If the project is not done, it is likely that

Deephaven It is approaching the time of the year when terms for some members of the Lake Minnetonka
Chris Jewett Conservation District(LMCD) Board of Directors will expire. Terms on the Li�CD Board run from

Re: Appointment of 2009 Commissioners
GREENWOOD
Each city member of the LMCC is entitled t� appoint two directors (commissioners)to
INDEPENDENCE the LMCC. These positions should be appointed by resolution of the council of each
member, for a term of one calendar year. This is to be done in January or your earliest
LONG LAKE meeting in February so that the appointees can attend the first Full Commission Meeting
February 19.
LORETTO
According to the Joint Powers Agreement,the directors must include, "at least one
MAPLE PLAIN (director) of whom shall be a member of that(city)council and the other a qualified voter
residing within that city. The City council of each member shall be entitled to appoint at
least one alternate director." The alternate director must also be a voter residing within
MEDINA the city. I have also enclosed with this letter the record of commissioner attendance at
meetings. Unless commissioners are on the Executive Committee they are only expected
MINNETONKA to attend the Quarterly Full Commission meetings.
BEACH
MINNETRISTA The Full Commission meets quarterly, the third Tuesday of the month at 5:30 PM with
the first Full Commission meeting in February. The Executive Committee meets every
month the Full Commission does not meet at 5:00. After receiving confirmation of your
oRONo city appaintees, I will rr�aii all cammissioners a schedule of ine�tings. The new
commissioners will receive a copy of the Joint Powers Agreement so they are informed
ST. BONIFACIUS of their role as commissioner and the role of the commission as the regulatory authority
for cable television.
SHOREWOOD
Please send me a copy of the minutes in which your city appointed LMCC
SPRING PARK commissoners and their addresses so that I can contact and provide them the information.
