SECOND AMENDMENT
TO
DEVELOPMENT AGREEMENT
CRYSTAL BAY BUSINESS CENTER
AGREEMENT ("Agreement") dated September 26, 2011, by and between the CITY
OF ORONO, a Minnesota municipal corporation ("City"), and RYAN COMPANIES US,
INC.,a Minnesota Corporation(the"Developer").
1. DEVELOPMENT AGREEMENT. The City and the Developer entered into a
Development Agreement for CRYSTAL BAY BUSINESS CENTER dated December 5, 2007, recorded
December 27, 2007, with the Office of the Registrar of Titles for Hennepin County, Minnesota
as Document Nos. 9079458 and 4457476("Development Agreement').
2. REQUESTED AMENDMENT. The Developer has requested an amendment to
the Development Agreement to extend the date for removal of the existing metal building that is
on Lot 1, Block 2. The date for removal under the First Amendment to the Development
Agreement is December 31,2016.

3. CITY APPROVAL. The Orono City Council has granted approval for such
Second Amendment after meeting with the Applicant at a regularly scheduled meeting on
September 12,2011.
4. AMENDMENT. Subparagraph 20E of the Development Agreement is amended

to read:
E. The Developer will remove the portion of the existing building that is on
Lot 1, Block 2 promptly after Orono Industrial Boulevard is built, but no
later than August 31, 2020. In addition, in the event the building becomes
vacant or unoccupied for a period of twenty-four(24)consecutive months,
the Developer shall remove the building by July 1st of the following year.
IN WITNESS WHEREOF, the Second Amendment to Development Agreement was
executed by the parties the day and year fust above written.
