TERMINATION OF EASEMENT AGREEMENT
r This Termination of Easement Agreement ("Termination Agreement') is made as of the
�V day of1', h , 2006, by and between the City of Orono, a municipal corporation
organized under the laws of the State of Minnesota, ("City") and WSI Industries, Inc., a
Minnesota corporation (the "Owner").
WHEREAS, the City and Owner did enter into an Easement Agreement dated June 15,
2000, ("Agreement'), which Agreement was filed August 8, 2000 as Document Number
7334853, in the office of the County Recorder in and for Hennepin County, Minnesota relating
to certain property owned by the Owner, legally described on Exhibit A ("Property")attached
hereto and made a part hereof; and
WHEREAS, the Agreement provided the City with an easement across a portion of
Owners property for a lift station(the"Improvement Easement Area") legally described on
Exhibit B hereto; and

WHEREAS, the Agreement provided the City with an easement across a portion of
Owners property for access purposes (the "Access Easement Area") legally described on Exhibit
C hereto; and
WHEREAS, the City has removed its lift station and no longer needs the Improvement
Easement Area or the Access Easement Area.
NOW THEREFORE, in consideration of the mutual conveyance herein contained, the
parties hereto agree as follows:
1. Owner hereby releases, terminates and quit claims all of its rights under the
Agreement.
2. The City and Owner agree that all of Owner's rights under the Agreement remain
in full force and effect and are not affected by this Agreement.
IN WITNESS WHEREOF, the undersigned have hereunto set their hand effective as of
the day and year first above written.

LEGAL DESCRIPTION OF THE PROPERTY
That part of the South half of the Northeast Quarter of Section 33,Township 118, Range 23,which
lies East of the East line of the plat of Orono Industrial Park, and its extensions and West of the
West line of the plat of Long Lake West Industrial Park and its extensions, Hennepin County,
Minnesota.

The north 56.0 feet of the west 30.0 feet of the east 50.0 feet of the Property.

LEGAL DESCRIPTION OF ACCESS EASEMENT AREA
That portion of the Property legally described as follows: 10.0 feet east of and 20.0 feet west of the
following described line A; commencing at the northwest corner of the southeast quarter of the
northeast quarter of Section 33,Township 118,Range 23;thence southerly along said quarter quarter
line a distance of 50.57 feet to the point of beginning;thence southerly along said quarter quarter line
a distance of 165.62 feet and thus terminating.
And
A permanent easement for the benefit of the public across the Property, 10.0 feet either side of the
following described Line B; commencing at the termination point of Line A; thence northerly
along Line A a distance of 10.0 feet to the point of beginning;thence easterly along a line parallel
to the north lot line of the Property a distance of 128.49 feet; thence deflecting at 630 24' 57" to
the northeast a distance of 156.75 feet plus or minus and thus terminating on the north lot line of
the Property, except that portion of the easement area previously described.
