Dear Judi,
In 1995 the City levied water and sewer assessments against PID 34-118-23 24 0058 as follows:
Water levy#13 626 in the amount of$116,229.51
Sewer levy#13627 in the amount of$ 51,557.71
The assessments were to run from 1996 through 2002,and represented 44 "units" each of water and
sewer. The 44 units included anunspecified number assigned to PID 34-118-23 210032. Sid and
Barbara Rebers owned both parcels and the City levied the entire assessment for all 44 units to the
one parcel as it was unknown at that time how to divide the total units between the two parcels.
On October 30, 1998, Sidney and Barbara Rebers entered into an agreement with Green Valley
Associates, Inc. for the purchase of Outlot E, PID 34-118-23 21 0032, whereby three sewer and
water units were assigned to the purchased outlot. The re-allocation of the three units was to have
taken place effective with the taxes payable in 1999,but did not. The parties involved have agreed
that the 1999 assessments will be paid by the Rebers and that Green Valley Assoc. will reimburse
the Rebers.
We are requesting that the remaining principal payable from 2000 through 2002 be apportioned as
follows:

ASSIGNMENT OF SEWER & WATER UNITS
October 30, 1998
SIDNEY B. REBERS and BARBARA REBERS, husband and wife, as the owners of
Outlot F, Sugar Woods, except that part designated as Parcel 242A on Minnesota Department of
Transportation Right-of-Way Plat No. 27-56, hereby assign to Green Valley Associates, Inc., a
Minnesota corporation, as the owner of Outlot E, Sugar Woods, except that part shown as Parcel
342A on Minnesota Department of Transportation Right-of-Way Plat No. 27-70, three sewer and
water units issued by the City of Orono.
Mr. and Mrs. Rebers are assigning one sewer and water unit as part of the purchase price
for said portion of Outlot E. They are assigning the other two sewer and water units for the
following consideration: Green Valley Associates, Inc. shall reimburse Mr. &Mrs. Rebers
$5,553.67 per unit for the corresponding special assessments they have already paid through
1998; and Green Valley Associates, Inc. shall assume and agree to pay the future installments of
the corresponding special assessments in the principal amount of$2,179.36 per unit. (This would
be$2,601.57 per unit of principal and interest if paid over the remaining four years of the
assessment.) Mr. &Mrs. Rebers hereby give Green Valley Associates the option to purchase one
more sewer and water unit on the same terms and conditions.
Green Valley Associates, Inc. hereby accepts the foregoing assignment on the terms stated
above.
The parties agree to cooperate in doing whatever else is necessary to cause the City of
Orono to transfer four sewer and water units from Outlot F to Outlot E as described above.
