Silver Meadow Drive. Please be advised that Orono Municipal Code Section 5.40 requires a
home occupation license to conduct your business at your residence. Section 10.20,
Subdivision 4 (C) provides standards for a home occupation. Please refer to the enclosed
Home Occupation License form that lists those standards.
The City must ask that you submit your Home Occupation License application with all the
information necessary to define the scope of your business operation by Monday, August 12,

Dear Mr. Vibbard:
I am in receipt of your letter of August 26, 1996 confirming your understanding of our
telephone discussion regarding residential code violations with the operation of your business
from your residence.
Your letter goes on to state that you plan to move your business out of your residence within
the next 60 to 120 days. Any deadline beyond 60 days will require City Council review and
approval. I would be happy to establish a 60 day deadline from September 15, 1996, an
approximate date of your return to your Orono residence.
Staff must ask that you provide written notification of your moving date by October 15, 1996.
Any further extensions beyond the end of October would require Council review and approval.
Please contact my office if you have any questions concerning this matter.

Dear Mr. Vibbard:
Thank you for your letter of November 18 advising of the status of your search for suitable office
space outside of your residence.
The commercial use of your residential property has continued for a long and unacceptable period
of time. Staff had originally established an earlier deadline of November 1 but you failed to meet
that deadline. We will expect an update the first week of January as to the status of your relocation.
If we find that you intend to use your residence for your business operations beyond the month of
January, staff shall proceed with the filing of a formal complaint with the City Attorney's office
concerning this violation of the residential code.

Responding to the City of Orono's concerns regarding the above
referenced matter:
I attended the Planning Commission Work Session on Home
Occupations on June 4, 1997, and was pleased to see the topic of Home
Occupation being addressed, and open for discussion in the City of
Orono.
I apologize that my previous communication with the City of Orono
failed to reach your office.
Strategic Capital Holding Company, L.L.C. ("SCHC") has every
intention of moving out of its present residential office. SCHC has been
negotiating with several landlords in the area since last Fall. A Long
Lake site has been chosen, which requires renovation estimated to take

threat of litigation due to the above referenced matter.
SCHC management and staff is eager to relocate to a spacious,
commercial area from which to operate its business. SCHC is willing to
cooperate with the City of Orono to arrive at a solution which is amicable
to all parties involved.

SCHC'S COMPANY PROFILE
Strategic Capital Holding Company, L.L.c. ("SCHC") is a Minnesota
based limited liability company established in March 1996 by Gary R.
Vibbard (the "Sponsor") to enable companies in the oil and gas and
general industrial manufacturing industries to achieve their strategic
plans by providing financial, operational and strategic management
consulting, and investment banking services.
SCHC's main purpose is to finance and provide advice to
companies that are being positioned for high-growth. These clients' high
growth positioning may be due to: industry dynamics, because they
require strategic and operational refocusing, because they are being
acquired in a management buy-out, or because they have a desire to
grow through an acquisition and consolidation strategy.
'I�pical clients are those with the ability to grow to in excess of
$100 million of market value in a �ve to fifteen year period while not
dominating the market share within their respective industry. Market
value is measured by a low-end cash flow multiple after setting aside
funds required for maintenance capital expenditures.
Consistent with SCHC's strategy is its approach to fees. SCHC
believes in working in concert with clients as they grow. To that end, a
significant portion of SCHC's compensation is in the form of stock,
options or other equity instruments.
A major element of SCHC's business strategy is to keep overhead

against Mr. Vibbazd for violation of Orono Municipal Code Section 5.40. The city has notified Mr.
Vibbard on numerous occasions of his continued violation and as of this date it still exists. The city's
objective is to require Mr. Vibbard to cease the use of the property for commer�cial use .

Staff inspected the property on 2/19 and found two vehicles parked in driveway.
Staff attempted to contact persons within but there was no response. Staff took down
license numbers of vehicles. Vehicles are owned by persons not residing within
residence. Tamara Sue Poppler may be an employee that staff was asked to speak
to via a phone call with Vibbard 8/26/96.

SEC. 5.40. HOME OCC'LTPATIONS.
Subd. l. License Required. It is unlawful for any
person to engage in, or carry-on, a home occupation, as that term
is defined in the Zoning Chapter of the City Code, without first
having obtained a license therefor from the City.
Subd. 2. Regul.ation. Licenses will only be issued if
the specific use is permitted or otherwise allowed by the Zoning
Chapter, and if all conditions set forth in said Chapter are fully

Subd. 1. License Required. It is unlawful for any

Staff inspected the property on 2/19 and found two vehicles parked in driveway.
Staff attempted to contact persons within but there was no response. Staff took down
license numbers of vehicles. Vehicles are owned by persons not residing within
residence. Tamara Sue Poppler may be an employee that staff was asked to speak
to via a phone call with Vibbard 8/26/96.

telephone discussion regarding residential code violations with the operation of your business
from your residence.
Your letter goes on to state that you plan to move your business out of your residence within
the next 60 to 120 days. Any deadline beyond 60 days will require City Council review and
approval. I would be happy to establish a 60 day deadline from September 15, 1996, an
approximate date of your return to your Orono residence.

Thank you for your letter of November 18 advising of the status of your search for suitable office
space outside of your residence.
The commercial use of your residential property has continued for a long and unacceptable period
of time. Staff had originally established an earlier deadline of November 1 but you failed to meet
that deadline. We will expect an update the first week of January as to the status of your relocation.
If we find that you intend to use your residence for your business operations beyond the month of
January, staff shall proceed with the filing of a formal complaint with the City Attorney's office
concerning this violation of the residential code.
