The Hennepin County Purchasing/Targeted Contract Services Division (P/TCS) has responsibility
for the determination of whether a CONTRACTOR has attained Smali Business Enterprise,(SBE)
goal requirements, gaaEs on non-exempt contracts vver $100,000, or successfully demonstrated
good-faith effvrts, during the bid/p�oposal evaluation process. This Appendix S forms a part of a!I
such contracts. The term "P/TCS Manage�' shall include the Manager's designates or
representatives. The Manager may, as often and at such times as the Manager shall deem
desirable, make on-site reviews or other Cont�Cts to asce�tain compliance with H�nn�pin County's
SBE requirements_
�
The SBE utilization goal is up to 20%, based on the opporEunity for contracti�g and
subcontracting and the avallabillty of certifled SBEs. This SBE utilization goal applies to the
original dollar val�e of this contract. Hennepin County Purchasing/Targeted Contract Services will
use the Prime/SubcontraCtor's PartiCipation Form (SBE6) to determine if the CONTRACTOR meets
this goai. Form (SBE6) must list atf of the subcontractor/supplier(s) to be used on the project,
indicate the contract amount for each subcontractor/supplier, and identify which
subcontractor/supplier(s) comprise CONTRACTOR'S S6E utilization. Pr9me/Subcontractor's
Participation Form (SBE6) is a part of this contract as though fully set fprth herein.
EXCEPTIONS TO SBE REQUIREMENTS �
The CONTRACTOR may request an exception to the SBE goal reqc�iremenf based upon any one of
the fallowing Sifuations:
a) Contracts with Gove�nment Jurisdictivns
This exemption applies when another govemment jurisdiction or quasi-governmental
agency is contracting with the county.
b) Emergency-Related Purchas�s
This exception applies for emergency or life-safety (threatening), related purchases
authorized by the County Administrator, Depufy Administra#or, or the Purchasing
Manager.
c) Sole-Source o� Uniyue Goods, Commoditles� or Servlces
This exception applies ta requests f¢r bids/proposals in which the scope is necessarily
written such that there is only one source, regardless of the marketplace that possesses
the capability to perform the contract.
d) Self-Pertormance
This exception applies to prime contractors who self-pertorm more work than the stated
goa! ailows. Fo�example, at 100%, the goal is waived, at less than 100%, the goai could
be reduced to refle�t the actual opportunity for su6contracting.

APPENDIX S
A request for an exception tv the SB� goal requirement must be made to the Project Manager or
designated PffCS staff person. Ttte P/TCS Adminisirative Manager must approve all exceptions.
GOO[7-FAtfiN EFFORTS— BID/PROPOSAUCONTRACT EVALUATiON PROCESS
If CONTRACTOR does not attain the aforesaid SBE goal on P/TCS Form SBE6, C�NTRACTOR must
successfully demonstrate gflod-faith efforts in accordance with the"Good-Faith EfForts Guidelines—Evaluation
Process"document contained in Appendix S. CONTRACTOR must submlt P/TCS �orm (SBE6)and good-
faith effo�ts documentation io the Mennepin County by the close of the next business day, or other specified
time as determined by the county following CON'CI�ACTOR'S receipt of the COUNIY'S notice of apparent Eow
bidder or other notice of intent to negotiate. Determination of gaod-faith efforts shall be deemed satisfactory
upon the approval thereof by the P/TCS Division Manager.
If CONTRACTOR fails to su6mit to P/TCS a completed and signed Form (SBE6), which confirms fhe
SBE utilization level, and fai/s to successfu/ly demonstrate good-faith efforts when Form {SBE6)
indicates fhe SBE goal has not been met, the CONTRACTOfi may have its bid rejected/contract not
approved. . -- . .
APPEAL DURING B1D/PROPOSAUCONTRACT EVALUATlON PROCESS
If P/TCS determines that the CONTRACTOR failed to meet the SBE utiiization goal and fail�d to
successfully demonstrate gbod-faith efforts to mee# the goal during the bid/proposal/contract
evaluation process, CONTRACTOR wi(i be notified in writing of the COUN?'Y'S decision within five
(5) business days of such detemnination. A CONTRACTOR may �ppeal the P/TCS decision that
the CONTRACTOR failed to meet the SBE utilization goal and successfully demonstrate good faith
efforts to meet#he goal. .
CONTRACTOR may, within five (5) business days after recetpt of the ab4ve —referenced written
notice, appeal the decision to the County Administrator ac designee. An appeal must be made in
writing and shall be accompanied by any supporting docume�ta#ivn. If CONTRACTOR fails to
submit an appeal within five (5) business days, the P/TCS determination shall remain in effect. The
COUNTY may, at its option, enter into a contract with the next lowest bidder, or vther vendor
meeting contract specifications or pursue such other measures as the COUNTY deems to be in its
best interest.
GOOD FAITH EFFORTS- CONTRACT PER�ORMANCE
CONTRACTOR agrees that it must maintain the SBE utilization level throughout the contract term,
extension and renewals of this contract. If GONTRACTOR fails to maintain the SBE utilization,goaEs
during the performance of the contract and cannot dsmonstrate good-faith efforts in accordance with
the "Good-Faith Effo�ts Guidelines — Contract Pertormance" in Appendix S, the CONTRACTOR
may, at the COUNTY'S sole option, be deemed in breach vf contract and subject to sanctions.
CONTRACTOR shall insert in all of its subcontracts over $100,000, clauses requiring the
subcontractor to: (1) adopt the contract-specific designa4ed goal; (2) submit all information and
reports required by Hennepin County; and (3} camply with all Hennepin County Board policies with
regard to.SBE utifization.. It shail be the responsibility of the CONTRACTOR to monitor and enforce

The COUN7Y may take such steps as it deems necessary and appropriate to ascertain
svbcontractors' compliance with the COUNTY's SBE requirements, and fu�ther, if the COUNTY
determines that subcontractor is not in compiiance, the COUNTY may require the CONTRACTOR to
take appropriate measures to bring subcontractor into compliance.
SAI�ICZ'�S
If the S8E utilization goal is not met after contract award/approval, the COUNTY wilt require
- CONTRACTOR to successfully demonstrate that good-faith efforts have been made to meet the
goal. lf the COUNTY determines that the CONTRACTOR has failed #o demonstrate good faith
effores, and/or if the CONTRACTOR has failed to submit infarmation required by the PlTCS, and/or
the CONTRACTOR has engaged in discriminatory practices,"` the COUNTY may, in its sole
discretion, suspend, cancel or terminate, in whale or in part, the aforesaid contract. Additionally, the
COUNTY may, in its sole discretion, withhold up to fifteen (15%) percent of the contract price until

1. Verification tha#the bidder rejected SeE',s because they did not submit the lowest bid or they
were not quaiifed. Such verification shall include a verified sta#ement of the amounts of all
bids received from potential subcon#ractors on the project and that the bidder rejecEed SBE's
because they did not submit the lowest bid from amortg such bids or they were not qualified.
For each S�E found to be not qual'rfied, the verification shall iriclude a statement giving the
bidder's reasons for its conclusion.
2. Verification of efforts to contract by timely written or telephone notice to all appropriate SBE's
within identified subcontracting categories listed in the most current, approved certification
Directory. !f bidders have purchased pr�ject plans seven (7) calsndar days ar fewer before

3. Verification of efForts tQ subcontract, consistent with industry practice, with the SBE's whom
