AGREEMENT FOR SERVICES
AGREEMENT made this day of ,2008,by and between the
CITY OF ORONO,a Minnesota.municipal corporation("City"),and the GILLESPIE CENTER,
a Minnesota non-profit corporation("Gillespie").
NOW,THEREFORE,IN CONSIDERATION OF THEIR MUTUAL COVENANTS
THE PARTIES AGREE AS FOLLOWS:
1. Scone of Services. Gillespie agrees to provide services to the Orono residents as
, described in Exhibit A, attached and made a part of this Agreement.
2. Time for Performance of Services. Gillespie agrees to perform the services provided in
Exhibit A, attached and made a part of this Agreement. The term of this Agreement shall
be from January l, 2009 through December 31, 2009,the date of signature by the parties
notwithstanding. This Agreement may be extended upon the written mutual consent of
the parties for such additional period, as they deem appropriate, and upon the terms and
conditions as herein stated.
3. Comaensation for Services. The City hereby agrees to pay Gillespie Nineteen
Thousand and no/100ths ($19,000.00) Dollars for the services provided on Exhibit A.
4. Extra Services. The City will pay Gillespie for extra services by Gillespie or Special
Contractors only when aut�orized in writing by the City.
5. Authorized A�ents. The City shall appoint an authorized agent for the purpose of
administration of this agreement. Gillespie is notified that the authorized agent for the
City is as follows:

6. Termination. This Agreement may be terminated by either party with or without cause
by seven(7) days' written notice delivered to the other party at the address written above.
Upon termination under this provision if there is no fault of Gillespie, Gillespie shall be
paid for services rendered and reimbursable expenses until the effective date of
termination. If Gillespie has been paid the full amount of compensation contemplated in
paragraph 3, Gillespie shall return all payments made by the City on a prorated basis for
the term of the contract which shall be measured on an annual basis.
7. Independent Contractor. At all times and for all purposes herein, Gillespie is an
independent contractor and not an employee of the City. No statement herein shall be
construed so as to find Gillespie an employee of the City.
8. Non-Discrimination. During.the performance of this contract, Gillespie shall not
discriminate against any employee or applicants for employment because of race, color,
creed, religion, national origin, sex, marital status, status with regard to public assistance,
disability, or age. Gillespie shall post in places available to employees and applicants for
employment,notices setting forth the provisions of this non-discrimination clause and
stating that all qualified applicants will receive consideration for employment. Gillespie
shall incorporate the foregoing requirements of this section in all of its subcontracts for
program work, and will require all of its subcontractors for such work to incorporate such
requirements in all subcontracts for program work.
9. Assignment. Neither party shall assign this Agreement,nor any interest arising herein,
without the written consent of the other party.
10. Services Not Provided For. No claim for services furnished by Gillespie not
specifically provided for herein shall be honored by the City.
11. Severabilitv. The provisions of this Agreement are severable. If any portion hereof is,
for any reason, held by a court of competent jurisdiction to be contrary to law, such
decision shall not affect the remaining provisions of the Agreement.
12. Entire Agreement. The entire agreement of the parties is contained herein. This
Agreement supersedes all oral agreements and negotiations between the parties relating
to the subject matter hereof as well as any previous agreements presently in effect
between the parties relating to the subject matter hereof. Any alterations, amendments,
deletions, or waivers of the provisions of this Agreement shall be valid only when
expressed in writing and duly signed by the parties,unless otherwise provided herein.
13. Comaliance with Laws and Re�ulations. In providing services hereunder, Gillespie
shall abide by all statutes, ordinances, rules, and regulations, including to the extent it is
applicable the Minnesota Government Data Practices Act, pertaining to the provisions of
services to be provided. Any violation sha11 constitute a material breach of this
Agreement and entitle the City to immediately terminate this Agreement.
14. Waiver. Any waiver by either party of a breach of any provisions of this Agreement
shall not affect, in any respect, the validity of the remainder of this Agreement.

15. Indemnification. Gillespie agrees to defend, indemnify and hold the City, its officers,
and employees harmless from any liability, claims, damages, costs,judgments, or
expenses, including reasonable attorney's fees, resulting directly or indirectly from an act
or omission (including without limitation professional errors or omissions) of Gillespie,
its agents, employees, or subcontractors in the performance of the services provided by
this Agreement and against all losses by reason of the failure of said Gillespie fully to
� perform, in any respect, all obligations under this Agreement, except that City shall be
liable for any claims or damages relating to liquid escaping from City containers being
hauled by Gillespie to the extent that such leakage is not caused by any action or
omission of Gillespie or any third party not under the control of the City.
16. Insurance.
A. General Liabilitv: During the term of this Agreement, Gillespie shall maintain a
general liability insurance policy with limits of at least$1,000,000 for each person,
and each occurrence, for both personal injury and property damage. The policy shall
also insure the indemnification obligation contained in section 15. A certificate of
insurance on the City's approved form which verifies the existence of this insurance
coverage must be provided to the City before work under this Agreement is begun.
B. Worker's Compensation: Gillespie shall secure and maintain such insurance as will
protect Gillespie from claims under the Worker's Compensation Acts and from
claims for bodily injury, death, or property damage which may arise from the
performance of Gillespie's services under this Agreement.
17. . Annual Reuort and Records Access. Gillespie shall provide the City Council with an
annual report and audit. Gillespie shall provide the City access to any books, documents,
papers, and record which are directly pertinent to the specific contract, for the purpose of
making audit, examination, excerpts, and transcriptions, for six years after final payments
and all other pending matters related to this contract are closed.
18. Governing Law. This Agreement shall be controlled by the laws of the State of
Minnesota.
19. Notices. Any notices given under this Agreement will be served personally or by mail at
the addresses stated herein.

� Bill Joynes presented a preliminary report on the staff interviews held on April 14,2009 to
Council.
• Interviews were scheduled for May 11th and May 12`h with individual Council Members to ask
questions on their ideas,opinions and expectations of the strategic visioning process.
� • An upcoming work session will be scheduled with Council and staff to further discuss the
interview results.

Barbara Fisher of the Three Rivers Park District has inquired if the City and/ox City Council has any
interest in being direcd��involved in the grand opening events for the Dakota Rail Regional Trail to �
be held on June 20 from 10:00 am—3:00 p.m.
Ms. FisheY has been working with cities, businesses,libraries, the post office and Metro Transit to
featuxe attractions along the trail. One of the components of the grand opening will be an event
center south of the transit station in Mound where several tents will be located, such as:
• The Wayzata Chambex of Commerce will be hosting a tent with the Minnetonka Center fox
the Arts providing children's craft activities and the Wayzata Chamber distcibuting bags with
business information and coupons for the Wayzata area.
• The Three Rivers Pazk District will host a tent with representatives from various
departments in the Park District and an axea for meeting elected officials. Refreshxnents will
also be provided.
The'I hree Ri�Ters Paxk District Board Chair will be mailing a letter to all elected officials in the area
inviting them to join in the festivities at the Three Rivers Park District tent. This will be an
opportunity far elected officials to m� and mingle with the public. Elected officials could stop by
for a few minutes or spend the whole day at the event center. Depending on the weathex, the Paxk
District is expecting 500-700 trail usexs on the day of the event.
Council is asked to discuss their level of interest in participating in the Dakota Rail Regional Trail
grand opening events.

The Long Lake/Orono Chamber of Commerce has requested"that the Long Lake city council
consider changing the name of the current Old Highway 12/Wayzata Blvd./Cty Rd 112 to LONG
LAKE PARKWAY as soon as possible". Their email request to Terry Post indicates the
majority of the Chamber membership believes it is necessary to make this change at this time in
order to avoid any more confusion as to what road to take to get into the Long Lake business
area from the New Highway 12. They believe the only evidence needed to justify this change in
name is the obvious confusion caused by the current 3 name reference.
Post has indicated this name change would presumably affect the entire length of Wayzata
Boulevard through Orono, from the entrance/exit ramps at the east end to the 6/12 interchange at
the west end. The "Wayzata Boulevard" designation continues westward to the intersection with
Baker Park Road at the east end of Maple Plain. Through Maple Plain and points west the road
is designated as U.S. Highway 12. The west half-mile of Wayzata Boulevard is in Medina.

Wayzata only: Approx. 0.1 mile
Orono & Wayzata: Approx. 0.1 mile
Long Lake only: Approx. 1.3 miles
Orono & Long Lake: Approx. 1.1 miles

I have not done further research to determine, for instance, how many individual property
addresses in each city would be affected.
The name "Long Lake Parkway" is similar but not identical to other road names in the Orono -
Long Lake area, which include:

The Long Lake Chamber of Commerce is nearing a point of making a recommendation for a name change of
West Wayzata Blvd to"Long Lake Parkway". The section of roadway impacted by this proposed name change
would be from the Hwy 12 Bypass exit ramp on the east end to County road 6 on the west, or essentially all of
what we are now calling "Old Hwy 12".
Obviously this kind of change will require the cooperation of all three cities (Long Lake, Orono, and Wayzata),
Public Hearings, Resolutions, Hennepin County Public Works (i.e. attaching a name to CR112)communication,
and interface with the Long Lake(55356) and Wayzata (55391) Post Offices. I would like to discuss a
process/timeline to accomplish this name change goal at your earliest convenience. Thanks.

be placed on an upcoming Council work session to determine the level of interest in pursuing or supporting a road

potentially directly affected stakeholders (property owners, business owners, residents, government agencies,

Dear Mayor White, Council Members Evelyn Tumer and Mike Gaffron,
We appreciated the opportunity to meet with you February 231d, 2009 at the
City Meeti.ng. We appreciate your time, dedication to the council and the
warmth and welcome you extended to us.
I believe it was Ms Lili Mcmillan who requested we write down our request
and mail it for your consideration. I apologize for being late. As you may
know we have been challenged with my husband's health issues.
Our original request was for a variance for building lot size (we plan to
apply for building pemut later).
We respectfully request the City Orono council members drop the charges
added to the variance granted. It seems there were a series of events
Which were unfair. It appears the events were unique to our situation
.
We were told that some of the requests were issues to be addressed at time of
buildi.ng application, not variance of lot size needed to build a home.
l.when we applied for variance we were told we had to have another survey.
When we contacted a surveyor, he said, "That lot has been surveyed twice.
You have not built any structures on the property since then so you don't '
need a survey. You can use the existing survey."
The second surveyor we met with said the same tivng. However, city planner
requested another survey, so we found one who presented a plan.
Yes, the grading is steep and water run off and grading was a concem.
However, we understood that issue would be addressed at time of application
for buildi.ng permit.
As you may recall we waited over a year before the variance was passed.
Even though Frank Traytro has been grading hills and foundations for homes
for over 28 years, lus plan was rejected. ( it did differ somewhat from the
original grading plan surveyor submitted, however, Frank has exceptional
e�ertise. We have known about his work for years.)
We were grateful the council passed OK for variance
We did not receive the bill for extra charges until after the variance was
granted. ( We are unhappy we were not told ahead before costs were
incurred.) It is just a good business policy.
When we questioned why Boonestro or City of Orono or planner waited so
long to tell us (instead of discussing the charge with us ahead of time). Mrs.
Turner stated, "Boonestrro was havi.ng accounting problems due to changes
in their books. Their books were in disarrav." (no one knew about it)
A couple weeks later we asked Ms. Tumer reason for not telling us about
City Orono charges ahead of time. She stated, "City of Orono was going
through an accounting change and we were not able to get access to that
information. The accounti.n�svstem was in disarrav."
We also spoke to several other engineers and city planners who specialized in
work with variances. Each man told us it is usually the policy for City of
Urono (or Bloornington, or whomever) to pay the city En�ineer because he
has a contract. He is hired by city to provide those services. Other cities do
not charge extra for additional work.
The rain garden, water shed engineer and another engineer were alsa
stuprised.
It� was otu- understanding Qrono hired Tom Kellogg and Boonestro and he
was paid through his contract, (our taxes).
VVe were charged for Tom Keilogg, City Engineer's time and then when Mr.
Kello�g went an vacation we were referred to Aaron who charged us for the
time it took for hun to become acquainted with the material, review and pick
up where Tom left off.
We request a list of names and addresses of other residents of Orono who
�aaid additional engineerin� costs for their variance. So far, we have not heard
l�ack on that issue.
In sum, we appreciate the efforts and time you render i.n our behalf
Piease give consideration to tl�is rnatter. We appreciated tlie warm welcome to
the city meeting.

The Long Lake/Orono Chamber of Commerce has requested "that the Long Lake city council
consider changing the name of the current Old Highway 12/Wayzata Blvd./Cty Rd 112 to LONG
LAKE PARKWAY as soon as possible". Their email request to Terry Post indicates the
majority of the Chamber membership believes it is necessary to make this change at this time in
order to avoid any more confusion as to what road to take to get into the Long Lake business
area from the New Highway 12. They believe the only evidence needed to justify this change in
name is the obvious confusion caused by the current 3 name reference.
Post has indicated this name change would presumably affect the entire length of Wayzata
Boulevard through Orono, from the entrance/exit ramps at the east end to the 6/12 interchange at
the west end. The "Wayzata Boulevard" designation continues westward to the intersection with
Baker Park Road at the east end of Maple Plain. Through Maple Plain and points west the road
is designated as U.S. Highway 12. The west half-mile of Wayzata Boulevard is in Medina.
Wayzata Boulevard lengths by abutting city:
Wayzata only: Approx. 0.1 mile
Orono & Wayzata: Approx. 0.1 mile
Long Lake only: Approx. 1.3 miles
Orono & Long Lake: Approx. 1.1 miles
Orono only: Approx. 2.7 miles
Medina only: Approx. 0.5 miles
Total Approx. 5.8 miles
I have not done further research to determine, for instance, how many individual property
addresses in each city would be affected.
The name "Long Lake Parkway" is similar but not identical to other road names in the Orono -
Long Lake area, which include:
Old Long Lake Road
East Long Lake Road
Long Lake Boulevard

The Long Lake Chamber of Commerce is nearing a point of making a recommendation for a name change of
West Wayzata Blvd to "Long Lake Parkway". The section of roadway impacted by this proposed name change
would be from the Hwy 12 Bypass exit ramp on the east end to County road 6 on the west, or essentially all of
what we are now calling "Old Hwy 12".
Obviously this kind of change will require the cooperation of all three cities (Long Lake, Orono, and Wayzata),
Public Hearings, Resolutions, Hennepin County Public Works (i.e. attaching a name to CR112) communication,
and interface with the Long Lake (55356) and Wayzata (55391) Post Offices. I would like to discuss a
process/timeline to accomplish this name change goal at your earliest convenience. Thanks.

i've been assigned to handle this request for Orono, and I will be your contact regarding this matter. This item will
be placed on an upcoming Council work session to determine the level of interest in pursuing or supporting a road
name change. If the Council chooses to proceed, there will have to be a process for substantial input from all the
potentially directly affected stakeholders (property owners, business owners, residents, government agencies,
etc.) as well as from the general public.
I will keep you informed as to our Council's direction on this.
