Please be advised that following the execution of the
Agreement between the City and Smith ' s Bay Marina, Inc. , a fully
executed Stipulation and Order for Dismissal with Prejudice was
sent to the Honorable Judge Robert A. Schiefelbein on March 23,
1990 . The Order was executed by Judge Schiefelbein on March 27,
1990 . A copy of the Order is enclosed.
A Discharge Notice of Lis Pendens, and the Agreement were
sent to Hennepin County the week of March 26, 1990. Once we obtain
confirmation of filing dates and document numbers, we will transmit
�that information to you.
I would like to point your attention to items 3 ( f) and
3 (g) of the Agreement which require follow-up action by the City.
Item 3 ( f ) requires Smith ' s Bay to engage a licensed electrician and
licensed furnace technician to make inspections at the cabins and

make those inspection reports available to the City. Smith ' s Bay
has fifteen (15 ) days within the date of the Agreement to contract
with the licensed tradesmen. Within thirty (30 ) days of the
inspection, any repairs itemized must be made.
Item 3 (g) requires Smith ' s Bay to contract with a septic
disposal company to pump the tanks for the cabin. The City is to
be provided with a copy of the contract .

Dear Mr. Gilbert :
Enclosed please find an Agreement between Smith' s Bay
Marina, Inc . and the City of Orono, Minnesota, which your client
signed on February 12, 1990 . This Agreement outlines repairs
and subsequent razing and removal of the three cabins located
upon your client ' s property in Orono .
We are now approaching June, 1, 1991, which is listed as
the "termination date" per Item No . 3 (a) of the Agreement .
Within two weeks of the termination date, your client is to
remove the cabins at his expense, disconnect all services and
utilities, remove all debris and restore the site to a
reasonable condition including seeding or sodding .
Should your client not raze the cabins and remove the
debris per Item No . 3 (a) of the Agreement, Item No . 3 (b)
authorizes the City to pertorm 'tne task and aSSc�S its costs
against the property to be payable in a single year .
It is possible that your client is already preparing for
the razing and removal of these buildings . The purpose of this
letter is to serve as a reminder of the Agreement and to assure
that the razing and removal is performed.

1 . Pari.ies . i'his is an agreement by and between
Smith ' s Bay Mari�za, I��c. (hereinafter "Smith' s Bay" ) and the
City of Orono, Minnesota (hereinaf�ter the "City") .
2 . ReciLals .
a . Smith ' s Bay is the fee owner of the following
legally ciescribed x•eal property:
Lots 22 �::i? 23, "Ora Park" �n Lake Minnetorlka
anr� tii�;: c�art of Lake Street lying between the
���_er:;;ian, of t;ie 5ia� iir�e cf sc,ici Lots 22
and 23 arid between the front lines of said
Lots and i:he Northwesterly line of the Right
of Way of County Highway No. 7 being a line
parallel to and 33 feet Northwesterly from the
center line of the existing pavement of said
Higriway, Hennepin County, Minnesota
(hereinafter "the property") ;
b. The property contains three structures , �
including a duplex and two cabins (hereinafter "duplex, "
"Cabin 1" (south edge of lot) and "Cabin 2" (west edge
of lot) , or collectively the "cabins") .

c. A� its meeting January 11, 1988, the City
Council passed Re�olution No. 2349 attached hereto as
Exhibit A finding Cabin 1 a hazardous building and
ordering its repair or removal .
d. At its rneeting on January 11, 1988, the City '
Council J;�assed Resolution No. 2350 (attached hereto as
Exhibit B) , findinq Cabin 2 a hazardous building and
orderi.nq its repair or removal .
e. In tne above-referenced resolutions f:he City
Council i.dentirierl a range of hazardous conditions,

f . T'he City ser.ved on Smith' s Bay an Order to �

g . Smith ' :; Bay submitted an Answer to said Order
dated Dec��r�ber ].� , 1988, denying the hazardous
conditioiis alleged by the City.

3 . Agr_e�ment of the Parties . The City and Smith' s Bay
in mutual consicleration 17ereby agree as follows :
a . The City agrees to permit the cabins to
remain, tipon the conditions stated herein, until June 1,
1991 (hereinatter the "termination date" ) . Within two
weeks of the termination date, Smith' s Bay shall remove
the cabir►s at its sole and complete expense . Removal
shall include destruction of the cabins ( including
foundations) , all appurtenant structures such as porches
and landings, prooer disconnection of all services and
utilities , removal of all debris, and restoration of the
cabin sitt�s co a reasonable condition, including seediny
or_ so�uinc; ,
Smith ' s Bay shall have vacated all tenants and any
personal property from the cabins by the termination
date. Smith' s Bay shall provide any necessary notice to
tenants or other persons, and shall obtain all necessary
permits and approvals, so that removal can be completed
in accorclance with the terms of this Agreement .
b. Should Smith' s Bay not beqin or complete
removal within two weeks of the terminatiun date, the
City is expressly- atithorized to enter upon the property
wi�hout r�oti.ce at any time to raze and remove the
cabins . Rem�val in this case shall include the same
elements ;lescribed ir� the previous paragr�ph. Smith' s
Bay shall repay the City for any and all costs,
includiny attorney' s fees, incurred in rernoving the
cabins, to be collected as an assessment against the
property payable in a single year . Said assessment may
be imposed without notice or hearing or other process
and Smith ' s Bay expressly waives any right thereto .
c . Within 15 days of the date of this Agreement,
the City :�hall initiate dismissal without prejudice of
the current: Yiazardous b��ilding proceecJing against the
cabins . TI�e City shall rnove with due diligence Lo
obtain said dismissal and removal of the lis pendens
attached to the property bythe City pursuant to the
aforementioned hazardous bui-�ding proceeding .
d. Smith' s Bay will, within the next 30 days,
make the Following repairs to Cabin 1 :
i . Permanently fasten and connect back door
landing to the structure.

i . Repair connection between stair risers
and front door landing .

f . Smith' s Bay will within 15 days of the date of '
this Agree►nent engage a licensed electrician and
licensed Eurnace technician to inspect the electric
services and furnac-es at the cabins . Smith' s Bay
immediately will make such inspections available to the
City' s Building Inspector and will make any and all
repairs riecessary within 30 days of the inspection to
ensure th� furnaces and electrical services are in a
safe corici:�tion.
g . S:'iil�.Il ` s Bay agrees i�o pump the hulding tanks
servicinc� �}1P cabins as needed. Smith' s Hay shall enter
into a contract with a licensed septic disposal company
to pump i�he tanks . A copy of said contract shall be
provided to the City. The tanks shall be monitored
weekly and shall be pumped as needed to avoid any septic
discharge.
h. Smith' s Bay will report to the Building
Inspector any material change in the condition of either
Cabin 1 or Cabin 2 durin.g the pendency of this
Agre�rneti�. . �m�.f�?i ' s Bay agrees to subr�it i:o per:iodic
external and internal inspection of tne cabins upon
reasonable notice. This does not waive the City' s
lawful right to enter the ptoperty without notice should ,
conditioris warrant .
i . Smith' s Bay agrees to pay all City costs,
charges, ati:orney' s fees, and any other expenses
incurred in enforcing this Agreement or any part thereof .
j . Smith ' �: F3ay agrees to cooperate with the City
in having this Agreement recorded and further agrees
that this Agreement shall run with the property and will
be bindicrg upon all purchasers, successors, or assigns .

k. By this Agreement the City does not waive any
of its poiice power authority to regulate conditions
related t;o the property or the cabins . Nothing in this
Agreement precludes the City from initiating a hazardous
building action against the cabins should conditions
arise posing a threat to health and safety which did not
exist or which the City was not aware of as of the date
of this Agreement .
4 . Mi_seellaneous . This Agreement contains the entire
agreement between tlle parties pertaining to the subject matter
herein and shall be modified only by written agreement signed
by the partie� .
This Ayree�neiit shall be governed, en�orced, and
construed under the laws of the State of Minnesota.

Dear Mr . Gilbert :
It has been brought to our attention, by Jeanne Mabusth
at the City of Orono, that the cabin structures on Mr .
Toberman' s property, which were to be removed by June 14 , 1991,
are still located upon the property.
You will recall from our letter dated May 22 , 1991, that
we asked you to remind your client of the Agreement he signed on
February 12, 1990, which, among other things, required removal
of the cabins on the property by June 14 , 1991, at Mr .
Toberman' s expense. In the alternative, the Agreement allows
t?�e City to enter the property and raze and remove the cabins .
All costs involved in this process would be assessed as a lien
against Mr . Toberman' s property.
At this juncture, the City is obtaining bids for the
razing and removal of the cabins . It is the City' s intention to
have the work completed as soon as possible. On June 20, the
City received a letter from Ms . Cynthia Johnson of Toberman
Management, requesting a demolition permit . Jeanne Mabusth has
indicated that the permit request is incomplete and that she

will proceed with the bids for razing and removing the
buildings . It is imperative that these buildings no longer
remain upon the property.

Thank you for your letter of May 29, 1991 regarding the
removal of the cabins at 1950 Shoreline Drive. This letter is
just a reminder that if the cabins are to be demolished, a
demolition permit is required from the City, if the cabins are to
be removed, a moving permit would be required from the City. The
cost of the demolition permit is $50.50, and the moving permit is
$150.50. These permits must be issued to the demolition or
house moving contractor. If you have any questions regarding
this matter, please feel free to contact me at my office.
