.- • / 03 0 a(d Cysi t <br /> ,e01 Rd Ak-p/Pli <br /> 4/24/03 <br /> SECOND ADDENDUM TO GROUND LEASE AND SUBLEASE <br /> THIS S OND AD] ENDUM TO GROUND LEASE AND SUBLEASE is <br /> made effective as of ut U LJ , 2003, by and among the Independent <br /> School District#278 (` istrict"), and City of Orono (City"), and Orono Baseball <br /> Association, ("OBA"). <br /> District and City are parties to that certain Ground Lease (the "Ground Lease") <br /> dated as of April 15, 1994. City and OBA are parties to that certain Ground Sublease (the <br /> "Ground Sublease") dated as of April 15, 1994. District, City and OBA are parties to an <br /> Addendum to Ground Lease and Sublease effective as of April 15, 1994 (the "First <br /> Addendum"). All capitalized terms utilized herein shall have the meanings ascribed to them <br /> in the Ground Lease, unless otherwise specified herein. <br /> The parties desire to amend the Ground Lease and the Ground Sublease in <br /> order to provide for expansion of the Leased Premises to the east and for construction and <br /> operation of new facilities by the OBA in connection with the expansion (the "Expansion <br /> Project"). <br /> 1. The parties hereto agree that the Ground Lease and the Sublease shall <br /> be amended to include the area subject to the Expansion Project which area shall be referred <br /> to as the Expanded Lease Parcel. The legal description for the Expanded Lease Parcel is <br /> attached hereto as Exhibit A. <br /> 2. OBA shall be responsible for all site work("Site Work") required to <br /> enable the construction of the Expansion Project. A preliminary site plan of the Expansion <br /> Project is attached hereto as Exhibit B. <br /> 3. The Site Work shall be governed by Section 3 of the Ground Lease <br /> which is restated in its entirety for purposes of the Expansion Project as set forth below: <br /> "3. Facility Constructed. Subject to District's prior written approval <br /> of plans, specifications and drawings ("Approved Plans"), OBA shall cause at <br /> its expense the construction on the real estate described on Exhibit A to the <br /> Second Addendum to Ground Lease and Sublease (referred to herein as the <br /> "Expanded Lease Parcel") of organized youth baseball fields, which may <br /> include playing fields, dugouts, storage facilities, fencing, landscaping and <br /> other appurtenances necessary to operate similar organized youth baseball <br /> fields in the suburban Twin Cities area in material compliance with the <br /> Approved Plans (as the facilities may exist from time to time, the "New <br /> Facilities").
