Segner and :vlarinos hereby indemnify and hold the City harmless fram any <br /> and ail clai.ms, causes of acdon, liabiiities, damages or other losses (includin� attorneys' fees <br /> and costs incurred by City in connection therewith or in enforcement of this Agreement) <br /> sustained or incu.-red by reason of use of the Private Drive by Segner and Marinos, and their <br /> respective invitees, successors ar assigns. <br /> 9. City shall honor any request of the owners of the 3286 Parcel and the 3290 <br /> Fazcel to post Hillside PIace with "No Parkir,g" signs and subject Hiliside place to <br /> �nforcement of same by the City's Police Deparnnent <br /> 10. This Agreement shall run with the land, shall be bindinJ upon Segner and <br /> Nlarinos, their respective successors and assigns, and may be enforced by the Ciry at law or at <br /> equity. <br /> 11. Any future use of Hillside Place by an owner of the 226Q Parcel or the 3300 <br /> Parcel shall constitute a vioiation of this Agreement and of Municipal Code Section 6.05, <br /> Subdivision 2, and snall constitute a misdemeanor. This paragraph does not apply to Se�ner, <br /> her successors or assigns, as the owner of th� 32E6 Parcel. <br /> 12. This Agreement may be amended or tenuinated only by a recordable, wrirten <br /> a�reement between the par[ies hereto, their successors and assigns, which shall be filed in the <br /> office of the H�nnepin County Registrar of Title againsi the Segner Property and Mari.nos <br /> Property. Circumstances arising which may require amendmenc ar termination of this � <br /> Agreement, i.nclude but are not limit�d to, the City's appraval of an aiternate access for <br /> either the 3286 Parcel or the 3290 Parcel to an opened gublic roadway other than Hillside <br /> Place or changes in City Code provisions.
