CITY/CONTRACTOR WORK AGREEMENT THIS AGREEMENT ("AgreemenY') is made this `1 day of s,PNv , 2012, by and between the City of Orono, a Minnesota Municipal Corporation (the "City") and Mikie's Landscaping (the "Contractor"). In consideration of the mutual covenants and promises contained in this Agreement, the City and the Contractor agree as follows: 1. General Conditions. Contractor shall perform the work described by this Agreement and the Specifications as set forth in Exhibit A attached hereto (the "Work"); and any written Change Orders executed by the City and the Contractor. 2. Work to be Comnleted. Contractor shall provide all labor and materials necessary to complete the Work for the demolition of buildings (the "Demolition") and the proper removal and disposal of all demolition material,junk, refuse and debris from 3572 Livingston Avenue, Orono, Minnesota(the "Property"). 3. Commencement and Completion of Work. To the extent necessary, the Work shall commence only after removal of all regulated waste is performed by the regulated waste contractor and the Contractor is provided by the City with a written"Notice to Proceed". 4. Disposal of All Demolition Material. Contractor shall comply with all applicable laws, rules and regulations regarding the disposal of all demolition material,junk, refuse and debris from the Property. 5. Pavment. The Work including all labor, materials, and equipment needed to accomplish the same, shall be completed by the Contractor for the sum of Eight Thousand Eight Hundred Thirty and no/100ths Dollars ($8,830.00) (the "Contract Price")to be paid to the Contractor in one installment upon completion of the Work to the satisfaction of the City. The Contractor agrees to furnish the City with all Mechanics Lien Waivers and evidence of the proper disposal of all demolition material,junk, refuse and debris deemed necessary by the City, prior to full payment of the Contract Price. The Contract Price shall constitute the sole compensation payable to the Contractor for completion of the Work. 6. Storage and Protection. Contractor shall be responsible for the storage and protection of all equipment and materials to be supplied under the terms of this Agreement until the Work is complete and the City has accepted the Work. 7. Clean-up. Contractor shall maintain an orderly and clean work site, and shall daily remove and properly dispose of all waste, and debris resulting from performance under this Agreement. 1 161939
