M. CONTROLLING LAW <br /> This Agreement is to be governed by the law of the State of Minnesota, <br /> O. DISPUTE RES4LUTION <br /> CITY and CONSULTANT agree to negotiate all disputes between them in gaod faith fox a <br /> periad of 30 days from the date of notice of dispute prior to proceeding to formal dispute <br /> resolution or exercising their rights under law. Any claims or disputes unresolved after good <br /> �aith negotiations shall first be submitted to mediation utilizing the Minnesota District Court <br /> Rule 114 Roster. Disputes nat resolved by mediatian shall than be submitted to arbitration <br /> in accordance with provisians of the Construction Industzy Arbitration Rules of the <br /> American Arbitxation Association. <br /> P. SURVIVAL <br /> All obligations, representations and provisions made in or given in Section IV of this <br /> Agreement will survive the completian of all setvices of the CONSULTANT under this <br /> Agreement or the termination of tihis Agreement for any reason. <br /> Q. SEVERABILITY <br /> Any provision or part of the Agreement held to be vaid or unenforceable under any law or <br /> regulatian shall be deemed stricken, and all remaining provisions shall continue ta be valid <br /> and binding upon CITY and GONSULTANT, who agree that the Agreement shall be <br /> reformed to replace such stricken provision or part thereof with a valid and enforceable <br /> provision that comes as close as passible to expressing the intention of the stricken <br /> provisian. <br /> ]57486v2 <br /> Page 8 of 9 <br />
