of recommending action or policy with respect to any matter otherwise within the <br />control of the Directors. <br />(k) To enforce by legal means the provisions of the Declaration and the Articles of <br />Incorporation, Bylaws, and the rules and regulations of the Association: <br />(1) To purchase such policies of insurance as are permitted or required under the <br />Declaration. <br />(m) To pay all statements rendered for common expenses. <br />(n) To employ personnel at a reasonable compensation to perform the services <br />required for proper administration of the purposes of the Association. <br />( o) To perform · all other acts required or permitted to be performed by the <br />Association pursuant to the terms of the Declaration, <br />Section 4. Management Agent: Other Contracts. The Board of Directors may employ a professional <br />management agent ("Management Agent") at compensation established by the Board to perform such <br />duties and services as the Board shall authorize. Any agreement for professional management of the <br />Association or any other contract providing for the services of the Declarant, or any affiliate of the <br />Declarant, may not exceed one year and shall provide for termination by either party without cause <br />and without payment of any termination fee or penalty on thirty (30) days' written notice; such <br />agreement shall be renewable by agreement of.the parties for successive one-year periods. <br />Section 5. Election and Term of Office. At the initial annual meeting of the Members, the Members <br />( or the Declarant, pursuant to the Declaration) shall elect one-third of the Directors to serve a term <br />of three (3) years, one-third of the Directors to serve a term of two (2) years, and one-third of the <br />Directors to serve a term of one (1) year (such numbers to be as close as possible to an even one- <br />third division). At the expiration of the initial term of office of each such Director, his or her <br />successor shall be elected to serve a term of three (3) years, and thereafter all Directors shall be <br />elected to serve terms of three (3) years. Directors shall hold office until their successors have been <br />elected and hold their first meeting. <br />Section 6. Vacancies. Vacancies in the Board of Directors. caused by any reason other than the <br />removal of a Director by a vote of the Association shall be filled by vote . of the majority of the <br />remaining Directors, even though they may constitute less than a quorum; and ·each person so elected <br />shall be a. Director until a successor is elected at the next annual meeting of the Association. <br />Section 7. Removal of Directors. At any regular or special meeting of the Members, any one or more <br />of those Directors previously elected by the Members maybe removed with or without cause by a <br />majority of the Members, and a successor may then and there be elected to fill the vacancy thus <br />created. Any Director whose removal has been proposed by the Members shall be given an <br />opportunity to be heard at the meeting. <br />8
