constitute a quorum at all meetings of the Owners for the transaction of any business, except that of <br />adjourning the meeting to reconvene at a subsequent time. <br />Section 8. Order of Business: Parliamentary Procedure. The order of business at all annual meetings <br />and, to the extent practicable, at all special meetings of the. Members. shall be as follows: <br />(a) Roll call. <br />(b) Proof of notice of meeting or waiver of notice. <br />(c) Reading of minutes of preceding meeting. <br />(d) Reports of officers. <br />( e) Reports of committees. <br />(f). Election of inspectors of election. <br />(g) Election of directors. <br />(h) Unfinished business. <br />(i) New business. <br />Robert's Rules of Order shall govern procedure at all meetings of the Members. <br />ARTICLE V <br />BOARD OF DIRECTORS <br />Section 1. Number and Qualification. The first Board of Directors of this Association shall consist <br />of three (3) persons, who shall be the persons named in the Articles of Incorporation, or their <br />successors, who shall serve until the first annual meeting of the Members, which shall be held not <br />later than the first anniversary of the date of recording the Declaration. Thereafter, the Board of <br />Directors shall consist of no fewer than three (3) nor more than five (5) persons, provided that the <br />number of Directors shall always be an odd number. <br />Section 2. Powers and Duties. The Board of Directors shall have the powers and duties necessary for <br />the administration of the affairs of the Association and may do all such acts and things as are not by <br />law, by the Declaration, or by these Bylaws directed to be exercised and done by the Owners. <br />Section 3. Other Duties. In addition to duties imposed by these Bylaws, by resolutions of the <br />Association, the Board of Directors shall be responsible for the following: <br />(a) Care, upkeep and surveillance of the common areas, if any, private roadway, <br />entrance monuments, and NURP pond. <br />(b) Collection of monthly assessments from the Owners. <br />(c) To designate or dismiss the personnel necessary for the maintenance and <br />operation of the Association. <br />6
