11 <br />Entire Agreement and Modifications. This writing contains the entire agreement <br />between the parties and there are no other terms, obligations, covenants, representations, <br />statements, or conditions, oral or otherwise, of any kind whatsoever. Any agreement hereafter <br />made shall be ineffective to change, modify, discharge, or effect an abandonment of this <br />Sublease in whole or in part unless such agreement is in writing and signed by each party. <br />Waiver. The waiver of either party of a breach or violation of, of failure of either party <br />to enforce any provision of this Sublease shall not operate or be construed as a waiver of any <br />subsequent breach of violation or relinquishment of any rights hereunder, and no waiver by <br />Landlord or Owners of any provisions of this Sublease shall be deemed to have been made <br />unless expressed in writing and signed by Landlord and/or Owners, as applicable. <br />Release of Landlord. If Landlord sells or otherwise transfers all of its interest in the <br />Premises, Landlord shall, without further action by any party, be released and discharged from <br />any further obligations or duty under this Sublease, and no claim or demand upon Landlord <br />shall thereafter be made by Tenant arising out of any obligation or duty of Landlord <br />hereunder. Upon request by Landlord, Tenant shall execute an attornment agreement with <br />Landlord’s transferee in form satisfactory to such transferee. <br />Severability. If any part of this Sublease or the application thereof to any person or <br />circumstance is, to any extent, invalid or unenforceable under applicable law, the remainder <br />thereof and the application of such terms, provisions, and conditions to persons or <br />circumstances other than those as to whom it is invalid or unenforceable shall not be affected <br />thereby, and this Sublease and all terms, provisions, and conditions hereof shall, in all other <br />respects, continue to be effective and to be complied with to the full extent permitted by law. <br />Headings, Exhibits. The headings of sections of this Sublease are for convenience <br />only, they form no part of this Sublease and shall not affect its interpretation. All schedules, <br />exhibits, addenda, and attachments referred to herein are hereby incorporated in and <br />constitute part of this Sublease. <br />Binding Effect. All of the covenants, conditions, and agreements herein contained shall <br />extend to, be binding upon, and inure to the benefit of the parties hereto and their respective <br />successors and assigns. <br />Construction. Both parties hereby acknowledge that they participated equally in the <br />negotiation and drafting of this Sublease and that, accordingly, no court construing this <br />Sublease shall construe it more stringently against one party than against the other. <br />Counterparts. This Sublease may be executed in multiple counterparts, each of which <br />shall be deemed to be an original; but all of which together shall constitute one and the same <br />instrument. <br />Recording. The parties hereto agree to cooperate in executing a recordable form of this <br />Sublease or a mutually approved memorandum of lease, if either party or and the Owners <br />request the same. <br /> <br /> <br />[Signatures on the pages to follow] <br />33
