CABLE FRANCHISE TRANSFER REQL•'ST <br />Mark Ayotte, LMCCC's Attorney gave a report on the cable franchise <br />transfer. tie explained that Dowden is proposing to create an entity <br />called Dowden Cable Partners L.P. Dowden Cable Partners L.P. will <br />have two general partners, one called Dowden Communications Investors <br />(D.C.I.) and the other called Bariston Cable Investors (B.C.I.). <br />The general partners will control the operations and decisions of <br />Dowden Cables Partners V.P. D.C.I. will be the management of <br />Dowden Cable Partners L.P. and B.C.I. will be the investor. Dowden <br />Cable Partners L.P. would then be the equivalent of what Dowden <br />and Dow -Sat are now. <br />Attorney Ayotte spoke with Mr. Cattoor an accountant who analyzed <br />the franchise aspects of LMCCC's original franchise. Mr. Cattoor <br />will be looking over the material that Mr. Ayotte has on the franchise <br />transfer and will give the Commission a report on the financial as- <br />pects of Dowden Cable Partners L.P. <br />B. Swartwood is concerned that a lot of money is being spent on <br />Attorney fee's and speculates if it is really necessary. Mr. Ayotte <br />feels it is important to spend the money to look into the Franchise <br />Transfer, he also stated that the Commission will be reimbursed <br />by Dow -Sat. <br />T. Frahm asked if B.C.I. has ever been successful in any other <br />limited partnership established strictly for cable. Mary Smith <br />of Dow -Sat commented that as of today B.C.I. has not yet been suc- <br />cessful in a limited partnership for cable. <br />Anderson asked about the Commissions next step. Mark Ayotte recom- <br />mended to wait for Mr. Cattoors financial report and then call a <br />special meeting in a couple of weeks for the purpose of approving or <br />disapproving the Franchise Transfer. <br />NOTION 11.18.86.4: Anderson moved, seconded by Haggerty, to hire <br />Mr. Cattoor not to exceed $1,500.00 to write a financial report <br />and analysis prior to December 1. <br />Motion failed by paper ballot vote - 13 aye, 13 naye. <br />Motion was discussed and amended. <br />MOTION 11.18.8G.5: Keller moved, seconded by Haggerty, to hire <br />Mr. Cattoor not to exceed $1,400.00 to give the Commission a report <br />on the financial aspects of Dowden Cable Partners L.P. and set up <br />a special meeting for December 2 at 5:00 P.M. <br />Motion carried by paper ballot vote - 18 ayes, 7 naye. Motion <br />approved. <br />VI. NEW BUSINESS <br />Administrator Hansen mentioned to the Commission that she had <br />interviewed several people for ,t l:,art-time position.
