LAKE MINNETONKA CABLE <br />COMMUNICATIONS COMMISSION <br />RESOLUTION NO. APPROVING THE <br />SALE AND TRANSFER OF OWNERSHIP IN <br />CABLE SYSTEM AND TRANSFER OF CABLE <br />FRANCHISE OF DOW-SAT OF MINNESOTA, INC. <br />TO DOWDEN CABLE PARTNERS, L.P. <br />WHEREAS, Dowden Communications, Inc., a Georgia corporation, <br />(hereinafter "Dowden"), by and through Dow -Sat of Minnesota, <br />Inc., a Minnesota corporation, (hereinafter "Dow -Sat"), <br />a wholly -owned subsidiary, owns, operates and maintains <br />a cable television System in the Member cities of the Lake <br />Minnetonka Cable Communications Commission (hereinafter <br />"Commission") pursuant to the terms and conditions of a <br />Cable Communications Franchise Ordinance; and <br />WHEREAS, the Commission «s been delegated the authority and <br />responsibility to opt, coordinate, administer and enforce <br />the Cable Communications Franchise Ordinance on behalf <br />of its Member cities pursuant to the terms and conditions <br />of a Joint and Cooperative Agreement for the Administration <br />of a Cab': Franchise; and <br />WHEREAS, Dowde., and Dow -Sat desi.i to sell and otherwise transfer <br />substantially all of its less and assets used or useful <br />in connection with t,,e ewi. iip and operation of the System <br />and Cab Communications Franchise Ordinance to Dowden <br />Cable . -_tners, L.P., a Delaware limited partnership (hereinafter <br />"Dowd,r, Partners") and thereby transfer ownership of Dow -Sat <br />to Dowden Partners; and <br />WHEREAS, Dow -Sat may be completely liquidated or iierged with <br />and its assets transferred to Dowden, which in turn will <br />transfer said assets to D-wden Partners as part of the <br />acquisition; and <br />WHEREAS, Dowden Partners agrees to continue to manage, operate, <br />and maintain the �'ystem in substantially the same manner <br />as Dow -Sat; and <br />WHEREAS, Dowden and '-)w-Sat have requested the consent from <br />Comm. -sion t•� a al.e of the System and transfer of tt.. <br />CablE Comm,.,r: Luat 7-is Franchise Ordinance of Dow -Sat t <br />Dowden Part :zero; nd <br />WHEREAS, the Commisata.-n consider.d Dowden Partner's technical <br />ability, financial condition, and legal qualifications <br />in a full pnblir proceeding after due notice and a reasonarjle <br />opportunity to heard; and <br />
