currently exists with DCI. The Commission has engaged Mr. <br />Kevin P. Cattoor, Financial Communications Consultant, to <br />undertake the review of this factor. Mr. Cattoor has <br />reviewed the financial plans of Dowden Partners to compare <br />the financial stability of the proposed Transferee to the <br />current company. He has prepared an independent report of <br />his analysis, and the Commission is referred thereto. <br />D. Other Relevant Factors <br />Other appropriate factors which have been reviewed for <br />the purpose of determining whether to approve or deny this <br />transaction relate primarily to whether the cable franchise <br />will be transferred intact and whether Dowden Partners will <br />agree to comply with all existing franchise requirements. <br />The information which we have reviewed indicates that <br />Dowden Partners is not currently requesting any franchise <br />modifications as a condition of the transfer. In other <br />words, the system is to be sold and the franchise trans- <br />ferred "as is". Consequently, Dowden Partners will agree to <br />receive transfer of the franchise without any modifica- <br />tions. Dowden Partners will be required to execute the <br />existing franchise between Dow -Sat and the Commission and to <br />comply with all terms and conditions of the franchise. <br />A concern has been identified relating to a quarantee of <br />performance of the franchise. The current franchise is held <br />by Dow -Sat and guara,+teed by DCI, which is the parent not <br />only of Dow -Sat, but also of various other subsidiaries <br />- 9 - <br />
