MINNETONKA POWER SQUADRON BYLAWS Page 20 ARTICLE X Active ORDER OF BUSINESS AND RULES OF ORDER Section 10.01 Unless otherwise provided by the Members or by the presiding officer at the outset of the following order of business shall be observed at of the Membership and the Executive Committee: the meeting, all meetings 10.01.1 10.01.2 10.01.3 meeting. Invocation. Pledge of Allegiance. Approval of the minutes of the preceding Reports of Officers. Reports of Committees. Communications. Unfinished Business. 10.01.4 10.01.5 10.01.6 10.01. 7 10.01.8 10.01.9 10.01.10 Election of Officers (if any to be elected). New Business. Adjournment. Section 10.02 At the annual Meeting, if appropriate, but in any event no later than the first Membership meeting at least thirty (30) days but not more than sixty (60) days after the end of the Squadron fiscal year, appropriate actions shall be taken upon the report of the Auditing Committee before the annual report of the Treasurer shall be filed. Section 10.03 Orderly parliamentary procedure shall govern at all meetings. All questions of procedure not otherwise covered herein or by the policy and authority of USPS shall be determined in accordance with the most current edition of Robert's Rules of Order, Newly Revised. -20- MINNETONKA POWER SQUADRON BYLAWS Page 21 ARTICLE XI NOMINATIONS, ELECTIONS, AND VOTING Section 11.01 Candidates for office to be voted on at the Annual Meeting may be nominated by the Nominating Committee as herein provided for or by petition signed, by at least five (5) active members in good standing filed with the Secretary no later than 15 November each year. There shall be no nominations by any other method except as provided by Section 11.02. Section 11,02 If vacancies exist in the properly formulated slate of nominees at the time of the election, they shall be filled by nominations from the floor. Section 11.03 No person shall be eligible for nomination unless signifying a willingness to serve if elected. Section 11.04 The Secretary shall prepare a list of all nominees as candidates for election at the Annual Meeting, and give notice thereof to members by mailing same at least thirty {30) days before the date of the election. Section 11.05 following: Voting at the eletion shall be in the manner 11.05,1 Each active member shall have one vote for each office. Absentee, proxy, or cumulative votes shall not be permitted. 11.05.2 Election to an uncontested office may be effected on a supported motion and a unanimous ballot cast and recorded by the secretary. 11.05.3 Election to a contested office shall be effected by secret ballot, unsigned and cast in person. Such elections shall be determined by a judge of election and not less than three (3) tellers{ all of whom shall be appointed by the Commander. The ha lots shall be delivered to the Judge of Election, opened and inspected by the tellers, and the final results tabulated and announced to the members before the close of the meeting. 11,05.4 Polls shall remain open only for the first hour after the election is initiated as an order of business. -21-
