The Owner shall have the right to examine, inspect, copy and <br />audit the books and records of any contractor or subcontractor <br />making claim for reimbursement for costs and allowances hereunder <br />in order to verify the accuracy, correctness, completeness and <br />properiety of all costs and allowances claimed. <br />12.4 Work Performed by Subcontractors. <br />12.4.1 The Contractor's fees for work performed by subcontractors shall be a <br />minimum of 5% up to a maximum of 10% (as determined in the sole discretion of <br />the Owner, for such work where the work performed by subcontractors is super- <br />vised by the Contractor) as compensation for all other costs and expenses in- <br />cluding administrative overhead, profit and supervision. No fee will be al- <br />lowed on subcontractor work not supervised by the Contractor. <br />12.4.2 The fee of first, second, third and fourth tier subcontractors for <br />work performed for them by lower tier subcontractors shall be determined by <br />the Owner within the percentage range set forth in clause 12.4.1 above. <br />cRrTinW 11 <br />SUSPENSION OF WORK AND TERMINATION <br />13.1 OWNER MAY SUSPEND WORK <br />Owner may, at any time and without cause, suspend the Work or any portion <br />thereof for a period of not more than ninety days by notice in writing to Con- <br />tractor and Engineer which shall fix the date on which Work shall be resumed. <br />Contractor shall resume the Work on the date so fixed. Contractor will be al- <br />lowed an increase in the Contract Price or an extension of the Contract Time, <br />or both, directly attributable to any suspension if he makes a claim therefor <br />as provided in Sections 12 and 13. <br />13.2 OWNER MAY TERMINATE <br />Upon the occurrence of any one or more of the following events: <br />13.2.1 If Contractor is adjudged a bankrupt or insolvent, <br />13.21 If Contractor makes a general assignment for the benefit of creditors, <br />13.2.3 If a trustee or receiver is appointed for Contractor or for any of <br />Contractor's property, <br />13.2.4 If Contractor files a petition to take advantage of any debtor's act, <br />or to reorganize under the bankruptcy or similar laws, <br />3'9Sa <br />4/61 <br />
