Persons or companies furnishing labor ;r materials for the improvement of real property may enforce a lien upon the <br />improved land if they are not paid for then contributions, even if such parties have no direct contractual relationship <br />with the owner. <br />2.) Minnesota law permits the owner to withheld from his contractor so much of the contract price as may be <br />necessary to meet the demands of all other lien claimants, pay directly such lions and deduct the cost thereof from the <br />contract price, or withhold amounts from his contractor until the expiration of 90 days from the completion of such im- <br />provement unless the contractor furnishes to the owner waivers of claims for mechanic's liens signed by persons who <br />furnished any labor or material for the improvement and who provide the owner with timely notice <br />NOTICE TO WISCONSIN OWNER <br />As required by the Wisconsin Construction Lien Law, Contractor hereby notifies owner that persons or companies <br />furnishing labor or materials for the construction on owner's land may have lien rights on owner's land and buildings if <br />not paid. Those entitled to lien rights, in addition to Contractor are those who contract directly with the owner or those <br />who give the owner notice within 60 days after they first furrnsh labor or materials for the construction, and should <br />give a copy of 080 notice received to his mortgage lender, if any. Contractor agrees to cooperate with the owner and <br />his lender, if any, to sea that all potential lien claimants are duly paid. <br />TERMS AND CONDITIONS <br />1 ) This is a purchase and sale of building maienals only <br />2 ) Seller war,anfs to the original purchaser trial all material supplied to buyer will be of standard quality pursuant to seller-s <br />specifications and free from defects of material and workmanship under normal use and conditions. <br />3) THE WARRANTY PROVIDED IN PARAGRAPH 21S AGREED TO BE EXCLUSIVE, AND IN LIEU OF ALL OTHERS THERE <br />ARE NO REPRESENTATIONS OR WARRANTIES. EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IM- <br />PLIED WARRANTIES OF MERCHANTABILITY AND f ITNESS FOR A PARTICULAR PURPOSE MADE BY SELLER, OR <br />SELLER'S AGENTS OR SERVANTS <br />4 ) IT IS AGREED THAT SELLER'S LIABILITY, WHETHER BASED ON THE WARRANTY, NEGLIGENCE, STRICT LIABILI. <br />TY, CONTRACT. OR OTHER THEORY, AND THE REMEDIES OF THE BUYER, SHALL BE LIMITED AS SET FORTH IN <br />PARAGRAPH 5 BELOW <br />5) SELLER'S SOLE OBLIGATION IS LIMITED TO REPAIRING OR REPLACING AT SELLER'S OPTION, FREE OF CHARGE, <br />AND AT SELLER'S PLACE OF BUSINESS, ANY MATERIALS SUPPLIED HEREUNDER THAT PROVE, IN SELLER'SJUDGE- <br />MENT TO BE DEFECTIVE SELLER SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES <br />WHICH MAY INCLUDE. BUT ARE NOT LIMITED TO, EXPENSES FOR GASOLINE, TELEPHONE, TRAVEL, LODGING, DEBRIS <br />CLEAN-UP, LOSS OR DAMAGE TO PERSONAL PROPERTY OR BUILDING CONTENTS, LOSS OF REVENUE OR PRO- <br />FITS. LOSS OF TIME. USE OR INCONVENIENCE <br />6 ) Buyer agrees to inspect the building materials at the lime of delivery and nobly seller of any defect. Acceptance of the <br />materials by the buyer snall be deemed a waive, of any defect in material or workmanship that was discoverable at the time <br />of delivery and inspection <br />7 ) Seller has no knowledge of the ntended use of the budding materials. Buyer is solely responsible for construction of any <br />budding or structure into which the materials are incorporated, and for compliance with any applicable local, state or federal <br />building codes and regulations <br />6) Seller will provide erection instructions to buyer Buyer is under no obligation to follow svd instructions, regardless of whether <br />buyer follows said instructions, seller makes no representation or warranty as to any physical characteristics, including but <br />not limited to. load factors or uses to which ilia completed building or structure can be put <br />9 ) Buyer agrees to indemnify and hold harmless, seller, from any claim, demand, action or cause of action by any other party <br />arising out of the purchase of materials hereunder, and will satisfy any judgment obtained against seller including reimburse- <br />ment to seller for any costs and expenses including the payment of actual attorney fee, incurred by seller in the defense of <br />any action <br />Signature _ ,_ _- — Dote_._ _-- <br />
