The selection and compensation of such personnel (including the Executive Director) shall be determined by the Authority subject to the laws of the State of Minnesota. ARTICLE IV — MEETINGS Section 1. Annual Meeting. The annual meeting of the Authority shall be held on the second Monday in January, 1992 at 8:00 o'clock P.M. at the regular meeting place of the Authority. All future annual meetings will be held in February at the regular place of the Authority. Section 2. Regular Meeting. Regular meetings, to the extent they are held, shall be held at a convenient time with proper notification. (amended May 29, 2007) Section 3. Special Meetings. Special meetings of the Authority may be called by the Chairman, or two members of the Authority for the purpose of transacting any business designated in the call. The call for a special meeting may be delivered at any time prior to the time of the proposed meeting to each member of the Authority or may be mailed to the business or home address of each member of the Authority at least two (2) days prior to the date of such special meeting. All appropriate news media offices must be contacted two (2) days prior to the call of a special meeting. At such special meeting no business shall be considered other than as designated in the call, but if all of the members of the Authority are present at a special meeting, any and all business may be transacted as such special meeting. Section 4. Quorum. The powers of the Authority shall be vested in the Commissioners thereof in office from time to time. Three Commissioners shall constitute a quorum for the purpose of conducting its business and exercising its powers and for all other purposes, but a smaller number may adjourn from time to time until a quorum is obtained.
