AGREEMENT FOR STANDBY SERVICE <br />This agreement is entered into this day of <br />19 by and between the City of Orono, Minnesota, and the City of Spring <br />Par5n“Minnesota, and is made under and by virtue of Minnesota Statutes <br />S471.59. <br />^^;REAS, the City of Spring Park is desirous of contracting with <br />the City u/ Orono for the performance of the hereinafter specified <br />maintenance and inspection services within the City of Spring Park, and; <br />WHEREAS, the City of Orono is agreeable to render such services <br />on the terms and conditions hereinafter set forth. <br />NOW THEREFORE, the City of Orono agrees that it will provide <br />standby maintenance and inspection services (hereinafter "services ) for <br />Spring Park and the City of Spring Park agrees to pay for those services on <br />the following terms and conditions: <br />1, Scope and Quality of Services - The level and quality of services <br />rendered to the City of Spring Park by the City of Orono shall be the <br />same as the service rendered in the City of Orono, except as <br />hereinafter stated. The services shall include the inspection of the <br />lift stations, water distribution system, water plant and sewer <br />collection system and, when there is an immediate necessity, the <br />maintenance and repair of said lift stations, systems and the plant. <br />The services shall be performed by the City of Orono*s Public Works <br />Personnel or, where essential, by independent contractors of the City <br />of Orono. <br />2. A^^ministration Procedures - This section is set forth to clarify <br />the responsibilities of each participant and to establish procedures <br />for performing the servies. <br />A) Responsibilities of the City of Spring Park <br />1. Maintain and make available to the City of Orono all <br />information necessary to perform services. <br />2. Pay to the City of Orono all amounts due hereunder in a <br />timely fashion, together with the cost of repair parts and <br />material supplied by Orono and the charges of independent <br />contractors of the City jf Orono. <br />3. Train Orono personnel, to the extent deemed necessary by <br />the City of Spring Park, at a time to be agreed upon between <br />8:00 a.m. and 4:30 p.m. on regular business days. Training <br />of persons performing services for the City of Spring <br />who are hired by the City of Orono after the <br />training sessions are completed shall be the responsibility <br />of the City of Spring Park and regular time rates shall be <br />paid by the City of Spring Park to the City of Orono for <br />personnel training hours. <br />Page 1 of 4
