50 Grant of Easement. Owner shall grant to the City, its successors and assigns, a <br />permanent non-exclusive easement for the Relocated Stormwater Facility as is set forth in that <br />certain Superseding Grant of Permanent Easement for Drainage Purposes, of even date with this <br />Agreement, whi h is filed of record in the Office of the Hennepin <br />Exhibit County Registrar of Titles a <br />Document No. l 0 0 g 2 ,and is in substantially the form os <br />C. <br />6• Reimbursement of Costs. ncurred by the City Owner agrees to reimburse the City for all costs <br />iin the enforcement of this Agreement, or any portion of this Agreement, <br />including court costs and reasonable attorneys' fees, g nt, <br />�• Indemnification. This Agreement imposes no liability of any kind whatsoever on <br />the City. Owner shall indemnify and hold harmless the City, its officials, employees, contractors <br />and agents, against any and all claims, demands, losses, damages, and expenses (including <br />reasonable attorneys' fees) arising out of or resulting from the negligent or intentional acts, or any <br />y <br />violation of any safety law, regulation, or code by Owner or Owner's employees, contractors <br />agents, in the performance of this Agreement, without regard to any inspection or review made or <br />not made by the City, its agents or employees or failure by the City, its agents or employees to <br />take any other prudent precautions. In the event the City, upon the failure of Owner to comply <br />with any conditions of this Agreement, performs said conditions pursuant to its authorityin th Y <br />Agreement, Owner shall indemnify and hold harmless the City, its officials, employees,ls <br />contractors, and agents for its own negligent acts in the performance of Owner's required work <br />under this Agreement. <br />8• Notices.
