Arkla is one of the nation’s largest natural gas companies, with <br />assets of nearly $4 billion and serving more than two million customers. Arkla is based in <br />Little Rock, Arkansas; Shreveport, Louisiana; and Houston, Texas. <br />This merger has been approved by the boards of directors of both companies and must now <br />be approved by a majority of each companies’ shareholders. The merger is also subject to <br />certain regulatory approvals and other conditions. If the merger is approved, DEI s name <br />will be changed to Arkla, Inc. Thomas F. "Mack" McLarty III, Chairman, President and <br />Chief Executive Officer of Arkla will continue in those offices following the merger. Albert <br />D. Etchelecu, Chairman, President and Chief Executive Officer of DEI will serve as Vice <br />Chairman of the Board of Arkla and will continue as Chairman and Chief Executive Officer <br />of Minnegasco. <br />Minnegasco and the other DEI subsiuianes, E.F. Johnson, Inc., EnScan, Inc. and <br />Minneapolis Energy Center, Inc. will retain their respective identities and will continue to <br />maintain their headquarters in Minneapolis. "Mack and I both believe that it is important <br />for our existing businesses lo continue to be based in Minnesota so that we can maintain <br />the superior level of service which our customers have come to expect, said Etchelecu. <br />We at Minnegasco look forward to continuing to provide high quality energy services to all <br />of our local communities here in Minnesota.
