Vee, serving as City Clerk of the City of Orono (the "City"), <br /> duly organized and existing under the laws of the State of Minnesota, does hereby certify <br /> that at a meeting of the City Council, held on the 13'�day of December, 2010 at which a <br /> quorum was present, the City Council unanimously adopted the following resolution: <br /> WHEREAS, the City of Orono previously adopted the Flexible Spending Plan on <br /> January 1, 1991; and <br /> WHEREAS, the City desires to amend and restate such Plan to include the <br /> following: <br /> • The Plan desires to amend and restate the Plan to incorporate all previous <br /> Summary of Material Modifications and to comply with the most recent <br /> and relevant regulatory changes since the last amendxnent and <br /> restatement of the Plan. <br /> NOW, THEREFORE, BE IT RESOLVED, that the City of Orono Flexible <br /> Spending Plan be amended and restated effective as of Ja.nuary 1, 201 l; and <br /> BE IT FURTHER RESOLVED, that any proper members of the City are hereby <br /> authorized to make such contributions from the funds of the City as are necessary to carry <br /> out the provisions of said plan at any time; and <br /> BE IT FITRTHER RESOLVED, that in the event any conflict arises between <br /> the provisions of said Plan or any other applicable law or regulation (as such law or <br /> regulation may be interpreted or amended), the City shall resolve such conflict in a <br /> manner which complies with such law or regulation. <br /> ATTEST: <br /> ��:��/�� >i-r LJ ` � <br /> > <br /> Linda S.
