I <br />6. EFFECTIVE DATE. The effective date of this Ageeement shall <br />be the date upon which the last of the seven Participants has <br />caused this Agreement to be executed pursuant to an authorizing <br />resolution of its governing body. <br />7. TERM. This Agreement shall continue in effect until December <br />31, 1990, unless extended, renewed, or terminated by the <br />Participants pursuant to the provisions of paragraph 0 below. <br />0. MCniFICATION. This Agreement may be extended, renewed, <br />terminated or amended by agreement of all the Participants as <br />authorized by resolution of each Participant’s governing body. <br />9. WITHDRAWAL. A Participant may withdraw prior to the <br />expiration of the term of this Agreement or any subsequent <br />extensions thereof by giving 90 days' notice in the form of a <br />resolution of its governing body, served by certified the <br />secretary-treasurer of the Commission. Service shall be deemed <br />to have been made on the date of mailing. Any grant monies or <br />other funds received by the withdrawing Participant or the <br />Commission, either prior to or after the effective date of <br />withdrawal, that are attributable to the Participant a <br />participation in the Program prior to its withdrawal, shall be <br />paid to and remain the property of the Commission. <br />10. DISTRIBUTION UPON TERMINATION. Upon expiration of or <br />termination of this Agreement, r-*nj assets remaining <br />payment of outstanding obligations shall be distributed to the <br />Participants in proportion to their monetary contributions <br />calculated over the life of the Agreement. <br />11. LIABILITY AND WORKERS' COMPENSATION INSURANCE. It is <br />understood and agreed that public liability insurance and <br />workers' compensation insurance will be provided relative to the <br />activities of the Commission and its waste recycling collection <br />It is anticipated that the Cities of Medina, Greenfield and <br />Independence will arrange for this coverage and that, in the <br />event either city incurs any cost as a result of such coverage, <br />the Commission will reimburse said City for such coat. <br />12. ADDITIONAL PARTICIPANTS. The number of Participants may be <br />increased durin9 the teriw of this Agreement by amendroentr <br />pursuant to the provisions of paragraph 0 above; provided that <br />any new Participant shall also cause the Agreement as amended to <br />be executed, pursuant to authorizing resolution of its governing <br />body. <br />13. EXECUTIVE COMMITTEE. The Commission is empowered to appoint <br />an Executive Committee consisting of three commissioners and the <br />Coordinator. The Executive Committee shall meet at least one <br />time per month and shall have the authority to conduct day-to-day <br />business of the Commission, but shall not have authority to: <br />(a) approve contracts or expenditures in excess of $1,000; <br />-3-
