r?’"’.?■ <br />' . <br />mA mr^- <br /># <br />■;p < <br />.V <br />■ <br />'■ <br />‘k <br />*•• 'v^, <br />mm^ <br />actions necessary to ensure that interest on the Bonds <br />remains not includable in gross income of the recipient <br />under the Coder insofar as it has the power and <br />authority to take such actions. <br />(f) The execution and delivery of this Lease and <br />the other agreements contemplated hereby to which <br />Authority is a party and the consummation of the <br />transactions contemplated hereby and thereby and the <br />fulfillment of the terms hereof and thereof will not <br />conflict withr or constitute on the part of Authority a <br />breach ofr or a default underr any existing (i) lawr or <br />(ii) provisions of any legislative act, constitution or <br />other proceeding establishing or relating to the <br />establishment of Authority or its affairs or its <br />resolutions, or (iii) agreement, indenture, mortgage, <br />lease or other instrument to which Authority is subject <br />or is a party or by which it is bound. <br />(g) No officer of Authority who is authorized to <br />take part in any manner in making this Lease or any <br />contract contemplated hereby has a personal financial <br />interest in or has personally and financially benefited <br />from this Lease or any such contract. <br />(h) There is not pending or threatened any suit, <br />action or proceeding against or affecting Authority <br />before or by any court, arbitrator, administrative <br />agency or other governmental authority which materially <br />and adversely affects the validity, as to Authority, of <br />this Lease, any of the obligations of Authority <br />hereunder or any of the transactions contemplated <br />hereby. <br />2-3
