-i ... <br />(kl:- <br />■^■7. <br />■'r’- <br />j. •MS'ftK- <br />m:\' r'- .1 <br />WS'-? <br />t.K - <br />establishing or relating to the establishment of City or <br />its affairs or its resolutions, or (iii) agreement, <br />indenture, mortgage, lease or other instrument to which <br />City is subject or is a party or by which it is bound. <br />(g) No officer of City who is authorized to take <br />part in any manner in making this Lease or any contract <br />contemplated hereby has a personal financial interest in <br />or has personally and financially benefited from this <br />Lease or any such contract. <br />(h) There is not pending or threatened any suit, <br />action nr proceeding against or affecting City before or <br />by any court, arbitrator, administrative agency or other <br />governmental aut.hority which materially and adversely <br />affects the validity, as to City, of this Lease, any of <br />the obligations of City hereunder or any of the <br />transactions contemplated hereby. <br />S€Ction 2.2* P.^pr^s^nt^at inns and Covenant" nf <br />Authority. The Authority represents and covenants as follows: <br />(a) The Constitution and the laws of the State <br />authorize Authority to acquire and construct the <br />Project, to enter into this Lease and the transactions <br />contemplated hereby, and to carry out its obligations <br />under this Lease. <br />(b) The officers of Authority executing this Lease <br />are duly authorized to execute and deliver this Lease <br />under the Constitution and laws of the State. <br />(c) The Authority has complied and will comply <br />with all open meeting laws, all public bidding laws and <br />all other State and Federal Laws applicable to this <br />Lease and the construction and furnishing of the <br />Project. <br />(d) The Authority will not enter into any lease, <br />use agreement, management agreement or other contract <br />which would cause the Bonds to be considered "private <br />activity bonds" or "private loan bonds" pursuant to <br />Section 141 of the Code. <br />(e) During the Term of the Lease, the Authority <br />will not take or permit any of its officers to take any <br />action witi. respect to the Lease, the Project <br />which would cause interest on the Bonds to become <br />includable in gross income of the recipient for federal <br />income tax purposes under the Code, and will take all <br />2-2 <br />’I
