<br />#10634702v3 <br /> <br />10 <br />Board shall give reasonable notice to the Homesite Owners of the date, time and <br />place of a Board meeting. If the date, time and place of meetings are provided <br />for in this Declaration, the Articles of Incorporation or Bylaws of the <br />Association, were announced at a previous meeting of the Board, posted in a <br />location accessible to the Homesite Owners and designated by the Board from <br />time to time, or if an emergency requires immediate consideration of a matter by <br />the Board, notice is not required. “Notice” has the meaning given in Minnesota <br />Statutes Section 317A.011, subdivision 14. Meetings may be closed to discuss <br />the following: <br /> <br /> (1) personal matters; <br /> <br /> (2) pending or potential litigation, arbitration or other potentially adversarial <br />proceedings, between Homesite Owners, between the Board or <br />Association and Homesite Owners, or other matters in which any <br />Homesite Owner may have an adversarial interest, if the Board <br />determines that closing the meeting is necessary to discuss strategy or to <br />otherwise protect the position of the Board of Association or the privacy <br />of a Homesite Owner or occupant of a Homesite; or <br /> <br /> (3) criminal activity arising within the Property if the Board determines that <br />closing the meeting is necessary to protect the privacy of the victim or <br />that opening the meeting would jeopardize the investigation of the <br />activity. <br /> <br />Nothing in this subsection imposes a duty upon the Board to provide special facilities for meetings. The <br />failure to give notice as required by this subsection shall not invalidate the Board meeting or any action <br />taken at the meeting. <br /> <br /> <br />SECTION 6 <br />ASSESSMENTS FOR COMMON EXPENSES <br /> <br />6.1 General. Assessments for Common Expenses shall be determined and assessed against <br />the Homesites by the Board, in its discretion; subject to the limitations set forth in <br />Sections 6.2 and 6.3, and the requirements of the By-Laws. Assessments for Common <br />Expenses shall include annual assessments and may include special assessments. <br />Assessments shall be allocated among the Homesites according to the Common Expense <br />allocations set forth in Section 5.2, subject to the following qualifications: <br /> <br />a. Any Common Expense associated with the maintenance, repair, or replacement <br />of an improvement under the exclusive use or control of less than all Homesites <br />undertaken by the Association may be assessed exclusively against the Homesite <br />or Homesites to which that improvement is assigned, on the basis of (i) equality, <br />or (ii) the actual cost incurred with respect to each such Homesite. <br /> <br />b. Any Common Expense or portion thereof benefitting fewer than all of the <br />Homesites may be assessed exclusively against the Homesites benefited, on the <br />basis of (i) equality, or (ii) the actual cost incurred with respect to each Homesite. <br />348
