personal of the corporation, shall be dedicated to an appropriate <br />public agency to be devoted to purposes as nearly as practicable the <br />seune as those to which they were required to be devoted by the Asso <br />ciation. In the event that such dedication is refused acceptance, <br />such assets shall be granted, conveyed and assigned to any non <br />profit corporation, association, trust or other organization to be <br />devoted to purposes, as nearly as practicable the same as those to <br />which they were required to be devoted by the Association. No such <br />disposition of Association properties shall be effective to divest <br />or diminish any right, easement or title of £uiy Member vested in him <br />or appurtenant to the Lot owned by him under the recorded Declara <br />tion, including without limitation the easements established in Sec <br />tion 2 of ARTICLE III of the Declaration, without such Member's con <br />sent. <br />ARTICLE XIV <br />Miscellaneous <br />The fiscal year of the Association shall begin on the first day <br />of Jiuiuary and end on the 31st day of December of every year, except <br />that the first fiscal year shall begin on the date of incorporation. <br />ARTICLE XV <br />Indemnification of Officers and Directors <br />The Association shall indemnify cuid hold harmless every Direc <br />tor and officer, his heirs, executors and administrators, against <br />all loss, cost, judgment and expense, including attorneys' fees, <br />which may be imposed upon or reason£d>ly incurred by him in connec- <br />-15-J
