appointed director to hold office for the term of his predecessor <br />and until his successor is elected by the Members, who shall make <br />such election at the next cuinual meeting of the Members or at any <br />special meeting duly called for that purpose. <br />Section 3. Compensation. No Director shall receive compensa <br />tion for any service he may render to the Association in his role as <br />Director. However, any Director may be reimbursed for his actual <br />expenses incurred in the performemce of his duties. <br />Section 4. Action Taken Without a Meeting. The Directors <br />shall have the right to take any action in ttxe absence of a meeting <br />which they could take at a meeting by obtaining the written approval <br />of all the Directors. An action so approved shall have the same ef <br />fect as though taken at a meeting of the Directors. <br />ARTICLE V <br />Nomination and Election of Directors <br />Section 1. Powers. The Board of Directors shall have power: <br />(a) To adopt and publish rules and regulations gov <br />erning the use of the Common Area and the per <br />sonal conduct of the Members and their guests <br />thereon, and to establish penalties for infrac <br />tion thereof. <br />(b) Suspend the voting rights and right to use of <br />the Common Area of a Member during any period in <br />which such Member shall be in default in the <br />payment of any assessment levied by the Associ- <br />-5- <br />I
