Y [ <br /> / � <br /> (� Nothing in this Franchise shall (A) abrogate the right of the City to <br /> perform any public works or public improvernents of any description, (B) be construed as <br /> a waiver of any codes or ordinances promulgated by the City, or(C) be construed as a <br /> waiver or release of the rights of the City in and to the Streets. <br /> (g) This Franchise complies with the Minnesota franchise standards set forth <br /> in Minnesota Sta.tutes Section 238.084. The City and the Grantee shall conform to <br /> Minnesota laws promulgated subsequent to the date of this Franchise. The City and the <br /> Grantee sha11 conform to federal laws and regulations as they become effective. <br /> (4) Term. The term of this Franchise shall be for the period of ten(10) years from the <br /> date of acceptance by Grantee, unless renewed, revoked or,terminated sooner as herein provided <br /> ("Initial Term"). The Initial Term shall be extended for an additional five (5) years if Grantee has <br /> substantially complied with the material terms and conditions of this Franchise. Grantee shall <br /> provide written notice to City at least twelve (12) months prior to the end of the Initial Term <br /> indicating its compliance with the material terms and conditions of this Franchise. City shall <br /> respond within six (6) months of such notice from Grantee by either granting the five (5) year <br /> extension or stating in writing any objection the City may have to the five (5) year extension. <br /> The parties shall work in good faith to address any issues or concerns on mutually acceptable <br /> terms. <br /> (5) Previous Franchise. Upon acceptance of this Franchise by Grantee as required in <br /> Section 11(2) herein,this Franchise shall supersede and replace any previous Franchise granting <br /> a franchise to Grantee to own, operate and maintain a Cable System within the City. ` <br /> (6) Ownership of Grantee. Grantee represents and warrants to City that the corporate <br /> structure of the Grantee, including all affiliated companies and ultimate parent company, are as <br /> set forth in the organizational chart attached hereto as Exhibit B. <br /> (7) Rules of Grantee. The Grantee shall have the authority to promulgate such rules, <br /> regulations, terms and conditions governing the conduct of its business as shall be reasonably <br /> necessary; provided that such rules,regulations,terrns and conditions shall not be in conflict with <br /> Applicable Law. <br /> SECTION 3 <br /> CONSTRUCTION STANDARDS <br /> (1) Territorial Area Involved. This Franchise is granted for the Service Area. <br /> (2) Construction Standards. If the System, or subsequent rebuilds or extensions, <br /> proposed for the Service area consist of fewer than one hundred (100)plant miles of cable <br /> subject to the specific terms of this Franchise: <br /> (a) Within ninety(90) days of the granting of the Franchise, the Crrantee shall <br /> apply for the necessary governmental permits, Iicenses, certificates, and authorizations; <br /> (b) The energized tnuik cable must be extended substantially throughout the � <br /> authorized area within one (1) year after receipt of the necessary governmental pernuts, <br /> i�►z�6�2 8 <br />
