The board of directors may, but shall not be obligated to, <br />maintain insurance on improvements erected on the common areas, subject <br />to the Declarations referred to in the Articles of Incorporation, against <br />loss or damage by fire and such other hazards as are covered under standard <br />extended coverage provisions for the entire replacement cost thereof, <br />and may include coverage for property damage and bodily injury liability. <br />Such insurance shall be issued in the name of the Association. Hic premiums <br />may be paid by the Association and assessed equally against the lot owners <br />pursuant to Section 11 of these By-Laws. <br />(k)Board Action Without a Meeting. Any action that could be taken at a meeting <br />of the board of directors may be taken without a meeting when authorized <br />in writing signed by all of the directors. <br />Section 8. Officers. <br />(a)Election. The board of directors at the annual meeting shall elect a president <br />•r- <br />from among its members, a vice-president, a secretay and a treasurer and, <br />at its discretion, may elect additional vice-presidents, assistant secretaries <br />and assistant treasurers. All such officers shall hold office for one <br />year or until their successors are elected and qualified. If any office <br />becomes vacant by reason of death, resignation or otherwise, the board <br />of directors may, at a meeting called for that purpose, elect a successor <br />to fill the unexpired term. <br />(b)Qualifications . Officers shall be of full age, but need not be members <br />or directors of the corporation. The same person shall not at the same <br />time hold the offices of (i) president and vice-president; or (ii) president <br />and secretary; but he may hold any other two offices at the same time. <br />(c) <br />■/i-. <br />Removal. An officer may be removed, with or without cause, by the board <br />of directors. <br />(d)President.
