convey and execute the Easement Agreemenu Stipulations of Dismissal. Withdrawal of <br />Appeal, and any other pending necessary documents, and this closing date shall be referred <br />to as the "Conveyance Date" for purposes of this Agreement, and all pending obligations <br />hereunder shall become final and binding on said Conveyance Date. In the event that <br />notwithstanding the required best efforts of the parties, ?ny of the conditions subsequent <br />identified in this Section are not satisfied within 120 days after the Effective Date, then this <br />Agreement shall become null and void, provided that prior to the expiration of the 120 day <br />period, the MCWD may renew this Agreement for a second period of 120 days upon payment <br />of a check to the Pearces in the amount of $1,066. <br />9. Release of Claims. In consideration of the foregoing, and effective upon the <br />Conveyance Date, both the Pearces and the MCWD release and hold the other party harmless <br />from any and all claims, demands and causes of action which either of them or their <br />representatives may have against the other party or their representatives, heirs, successors or <br />assigns, arising from or in any manner related to the siting of the Project within the Easement <br />Area; provided, however, that the Pearces and their representatives do not release or hold <br />harmless the MCWD or its representatives, heirs, successors or assigns, with respect to any <br />claims, demands, or causes of action not related to the siting of the Project within the <br />Easement Area, including without limitation those relating to any acts or omissions of the <br />MCWD or its employees, contractors, or agents with respect to /'onstruction, operation, or <br />maintenance of the Project; and provided that neither party leleases or holds harmless the <br />other party or their representatives, heirs, successors or assigns, with respect to any claims. <br />demands, or caus ^s of action related to breach of this Agreemeni <br />537/22080000 5/23/V5 <br />I
